Customer Scripts. Customer hereby grants to TransactTools a non-exclusive, royalty-free, perpetual license to use Customer Scripts as necessary solely to provide the TransactTools Testing Services and TransactTools Support Services. TransactTools may copy, modify, execute and backup such Scripts, as necessary to perform its duties under this Agreement. Customer may restrict TransactTools' use of this license to purposes contemplated by this Agreement.

Customer Scripts. The use of scripts is Customer’s responsibility, including the provisioning, upload, management and troubleshooting (unless server related) of Customer scripts. Customer may use its own scripts on the server without administration approval. However, if it is determined in Xxxx’x sole discretion that the scripts are in any way affecting the servers Xxxx reserves the right, immediately and without prior notice to Customer, to disable the scripting. Customer will be notified once disabling has occurred. More specifically, if a script is found to over-utilize the server in any way, access to the web directory where scripts are held will be disabled and the scripts will be rendered useless. It is then the responsibility of Customer to fix the script and prove that there has been a change. Once Xxxx receives the details of changes in writing, Xxxx will turn the scripting back on (usually this takes about 3 days). If the script is not fixed, Customer access to the web directory where scripts are held will be turned off indefinitely. Customer must then recode the script and prove to Xxxx that the script will not negatively impact the server, which shall be confirmed in Xxxx’x sole discretion. Once Customer has adequately satisfied Xxxx that the script is acceptable, Xxxx will then re-enable the script. If the problem persists, services will be terminated for that Customer and will not be re-enabled. Scripts should be enabled to access files or directories within their own root level. Nothing will be "registered to the server" under any circumstance. If a script does not work because of calling outside its directory, Xxxx will not assume responsibility or offer aid: it is Customer’ accountability to troubleshoot the script.

If payment for the shares purchased is not received within three days after the date of confirmation the sale may be cancelled forthwith, by us or by the respective Funds, without any responsibility or liability on our part or on the part of the Funds, and we and/or the respective Funds may hold you responsible for any loss, expense, liability or damage, including loss of profit suffered by us and/or the respective Funds, resulting from your delay or failure to make payment as aforesaid.
