Customer Terms. A. Seller acknowledges that Products covered by this Agreement may be sold, or incorporated into products that will be sold, by Buyer to an original equipment manufacturer, whether directly or indirectly through an upper tier supplier, or any other third party customer (collectively, “Customer”). Accordingly, Seller shall take such steps, provide such disclosure, comply with such requirements and do all other things as Buyer deems necessary or desirable and within Seller’s control to enable Buyer to meet Buyer’s obligations under the terms and conditions of any contract or purchase order or other document (“Customer Terms”) that may be applicable to Buyer from time to time in respect of its direct or indirect supply of such goods or services to the Customer. B. While Buyer may, from time to time, provide Seller with information regarding the applicable Customer Terms, it is Seller’s responsibility to ascertain the Customer Terms that may affect Seller’s obligations under this Agreement.

Customer Terms. None of your terms will apply to or affect this Agreement in any way. This applies even if we accept the terms or they are deemed to have been accepted by us if we do a particular thing (eg provide goods or services, accept an order, accept payment and so on) and we do it.

Customer Terms. Supplier acknowledges that the Product will be sold (or incorporated into goods that will be sold), by Nifco to an original equipment manufacturer or a tiered supplier (each, a “Customer”). Supplier shall do all things necessary to enable Nifco to comply with (a) the applicable terms of agreement between Nifco and the Customer and (b) all Customer requirements (the “Customer Terms”). If there is a conflict between provisions in the Customer Terms and these Terms, Nifco may designate, by written notice to Supplier, which provision controls.
Customer Terms. To the extent the Goods will be sold, or incorporated into products that will be sold, by Buyer or one of its affiliates to a Customer, Seller agrees that it is Seller’s intent that this Contract is to ensure that Buyer or its affiliates will be in compliance with the terms of the agreements with such Customer and with such Customer requirements in respect of environmental, social and governance issues. Accordingly, Seller will comply with, provide any disclosures required by, and will ensure that its suppliers and subcontractors comply with and provide any disclosures required by, the terms, conditions and requirements of any purchase order, supply agreement, or other document that are applicable to Buyer or its affiliates with respect to the Goods (“Customer Terms”). If there is a conflict between the Customer Terms and any other portion of this Contract, Buyer will determine which terms will supersede and apply to Seller.

Customer Terms. (a) Customer has provided all information which is applicable to the Customer in Exhibit A, attached hereto and incorporated by reference, and keep all such information complete and up to date. (b) Customer represents and warrants that it has all necessary rights to provide Customer Personal Data to Billtrust for the purpose of Processing such data within the scope of this Addendum and the Agreement and has complied with all obligations of fairness, lawfulness and transparency placed upon it by Applicable Data Protection Laws or under contract.
