Customer’s Affiliates. The obligations of Data Processor set forth herein will extend to Customer’s Data Controller Affiliates to which Customer provides access to the Subscription Service or whose Personal Data is Processed within the Subscription Service, subject to the following conditions:
Customer’s Affiliates. Customer’s Affiliates shall be included in the license granted pursuant to an applicable Purchase Document and the terms of the Agreement if and only if specifically listed in the applicable Purchase Document. Customer agrees that it shall be responsible for any breach of this Agreement by any of Customer’s Affiliates as if such breach was caused by the direct acts of the Customer.
Customer’s Affiliates. The obligations of Data Processor set forth herein will extend to Data Controller Affiliates to which 4Mation provides the Services or whose Personal Data is Processed within the Services, subject to the following conditions:
Customer’s Affiliates. Customer’s Affiliates may enter into an Order Form with JFrog which references this Agreement, unless Customer indicates otherwise in writing. Customer shall be liable for any breach of this Agreement by its Affiliates.
Customer’s Affiliates. Customer’s Affiliates may purchase and use Subscriptions and Professional Services subject to the terms of this Agreement by executing Order Forms or Statements of Work hereunder that incorporate by reference the terms of this Agreement, and in each such case, all references in this Agreement to Customer shall be deemed to refer to such Customer’s Affiliate for purposes of such Order Form or SOW.
Customer’s Affiliates. 4.1 In case it is expressly agreed under the Agreement that affiliates of the Customer or any other third parties shall also benefit from the Services (“Agreed Affiliates”) and the Customer acts in this respect on behalf of and in the name of its affiliates and/or third parties in their capacity as Data Controllers, Customer shall enter into data processing agreements with its Data Controllers required to allow Onapsis and its Subprocessors to process any Personal Data as described in this Data Processing Annex. Customer shall serve as a single point of contact for Onapsis and shall be solely responsible for the internal coordination, review and submission of instructions or requests of other Data Controllers to Onapsis and Onapsis shall be entitled to refuse any requests or instructions provided directly by a Data Controller that is not the Customer. Onapsis shall further have no obligation to inform or notify a Data Controller when it has provided such information or notice to Customer.
4.2 Each party shall notify to the other the point of contact for any issues related to data protection arising out of or in connection with the Agreement.
Customer’s Affiliates. During the Term the Customer may use the Hosted Services by and through one or more of its Affiliates. The Customer is fully responsible for the acts and omissions of its Affiliates in connection with the use of the Hosted Services under this Agreement as if they were the Customer’s acts or omissions.
Customer’s Affiliates. 2.1 Subject to the terms of this Agreement, Contour acknowledges and agrees that Customer:
(a) may provide access to and use of the Platform to its Affiliates; and/or
(b) may procure the Services for the benefit of its Affiliates.
2.2 Where the Customer allows any of its Affiliates to use and access the Platform or receive the benefit of the Services, the Customer shall ensure that those Affiliates comply with all restrictions and terms of use set out in this Agreement, and shall be liable for any failure by any such Affiliate to comply with those restrictions or terms.
2.3 In this Agreement, unless the context requires otherwise:
(a) references to the Customer using the Platform or receiving the Services will include, to the extent that they are using the Platform or receiving the Services, the Customer's Affiliates;
(b) references to the Customer providing or receiving an item (including Contour IP or Confidential Information) pursuant to this Agreement will include items provided by or to the Customer's Affiliates; and
(c) other references to the Customer will include the Customer's Affiliates as otherwise reasonably designated by the Customer.
Customer’s Affiliates. 24.1 The Supplier agrees that all benefits, warranties, indemnities, licences and other rights and remedies provided to or conferred upon Customer under the Agreement are also provided to or conferred upon its Affiliates and in providing Goods and/or Services to the Affiliates the Supplier owes the same duties and obligations to the Affiliates as to Customer. Where the Supplier provides Goods and/or Services to an Affiliate, the Affiliate shall have the same rights under the Agreement as Customer and the Supplier shall owe the same duties and obligations to such Affiliate as it does to Customer.
24.2 Any Losses suffered, incurred or paid by an Affiliate as a result of any negligence of the Supplier or a breach of the Agreement (an "Affiliate Loss") by the Supplier shall be treated as if it was suffered, incurred or paid by Customer and Customer shall be entitled to enforce directly against the Supplier any of the rights or the benefits conferred on any of its Affiliates by the Agreement and recover any such Affiliate Loss. To the extent that Customer is unable to recover an Affiliate Loss, the relevant Affiliate(s) shall be entitled to recover such Affiliate Loss directly from the Supplier for this purpose under the Contract (Third Party Rights) (Scotland) Act 2017.
Customer’s Affiliates. Company acknowledges and agrees that Customer may use the Services by and through one or more of its Affiliates. Customer is fully responsible for the acts and omissions of its Affiliates in connection with the use of the Services under this Agreement the same as if they were Customer’s acts and omissions.
