Customers; Clients. Section 3.20 of the Company Disclosure Schedule sets forth a list of the top one hundred (100) customers of the Company and Company Subsidiaries on a consolidated basis by dollar volume of services provided for the fiscal year ended December 31, 2003. Except as set forth in Section 3.20 of the Company Disclosure Schedule, since December 31, 2003 to the date of this Agreement, none of the Company and Company Subsidiaries has received any written notice from any customer or client listed on Section 3.20 of the Company Disclosure Schedule to the effect that, and as of the date of this Agreement none of the Company or any Company Subsidiary has Knowledge that, any such customer or client will cease (other than in accordance with the terms of any preexisting contract or agreement with such customer or client, if applicable) purchasing services from the Company or Company Subsidiaries (whether as a result of the consummation of the transactions contemplated hereby or otherwise).

Customers; Clients. Notwithstanding anything in the Agreement or in any Work Order to the contrary, if any Deliverable contains any Licensed IP, then the Deliverable may only be provided to a Client in pursuance of Customer’s business purposes where the Client has agreed in writing (Client Confidentiality Agreement) to: (i) keep the entire Deliverable in confidence under confidentiality terms at least as strict as those contained in Section 6; and (ii) only use the Licensed IP to assist its review, interpretation and understanding of the Customer Confidential Information in the Deliverable. Customer hereby agrees (i) to be directly liable to Certara Portugal for any and all breaches of the confidentiality and/or use provisions under the Client Confidentiality Agreements by the Clients or any of their respective personnel and (ii) that any breach or act by such Client or its personnel shall be deemed an act of Customer under the Agreement. 5.5
Customers; Clients. The operator may meet with customers at the site provided that the frequency and consistency of traffic to and from the site in relation to the home occupation does not interfere with the communityʹs comfort, safety, or enjoyment of the neighborhood around the subject property as a residential area or create a visual or traffic annoyance to persons of normal sensibilities such that a public nuisance is created. High volume visits and traffic to and from the site during the hours of 8:00 a.m. until 6:00 p.m. shall be prima facie evidence that the home occupation is not indistinguishable from other dwellings and creates a public nuisance in the residential neighborhood, in violation of this section.
Customers; Clients. Company has no knowledge or information of any facts indicating, nor any other reason to believe, that any of its customers/clients will or will not continue to be customers/clients after the Closing at substantially the same level of purchases as heretofore, except as otherwise set forth in Schedule 4.16.

  • Customers The names of your customers will remain your sole property and will not be used by us except for servicing or informational mailings and other correspondence in the normal course of business.

  • Clients in this context, clients are people who are dependent upon the caring skills and services of the local authority, for example, the elderly, mentally infirm, those with mental or physical impairments. Clients in this context also include those whose needs are identified and catered for in settings such as schools and nurseries, that is, young children and school pupils dependent on the organisation for their educational and developmental welfare. Clients exclude internal authority customers (as in client departments) or external customers (for example, members of the public with planning applications), because neither are dependent on the local authority for their care and welfare. The exceptional needs of clients refer to those which are exceptionally demanding, not to those which are out of the ordinary.

  • Suppliers and Customers (a) The Company has adequate sources of supply for its business as currently conducted and as proposed to be conducted. The Company has good relationships with all of its material sources of supply of goods and services and does not anticipate any material problem with any such material sources of supply.

  • Customers and Suppliers (a) Section 3.15(a) of the Disclosure Schedules sets forth (i) each customer who has paid aggregate consideration to the Company for goods or services rendered in an amount greater than or equal to $25,000 for each of the two most recent fiscal years (collectively, the “Material Customers”); and (ii) the amount of consideration paid by each Material Customer during such periods. The Company has not received any notice, and has no reason to believe, that any of its Material Customers has ceased, or intends to cease after the Closing, to use its goods or services or to otherwise terminate or materially reduce its relationship with the Company.

  • Customer Lists We hereby agree that we shall not use any list of your customers which may be obtained in connection with this Agreement for the purpose of solicitation of any product or service without your express written consent. However, nothing in this paragraph or otherwise shall be deemed to prohibit or restrict us or our affiliates in any way from solicitations of any product or service directed at, without limitation, the general public, any segment thereof, or any specific individual, provided such solicitation is not based upon such list.

  • Customer The agency or eligible user that purchases commodities or contractual services pursuant to the Contract.
