Damages for Non-Payment. Insofar as pay­ ments by the individual Employer into Trust Funds provided in this Article of the Agreement, time is of the essence. The Parties recognize and acknowledge that the regular and prompt payment of amounts due by individual Employers to these Funds is essential to the operation of the Trusts and the provisions of benefits and that it would be ex­ tremely difficult, if not impracticable, to fix the actual expense and damage to these Funds and to the covered employees which will result from the failure of an individual Employer to make such monthly payments in full within the time provided. Damages for Non-Payment. Insofar as payments by the individual Employer into this Fund are concerned, time is of the essence. The parties recognize and ack­ nowledge that the regular and prompt payment of amounts due by individual Em­ ployers to this Fund is essential to the operation of the Trust and the provision Pharmacists & Drug Clerks #330 -8- of benefits under the Health and Welfare Plan and that it would be extremely difficult, if not impracticable, to fix the actual expense and damage to this Fund and to the covered employee which will result from the failure of an indi­ vidual Employer to make such monthly payments in full within the time provided. Therefore, it is agreed that the amount of damage resulting from such failure to make contributions hereunder before the twenty-fifth (25th) day of the month in which they are due shall be, by way of liquidated damages and not as a penalty, the sum of ten dollars ($10.00) for each such failure to pay in full within the time provided or ten per-cent (107») of the amount due and unpaid whichever is the greater, which amount shall become due and payable to this Fund at the principal office of this Fund upon the day following the twenty-fifth (25th) day of the month in which such delinquency occurred, and shall be added to and become a part of said amount due and unpaid and the whole thereof shall bear interest at the rate of seven per-cent (7%) per annum until paid. If any individual Em­ ployer defaults in whole or in part in the payment of any payments due this Fund, in addition to the amount due and the liquidated damages provided for in this Section, there shall be added to the obligation of the defaultor all reasonable expenses incurred by this Fund in the collection of the same, including but not limited to reasonable attorneys and accountant fees, costs of attachment bond and court costs.

It is not the parties’ intent for this provision to limit either party’s remedies against the other for the breach of this Agreement, except for the District’s money damages for unexcused delays caused by the Contractor.

  • Compensation for Damages and Losses Investors of either Contracting Party whose investments suffer losses in the territory of the other Contracting Party owing to war or other armed conflict, revolution, a state of national emergency or revolt, shall be accorded treatment by such other Contracting Party not less favourable than that which the latter Contracting Party accords to its own investors or to investors of any third State as regards restitution, indemnification, compensation or other valuable consideration.

  • Payment of Damages The indemnification required hereunder shall be made by periodic payments of the amount thereof during the course of the investigation or defense, within 10 days as and when reasonably specific bills are received or loss, liability, claim, damage or expense is incurred and reasonable evidence thereof is delivered.
