Data Room Documentation. Within five Business Days following the date of this Agreement, the Company shall at its sole expense deliver to Buyer five copies of the Electronic Data Room as in effect on such date on a suitable electronic medium, set forth in the same order and manner as such documents are set forth therein.
Data Room Documentation. As promptly as practicable after the date of this Agreement (and in any event within five (5) Business Days after the date of this Agreement), Seller shall, at its expense, authorize Intralinks, Inc. to copy to DVDs all documents posted to the Data Room as of the Execution Date and deliver ten (10) copies of such DVDs to Buyer. As promptly as practicable, and in any event within five Business Days after the Closing Date, Seller will, at its expense, authorize and instruct IntraLinks to copy to a suitable electronic medium all documents posted to the data room hosted by it as of the Closing Date in the same order and manner as such documents are set forth in such data room and deliver one such copy to Buyer.
Data Room Documentation. As promptly as practicable after the Signing Date (but not to exceed five Business Days after the Closing Date), the Seller shall, at the Purchaser’s expense, authorize and instruct Datasite to copy to DVDs (or unencrypted electronic flash drives) all documents posted to the Data Room as of the Singing Date in the same manner as such documents are set forth in the Data Room and deliver five (5) copies of such DVDs (or unencrypted electronic flash drives) to the Purchaser.
Data Room Documentation. PFIZER will provide to LICENSEE electronic copies (if available) or hard copies of any other materials included in the electronic data room set up by PFIZER on the Intralinks platform space relating to ETC-216, including the documents listed in Schedule F hereto.

Within five Business Days following the Closing, the Company representatives will authorize Intralinks to, and request that it, copy to a suitable electronic medium all documents posted to the Data Room as of the Agreement Date in the same order and manner as such documents are set forth in the Data Room and will deliver three complete copies to Purchaser.

As promptly as practicable after the date of this Agreement (and in any event within ten (10) Business Days after the date of this Agreement), Seller shall, at its expense, authorize its Data Room provider to copy to DVDs or USB flash drives all documents posted to the Data Room as of the Data Room Cutoff Time and deliver five (5) copies of such DVDs or USB flash drives to Purchaser (other than those documents restricted to “clean team” access, which such “clean team” access documents posted to the Data Room shall instead be copied to a DVD or USB flash drive and delivered by Seller (or its Data Room Provider) to one designated member of Purchaser’s “clean team” within such period). 7.26 [***]
Data Room Documentation. (a) To the best of the Seller’s knowledge, the Data Room Documentation are true, complete and not misleading or deceptive.
(b) The Seller has not included any information in the Data Room that it is aware is misleading, and so far as the Seller is aware, no information has been omitted from the Data Room Documentation that would render the Data Room Documentation misleading in any material respect.
(c) The Data Room Documentation were compiled with:
(i) reasonable care; and
(ii) in good faith, for the purpose of informing prospective buyers of the Assets and the Business and, so far as the Seller is aware, no information has been withheld that in the Seller’s reasonable opinion would be material to a buyer’s valuation of the Assets or the Business.
Data Room Documentation. On the Effective Date, Seller shall, at its expense, authorize Matrix Capital Markets Group, Inc. to copy to a non-rewritable flash drive all documents posted to the Data Room as of 5 p.m. Central time on December 29, 2017, and deliver one (1) copy of such flash drive to each of Buyer, Seller and their respective counsel.
Data Room Documentation. As promptly as practicable, and in any event within five Business Days after the Closing Date, Seller will, at its expense, authorize Donnelley Financial Solutions, Inc. to, and request that it, copy to a suitable electronic medium all documents posted to the data room hosted by it as of the Closing Date in the same order and manner as such documents are set forth in such data room and deliver one such copy to Purchaser.
