Date of Effectiveness of this Purchase Agreement. The effectiveness of this Purchase Agreement shall be subject to the condition precedent that the contractual partners have not concluded until December 16, 2019, 3:00 p.m. at the latest a Supplementary Agreement to this this (Storage) Contract, which is enclosed with this (Storage) Contract as Annex 3, regarding the Natural Gas Quantity – Purchase or a partial natural gas quantity. […], der während seiner Laufzeit vom 01.04.2019, 06:00 Uhr bis 01.01.2020, 06:00 Uhr die physische Speicherung von Erdgasmengen im Xxxxxxxx VGS Storage Hub vorsieht („Speichervertrag“). VGS benötigt zum Betrieb der Speicheranlagen bestimmte Erdgasmengen zum Eigenverbrauch. Die Parteien haben sich darauf verständigt, dass VGS am 01.01.2020, 06:00 Uhr eine unter dem Speichervertrag gespeicherte Erdgasmenge in Höhe von 50,00 GWh innerhalb des Speichers VGS Storage Hub vom SPEICHERKUNDEN erwirbt und übernimmt. Die Erdgasmenge ergibt sich aus der Summe von zwei (2) Erdgasteilmengen zu je 25,00 GWh. Die Übertragung der Erd- gasmenge innerhalb des Speichers soll dabei mittels Lastschrift auf dem Arbeitsgaskonto des SPEICHERKUNDEN bei zeitgleicher Gutschrift auf dem Arbeitsgaskonto der VGS erfolgen. Der in diesem Zusammenhang zwischen den Parteien abzuschließende Kaufvertrag über gespei- cherte Erdgasmengen soll dabei unter der aufschiebenden Bedingung stehen, dass die Vertrags- partner nicht bis spätestens 16.12.2019, 15:00 Uhr eine dem (Xxxxxxxx-)Vertrag als Anlage 3 beigefügte Ergänzungsvereinbarung bzgl. der Erdgasmenge oder einer Erdgasteilmenge zum (Xxxxxxxx-)Vertrag abschließen.   • Effectiveness of Agreement This Agreement shall become effective upon the execution and delivery hereof by the parties hereto.

  • Effectiveness of Contract This Contract shall come into effect on the date the Contract is signed by both parties or such other later date as maybe stated in the SCC.

  • Amendment of this Agreement No provision of this Agreement may be changed, waived, discharged or terminated orally, but only by an instrument in writing signed by the party against whom enforcement of the change, waiver, discharge or termination is sought, and no amendment of this Agreement shall be effective until approved in a manner consistent with the 1940 Act and rules and regulations thereunder and any applicable SEC exemptive order therefrom.

  • TERM OF EFFECTIVENESS AND TERMINATION 8.1. This Agreement takes effect on the Effective Date and shall continue to be in force for , or until all obligations of the Parties have been fully discharged. Unless one Party notifies the other of its intention to terminate this Master Agreement at least 30 (thirty) days prior to the end of the current term, this Agreement will be automatically extended for an identical duration and under the same terms as stipulated herein.

  • Assignment of this Agreement (a) We may assign, transfer, sub-contract or sell our rights, benefits or obligations under this Agreement at any time to any of our Affiliates or to an unaffiliated third party and you consent to this without us having to notify you.

  • Term of this Agreement The term of this Agreement shall continue in effect, unless earlier terminated by either party hereto as provided hereunder, for a period of two years. Thereafter, unless otherwise terminated as provided herein, this Agreement shall be renewed automatically for successive one-year periods. This Agreement may be terminated without penalty: (i) by provision of sixty (60) days' written notice; (ii) by mutual agreement of the parties; or (iii) for "cause" (as defined herein) upon the provision of thirty (30) days' advance written notice by the party alleging cause.

  • Registration of this Agreement (a) The Developer agrees to procure the registration of this agreement under the Real Property Xxx 0000 (NSW) in the relevant folios of the Register of the Land in accordance with section 7.6 of the Act.

  • ENDING THIS AGREEMENT We may end this Agreement, close the Account or limit your right to access the Account at any time without telling you in advance. The Primary Cardholder may also end this Agreement by telling us. Even if this Agreement is cancelled, the Primary Cardholder is still responsible to pay all amounts owing on the Account. When the Agreement ends, benefits, services and coverages will automatically end, or we can cancel or change them at our discretion.

  • NEGOTIATION OF A SUBSEQUENT AGREEMENT The parties agree to commence negotiations for a new collective agreement to succeed this Agreement at least 3 months before the nominal expiry date. The parties intend to conclude these negotiations prior to the nominal expiry date. These negotiations shall be conducted on a collective basis between the parties with the negotiated outcome being subject to approval of a vote of the employees collectively.

  • Effective Date of the Agreement The date indicated in the Agreement on which it becomes effective, but if no such date is indicated, it means the date on which the Agreement is signed and delivered by the last of the two parties to sign and deliver.
