dBetaH Inhibitors. With respect to the Tier 3 Program directed to dBetaH inhibitors, Synosia shall pay to Roche a license maintenance fee of [*****] due and payable either (i) by [*****], or (ii) if any clinical trial of a Tier 2 Product is ongoing as of such date, then by the earlier of (x) [*****]. The license maintenance fee with respect to the Tier 2 Program or any Tier 3 Program shall be payable either entirely in cash or entirely in preferred stock of Synosia Therapeutics Holding Ltd. (the “Synosia Holding”), as determined in accordance with this paragraph. Each such license maintenance fee will be payable entirely in cash, unless Roche notifies Synosia in writing, no later than ten (10) business days before the date upon which such license maintenance fee becomes due hereunder, that Roche wishes to have such license maintenance fee be payable in preferred stock of Synosia Holding. Synosia shall notify Roche in writing of the price per share of Synosia Holding preferred stock issuable to Roche and the valuation of Synosia Holding preferred stock on a fully diluted basis on a date selected by Synosia that is at least thirty (30) but no more than forty (40) business days prior to the date on which such license maintenance fee is due and payable (such date being hereinafter referred to as the “Valuation Date” for such license maintenance fee). The number of shares of Synosia Holding preferred stock issuable to Roche in any such instance (the “Roche Shares”) shall be determined by dividing the Swiss Franc equivalent of [*****], based on the average of the rates of exchange reported in The Wall Street Journal, Eastern U.S. Edition, on the ten (10) business days immediately preceding the date the applicable license maintenance fee is due, by the applicable amount set forth below: (1) if the most recent Synosia Holding preferred stock financing transaction preceding the date upon which such license maintenance fee is due and payable (the “Last Round”) occurred less than nine (9) months prior to the date upon which such license maintenance fee is due and payable, the price per share of Synosia Holding preferred stock paid by investors in the Last Round (as adjusted for any stock dividends, combinations, splits, recapitalizations and the like with respect to such shares after the Last Round); or (2) if the Last Round occurred more than nine (9) months prior to the date upon which such license maintenance fee is due and payable, the then-current fair market value per share of Sy...

  • Influenza Vaccine Upon recommendation of the Medical Officer of Health, all employees shall be required, on an annual basis to be vaccinated and or to take antiviral medication for influenza. If the costs of such medication are not covered by some other sources, the Employer will pay the cost for such medication. If the employee fails to take the required medication, she may be placed on an unpaid leave of absence during any influenza outbreak in the home until such time as the employee has been cleared by the public health or the Employer to return to the work environment. The only exception to this would be employees for whom taking the medication will result in the employee being physically ill to the extent that she cannot attend work. Upon written direction from the employee’s physician of such medical condition in consultation with the Employer’s physician, (if requested), the employee will be permitted to access their sick bank, if any, during any outbreak period. If there is a dispute between the physicians, the employee will be placed on unpaid leave. If the employee gets sick as a reaction to the drug and applies for WSIB the Employer will not oppose the application. If an employee is pregnant and her physician believes the pregnancy could be in jeopardy as a result of the influenza inoculation and/or the antiviral medication she shall be eligible for sick leave in circumstances where she is not allowed to attend at work as a result of an outbreak. This clause shall be interpreted in a manner consistent with the Ontario Human Rights Code.

  • Hepatitis B Vaccine Where the Hospital identifies high risk areas where employees are exposed to Hepatitis B, the Hospital will provide, at no cost to the employees, a Hepatitis B vaccine.

  • Library Borrowing privileges available without charge. Upon retirement an employee shall be issued a permanent individual library card.

  • COVID-19 Vaccine Passports Pursuant to Texas Health and Safety Code, Section 161.0085(c), Contractor certifies that it does not require its customers to provide any documentation certifying the customer’s COVID-19 vaccination or post-transmission recovery on entry to, to gain access to, or to receive service from the Contractor’s business. Contractor acknowledges that such a vaccine or recovery requirement would make Contractor ineligible for a state-funded contract.

  • Human Leukocyte Antigen Testing This plan covers human leukocyte antigen testing for A, B, and DR antigens once per member per lifetime to establish a member’s bone marrow transplantation donor suitability in accordance with R.I. General Law §27-20-36. The testing must be performed in a facility that is: • accredited by the American Association of Blood Banks or its successors; and • licensed under the Clinical Laboratory Improvement Act as it may be amended from time to time. At the time of testing, the person being tested must complete and sign an informed consent form that also authorizes the results of the test to be used for participation in the National Marrow Donor program.

  • Librarians The normal work week for librarians is 35 hours per week. The maximum for reference desk coverage is 20 hours per week. Individual faculty members may elect to exceed this maximum. Where librarians are involved in instructional modes listed in Article 12.03, these shall be pro-rated. For part-time regular and non-regular type 2 librarians, part of their assignment shall be scheduled as non reference desk duties as agreed upon by the librarian and the administrator responsible. Scheduling work shall follow past practices and shall be delivered in cooperation with the administrator responsible.

  • Speech Therapy This plan covers speech therapy services when provided by a qualified licensed • loss of speech or communication function; or • impairment as a result of an acute illness or injury, or an acute exacerbation of a chronic disease. Speech therapy services must relate to: • performing basic functional communication; or • assessing or treating swallowing dysfunction. See Autism Services when speech therapy services are rendered as part of the treatment of autism spectrum disorder. The amount you pay and any benefit limit will be the same whether the services are provided for habilitative or rehabilitative purposes.

  • Preceptor A per diem Registered Nurse 2 may serve as a preceptor after successfully completing a preceptor workshop or equivalent documented training and agreeing to and being appointed to be specifically responsible for planning, organizing, and evaluating the new skill development of one or more RNs as appropriate enrolled in a defined orientation program, the parameters of which have been set forth in writing by the Employer. This includes teaching, clinical supervision, role modeling, feedback, evaluation (verbal and written) and follow up of the new or transferring employee. The per diem RN 2 preceptor is eligible to receive preceptor premium pay when actually engaged in preceptor role responsibilities with/on behalf of the orienting RN. A per diem RN 2 substituting for the original preceptor during a period of absence and who has been designated to carry out the preceptor's complete responsibility (including following and/or adjusting the plan to meet learning needs and providing oral and written evaluation input) will receive preceptor pay. A preceptor may be assigned to a student when it is determined by the Employer that the employee has completed the required preceptor training or has agreed to and been appointed a preceptor. The employee is specifically responsible for planning, organizing, and evaluating the new skill development of the student as appropriately enrolled in a defined program, the parameters of which have been set forth in writing by the Employer. This includes teaching, clinical supervision, role modeling, feedback, evaluation (verbal and written) and follow up of the student.
