Tier 2 Product definition

Tier 2 Product shall have the meaning set forth in Section 8.3.2.
Tier 2 Product means any product which on the Relevant Date is Covered by a Valid Claim of a CMCC-Licensed Patent, but is not Covered by a Valid Claim of a CAMP4- Assignee Patent.
Tier 2 Product means a Licensed Product sold in a country where the Licensed Compound in such Licensed Product is a Tier 2 Compound (i.e., such compound meets the criteria in subsection 1.14(ii) and is [*] in such country). For the avoidance of doubt, Licensed Product shall not mean foods or dietary supplements.

  • The royalty reductions under Sections 4.4.2, 4.4.3 and 4.4.4 only apply with respect to Tier 1 Products, and are subject to a [***] floor i.e. the royalty rate for a Tier 1 Product may not fall below the royalty rate for a Tier 2 Product shown in the right hand column of Table 4.3 even if more than one of Sections 4.4.2, 4.4.3 and 4.4.4 are applicable.

More Definitions of Tier 2 Product

Tier 2 Product means a Licensed Product that does not contain a Tier 1 Compound as an active pharmaceutical ingredient (but contains (for clarity) a Tier 2 Compound as an active pharmaceutical ingredient).
Tier 2 Product means any pharmaceutical compound or product that is listed hereafter, contains the compounds listed hereafter as an active ingredient, or is derived from the application of any of the compounds listed hereafter: [ ].
Tier 2 Product means a Product, other than a Tier 1 Product, where [***].
Tier 2 Product means any product in any form or formulation that contains or incorporates a Program Compound described in Section 1.42(b).

Related to Tier 2 Product

  • Diagnostic Product means any test or assay for diagnosing or detecting a disease, disorder, medical condition, or symptom.

  • Combination Product means a product (a) containing a Licensed Product together with one or more other active ingredients, or (b) with one or more products, devices, pieces of equipment or components, but sold for an integrated price (e.g., with the purchase of one product the customer gets a coupon for the other) or for a single price.

  • Generic Product means a product which (a) contains as its active pharmaceutical ingredient a compound that is (or is substantially the same as) the Licensed Compound, and (b) has been placed on the market pursuant to a validly granted marketing authorization.

  • Licensed Product means any pharmaceutical product containing a Licensed Compound (alone or with other active ingredients), in all forms, presentations, formulations and dosage forms.

  • Collaboration Product means any pharmaceutical product in finished form that contains a Collaboration Compound, either as the sole active ingredient or in combination with one or more other active ingredients, and all present and future formulations, dosages and dosage forms thereof.

  • Licensed Compound means [***].

  • Drug Product means a specific drug in dosage form from a known source of manufacture, whether

  • Approved Product means any water fitting, plumbing product, material or component which is the subject of an existing WRAS Approval;

  • Back-Up Compound means, with reference to any particular Development Candidate or Drug Product Candidate, a Compound which (a) has the same principal mode of action (i.e., Potentiator or Corrector) as that Development Candidate or Drug Product Candidate; and (b) was among the group of Compounds, identified by VERTEX as potential additional lead molecules having the same principal mode of action, from which the Development Candidate was selected.

  • Covered Product The consumer product that You purchased concurrently with and is covered by this Agreement.

  • Product Candidate means each of MYO-101, MYO-102, MYO-103, MYO-201 and MYO-301, as defined on Exhibit B, in each case in any form or formulation.

  • Collaboration Compound means any of the following: (a) FG-4592, (b) any HIF Compound (other than FG-4592) that is added to this Agreement pursuant to Section 3.6, and (c) any salts, esters, complexes, chelates, crystalline and amorphous morphic forms, pegylated forms, enantiomers (excluding regioisomers), prodrugs, solvates, metabolites and catabolites of any of the foregoing ((a) or (b)).

  • Nicotine product means a product that contains nicotine and is not any of the following:

  • Lead Compound means any compound of lead other than galena which, when treated in the manner described below, yields to an aqueous solution of hydrochloric acid a quantity soluble lead compound exceeding, when calculated as lead monoxide, five percent of the dry weight of the portion taken analysis.

  • Bundled Product means Product sold together with any other product(s) or service(s) at a single unit price, whether packaged together or separately, and which other product(s) or service(s) have material independent value from Product itself.
