Deductions and Offsets Sample Clauses
The Deductions and Offsets clause allows one party to reduce amounts payable to the other party by subtracting sums that are owed or due under the agreement. In practice, this means if one party has incurred costs, damages, or other liabilities that the other party is responsible for, these amounts can be deducted from payments otherwise due. This clause ensures that financial adjustments can be made efficiently within the contract, helping to resolve disputes over payments and preventing the need for separate recovery actions.
Deductions and Offsets. If a payment of the Fee due hereunder for any month has been made, and the amount of such payment exceeds the amount of the Fee that actually was due hereunder for such month, then Comcast shall have the right to offset against any amounts then or thereafter due to Studio under this Agreement (including any future Fees) in an amount equal to such excess amount.
Deductions and Offsets. Broker may disburse from any funds Broker holds in a trust account for Owner:
1. Any compensation due Broker under this agreement;
2. Any funds Broker is authorized to expend under this agreement; and
3. Any reimbursement Broker is entitled to receive under this agreement.
Deductions and Offsets. Before calculating the net proceeds that are to be divided between LHR and Licensor, the following deductions shall be made:
i. any returns or defective goods allowances;

iii. any other mutually agreed expenses directly associated with the distribution of the patterns or collections.
iv. any other amounts owed to LHR by Licensor.
Deductions and Offsets. The Ambassador authorizes the Company to deduct fees from its Commissions as deemed appropriate in accordance with Section 6 herein or any other term or condition of the Contract. Any fees will be assessed at the sole discretion of the Company.
Deductions and Offsets. Customer may not:
5.4.1 pay any sum payable by Customer to Keyloop under the Contract net of any deduction or withholding whatsoever; or
5.4.2 offset any sum owed to it by Keyloop under the Contract, or under any other contract between them, against any sum payable by Customer to Keyloop under the Contract.
