DELAY FEE. If: (i) any registration statement required to be filed pursuant to Section 6(a) is not filed within the time period specified therein, (ii) a registration statement filed hereunder is not declared effective by the SEC within the time period specified in Section 6(a) or (iii) a registration statement ceases to be effective and available for resales of Registrable Securities by Investor when the Company is required to keep such registration statement effective under this Agreement, (any such failure or breach being referred to as a "REGISTRATION DEFAULT" and, for purposes of clause (i), (ii) or (iii), the date on which such Registration Default occurs, being referred to as an "EVENT DATE"), then, in addition to, and not in lieu or limitation of, any other remedies the Investors may have in law (including damages) or equity, the Company shall pay to Investor an amount, in cash ("RD FEES") (x) upon the occurrence of a Registration Default, an amount equal to $0.165 for each Registrable Security then held by Investor, and (y) if the Registration Default has not been cured by the first month anniversary following the date of the Registration Default, an amount equal to $0.165 for each Registrable Security then held by Investor, and (z) on each monthly anniversary thereafter until the Registration Default has been cured, an amount equal to $0.165 for each Registrable Security then held by Investor; provided, however, that all periods referred to in clauses (y) and (z) above shall be tolled during delays caused by the action or inaction of Investor, and the Company shall have no liability to Investor in respect of any such delay. The RD Fees payable pursuant hereto shall be payable within five (5) business days following the date of the Registration Default or the monthly anniversary thereof, as the case may be. Notwithstanding anything to the contrary contained herein, RD Fees shall not be payable under this Section 6(g) for more than one Registration Default occurring or existing at any one time.

DELAY FEE. (a) The Company agrees that the Holders will suffer damages if the Company fails to fulfill its obligations under Section 2 hereof and that it would not be feasible to ascertain the extent of such damages with precision. Accordingly: (i) if the Company fails to offer the Holders the right to request inclusion of any of such Holder’s Registrable Securities in a Proposed Registration pursuant to Section 2(b) hereof; or (ii) if, after due receipt of a written request by a Holder pursuant to Section 2(b) hereof to include its Registrable Securities in a Proposed Registration, the Company fails to include such Registrable Securities in the Proposed Registration (subject to the limitations of Section 2(c) hereof) upon effectiveness of the Registration Statement (each such event referred to in the preceding clauses (i) and (ii), a “Registration Defaul”), then the Company will pay a delay fee (the “Delay Fee”) on the Registrable Securities calculated for the period from and including the date on which any such Registration Default shall occur to, but excluding, the date on which all Registration Defaults have been cured. The Delay Fee shall be calculated as a percentage of the aggregate principal amount of all Registrable Securities included or required to be included in such Registration Statement, subject to Section 2(c), and the percentage rate will be 0.25% per annum for the first thirty (30) day period immediately following the occurrence of a Registration Default, and such rate will increase by an additional 0.25% per annum for each thirty (30) day period thereafter until all Registration Defaults have been cured, provided that the maximum Delay Fee rate shall be 1.00% per annum from and including the date on which any such Registration Default shall occur to but excluding the earlier of (1) the date on which all Registration Defaults have been cured or (2) the date on which all the Registrable Securities included or required to be included in such Registration Statement cease to be Registrable Securities. Such Delay Fee will be in addition to any interest payable from time to time with respect to the Registrable Securities. If, after the cure of all Registration Defaults then in effect, there is a subsequent Registration Default, the Delay Fee rate for such subsequent Registration Default shall initially be 0.50% regardless of the rate in effect with respect to any prior Registration Default at the time of cure of such Registration Default. DELAY FEE. If, at the end of each calendar month, ten percent (10%) or more of Addenda have exceeded the Guaranteed Substantial Completion Date, Sunrun may assess, and Contractor agrees to pay a fee for delay (“Delay Fee”) in the amount of two hundred dollars ($200) for each Addendum which has exceeded the Guaranteed Substantial Completion Date. The percentage shall be calculated as the number of Addenda exceeding the Guaranteed Substantial Completion Date divided by the number of all executed Addenda that have not yet reached Substantial Completion. Sunrun may invoice Contractor on a monthly basis for Delay Fees accruing under any Addendum. Contractor shall pay such Delay Fees within ten (10) Business Days following Sunrun’s issuance of such invoice. Alternatively, Sunrun may set off such amounts against subsequent amounts due and owing to Contractor under this Contract. Delay Fees not paid when due (and if not set off by Sunrun) shall accrue interest at the Default Rate until paid. Any delay in Sunrun enforcing this provision, invoicing or setting off Delay Fees shall not be a waiver of Sunrun’s rights to Delay Fees pursuant hereto.

DELAY FEE. If at any time any Delay Fee (as defined in the Registration Rights Agreement) becomes payable by the Company pursuant to the Registration Rights Agreement, the Company shall duly and promptly (i) deliver to the Trustee an Officers’ Certificate to that effect and stating (a) the amount of such Delay Fee that is payable and (b) the date on which such Delay Fee is payable pursuant to the terms of the Registration Rights Agreement and (ii) pay to each Holder such Delay Fee in such amount and on such date as set forth in the Registration Rights Agreement. Unless and until the Trustee receives such an Officers’ Certificate, the Trustee may assume without inquiry that no Delay Fee is payable.
