Deliverables and Technical Assistance. 6 1 Ramp agrees to provide Fabco with the Deliverables and all necessary information, and necessary and reasonable technical assistance, including, but not limited to, the items listed in Attachment A entitled "Deliverables and Technical Assistance", to start up Fabco and fully enable Fabco to manufacture, assemble, and test the Licensed Products, as soon as such items are available, and on an equal priority basis with Ramp's efforts to start up and fully enable Ramp or any of Ramps other manufacturers.

Deliverables and Technical Assistance. LICENSOR shall disclose and deliver to LICENSEE in the form reasonably satisfactory to LICENSEE, prior to the Effective Date, (a) a complete copy of the drawing of the SMARTBOOK and all of its components as listed on Exhibit D; (b) a full description of the specific equipment, components of SMARTBOOK or support systems, if any, which are required for the use of such Technology as listed on Exhibit E; (c) information regarding the required training, if any, for using such Technology and the required maintenance, if any, as listed on Exhibit F; (d) to the best of its knowledge, a list of comparable technology utilized in the development of the Technology or SMARTBOOK, as listed on Exhibit G; (e) a list of all Intellectual Property Rights LICENSOR owns with respect to the Technology or SMARTBOOK in any applicable jurisdiction, as listed on Exhibit H; (f) a list of customers to whom LICENSOR has sold gaming products (the “Existing Customers”) and the number of gaming products sold in the past three (3) years, as well as any open orders for delivery on or after the Effective Date, as listed on Exhibit I; and (g) any other information necessary for LICENSEE to effectuate the license of the Technology. LICENSOR shall thereafter from time to time disclose in writing to LICENSEE all LICENSOR Enhancements to the Technology or SMARTBOOK, including any Documentation therefor in reproducible form. In addition, from time to time during the term of this Agreement, and at LICENSEE’s request, LICENSOR shall provide to LICENSEE reasonable technical assistance, including, but not be limited to, technical support, installation and implementation services.

  • Technical Assistance DFPS may provide informal support, guidance, clarification, and other forms of technical assistance via phone, email, and virtual meeting to resolve Grant or performance compliance issues. Grantee will document all such instances of technical assistance by DFPS in writing, including any implementation work.

  • DEVELOPMENT OR ASSISTANCE IN DEVELOPMENT OF SPECIFICATIONS REQUIREMENTS/ STATEMENTS OF WORK

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Uncovering and Correction of Work 12.1 The Contractor shall promptly correct Work rejected by the Owner or failing to conform to the requirements of the Contract Documents, whether observed before or after Substantial Completion and whether or not fabricated, installed or completed, and shall correct any Work found to be not in accordance with the requirements of the Contract Documents within a period of two years from the date of Substantial Completion, or by terms of an applicable special warranty required by the Contract Documents. The provisions of this Article apply to work done by Subcontractors as well as to Work done by direct employees of the Contractor. 12.2 At any time during the progress of the work, or in any case where the nature of the defects shall be such that it is not expedient to have them corrected, the Owner, at their option, shall have the right to deduct such sum, or sums, of money from the amount of the contract as they consider justified to adjust the difference in value between the defective work and that required under contract including any damage to the structure.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil. Company shall be solely responsible for the sufficiency and adequacy of the Specifications [***].

  • Statement of Work The Statement of Work to which Grantee is bound is incorporated into and made a part of this Grant Agreement for all purposes and included as Attachment A.

  • Payments for Distribution Assistance and Administrative Support Services (a) Payments to the Distributor. In consideration of the payments made by the Fund to the Distributor under this Plan, the Distributor shall provide administrative support services and distribution services to the Fund. Such services include distribution assistance and administrative support services rendered in connection with Shares (1) sold in purchase transactions, (2) issued in exchange for shares of another investment company for which the Distributor serves as distributor or sub-distributor, or (3) issued pursuant to a plan of reorganization to which the Fund is a party. If the Board believes that the Distributor may not be rendering appropriate distribution assistance or administrative support services in connection with the sale of Shares, then the Distributor, at the request of the Board, shall provide the Board with a written report or other information to verify that the Distributor is providing appropriate services in this regard. For such services, the Fund will make the following payments to the Distributor:
