Delivery and Security. All Zee Group Channels must be delivered by the IPTV Operator to subscribers in a securely encrypted manner and without any alteration. The transmission specifications and infrastructure allocated by IPTV Operator in respect of the broadcast signals of the Zee Group Channels by IPTV Operator to its Subscribers shall be no worse than that of the signal of any other channel within the same genre on its IPTV Platform. ZEEL shall provide requisite number of Integrated Receivers and Decoders (IRDs) subject to payment of stipulated interest free security deposit per IRD as per the conditions laid down in the TRAI Regulations. Further, the IPTV Operator shall confirm the details of Integrated Receiver Decoder (IRD’s) in respect of all such channels availed from ZEEL in the format provided in ANNEXURE XI. The Parties acknowledge and agree that in the event the IPTV Operator intends to make any changes to the Addressable System’s security and encryption technology, including the encryption system (other than standard software upgrades which are deemed not to be material changes), during the Term, the IPTV Operator shall intimate the same to ZEEL by submitting Form for Change in Addressable Systems which is made available on ZEEL’s Website.
Delivery and Security. (a) The Operator shall retransmit the signals of the Subscribed Channels to the Subscribers in a securely and encrypted manner. The Operator undertakes to carry the Subscribed Channels in its entirety, in the order and at the time transmitted by the Broadcaster without any editing, delays, alterations, interruptions, picture squeezing or re-sizing, insertion of graphic or animated overlays, pull-through or crawls, deletions or additions, except as authorized in advance in writing by the Broadcaster, including for any electronic program guide as referenced in Clause 6 below. The Operator shall not retransmit any portion of the Subscribed Channels except as specifically authorized by the Broadcaster. Subject to Applicable Laws, the Broadcaster have the right to alter any or all of the Subscribed Channels, including the names, logos of the Subscribed Channels, the programming exhibited on the Subscribed Channels and the mode of offering of the Subscribed Channels.
(b) The uplink specifications, satellite capacity and infrastructure allocated by the Operator in respect of the signal of the Subscribed Channels to its subscribers shall be no worse than that of the signal of any other channel within the same genre on the Operator’s IPTV Service.
(c) It is expressly agreed that the Operator shall only offer all/any Subscribed Channels at all times during the Term to the Subscribers as a linear television service only on a 24 hour per day, 7 day per week, 365(6) days a year basis, with effect from such Subscribed Channels being activated at the Subscriber’s end on account of it being offered in a Package or such Subscribed Channels being availed on a-xx-xxxxx basis by the Subscriber, till the time such Subscriber is switched off by the Operator for being a defaulter or such Subscriber having expressly indicated its intention to discontinue its subscription to such Subscribed Channel(s) or Packages containing such Subscribed Channel(s) in accordance with Applicable Laws/extant regulations. Provided that the Operator shall keep such Subscribed Channel(s) or Packages containing such Subscribed Channel(s) active at the Subscriber’s end for a minimum period of six (6) months from the date such Subscriber has subscribed to such Subscribed Channel(s) or Packages containing such Subscribed Channel(s), however, subject to availability of the Subscribed Channel(s) on the IPTV Service of the Operator. The Operator undertakes to carry the Subscribed Channel(s) in entirety, in the order and at the time transmitted by the Broadcaster without any editing, delays, alterations, interruptions, picture squeezing or re-sizing, re-configuration, insertion of graphic or animated overlays, pull-through or scroll/scrawls/crawls, deletions or additions (collectively “Alterations”), except as authorized in advance in writing by the Broadcaster, including for the EPG as referenced in Clause 10 below. The Operator shall not retransmit any portion of the Subscribed Channel(s) except as specifically authorized by the Broadcaster. Subject to Applicable Law(s), the Broadcaster shall have the right to alter any or all of the Subscribed Channel(s), including the names, logos of the Subscribed Channel(s), the programming exhibited on the Subscribed Channel(s) and the mode of offering of the Subscribed Channel(s).
8.2. The Operator’s transmitting facilities shall be fully capable of individually addressing Subscribers on a channel-by channel and decoder-by-decoder basis.
8.3. In the event the Broadcaster is unable to block or black out the transmission of any Withheld Program(s) from the Subscribed Channel(s), then the Operator agrees not to exhibit, and shall block or black out the transmission of any Withheld Program(s) upon notification from the Broadcaster (emails permitted).
8.4. Without limitation to the terms of Clause 8.1 above, the Operator also agrees and undertakes that it shall not superimpose or otherwise insert any advertisements, promotions, programs, data or content, whatsoever either its own or that of any other channel before, during, after or along with the content of the Subscribed Channel(s).
8.5. For the avoidance of doubt, the Operator shall not conduct any Alterations to the Subscribed Channel(s) for any purpose or copy and store the content of the Subscribed Channel(s) on any storage device in any medium. Additionally, the Operator will not enable the Subscribers to do the same.
8.6. Without prejudice to the foregoing, the Operator is allowed to only add or insert its own trademark, logo, name or other insertion of similar nature in the form of translucent watermark, any ‘On Screen Display’ (“OSD”) while re-transmitting the signals of the Subscribed Channel(s). SUN has the right to alter any or all of the respective Subscribed Channel(s), including the name(s) of such Subscribed Channel(s) and the programming exhibited on such Subscribed Channel(s).

(ii) The transmission specifications and infrastructure allocated by the Operator in respect of the broadcast signal of the XXXXX SATCOM LTD’s Channels by the Operator to its Subscribers shall be no worse than that of the cable signal of any other channel within the same genre on its digital addressable cable TV system platform.
Delivery and Security. The Subscribed Channels must be delivered by the Operator to the Subscribers (through the Operator‟s own Cable Network and Affiliated Cable Operators) in a securely encrypted manner without any alterations. The transmission specifications and infrastructure allocated by the Operator in respect of the retransmission of the signal of the Subscribed Channels to its Subscribers (through the Operator‟s own Cable Network and Affiliated Cable Operators) shall be no worse than that of the cable signal of any other channel within the same genre on its digital Addressable System. SUN have the right to alter any or all of the respective Subscribed Channel(s), including the name(s) of such Subscribed Channel(s) and the programming exhibited on such Subscribed Channel(s).
Delivery and Security. All ZMCL Channels must be delivered by the DPO/ OPERATOR to subscribers in a securely encrypted manner and without any alteration. The quality of signals of the ZMCL Channels by DPO/ OPERATOR to its Subscribers shall be no worse than that of the cable signal of any other channel within the same genre on its digital addressable cable TV system platform. ZMCL shall provide requisite number of Integrated Receivers and Decoders (IRDs) subject to payment of stipulated interest free security deposit per IRD as per the conditions laid down in the TRAI Regulations. Further, the DPO/ OPERATOR shall confirm the details of Integrated Receiver Decoder (IRD’s) in respect of all such channels availed from ZMCL in the format provided in ANNEXURE XI. The Parties acknowledge and agree that in the event DPO/ OPERATOR intends to make any changes to the Addressable System’s security and encryption technology, including the encryption system (other than standard software upgrades which are deemed not to be material changes), during the Term, the DPO/ OPERATOR shall intimate the same to ZMCL by submitting Form for Change in Addressable Systems, provided the continuity and quality of signals of ZMCL Channels should not be affected.
Delivery and Security. You shall solely be responsible for any and all necessary equipment and connections from your own computer systems to the Preparis systems that will allow for access to the Services. Preparis shall have no responsibility for any such equipment or connections. You shall ensure that you have implemented security systems and procedures to prevent the unauthorized access to or misuse or disruption of the Services.
