Delivery of Documents and Other Information. Prior to the Post-Closing Date, PRCO shall have made available or delivered to the Company all of the agreements, contracts, documents and other instruments required to be delivered pursuant to the provisions of this Agreement.

The Trust shall deliver to CFS a certified copy of the resolution(s) of the Board of Trustees of the Trust (the "Board") appointing CFS and authorizing the execution and delivery of this Agreement. Prior to the commencement of CFS's responsibilities under this Agreement, if applicable, the Trust shall deliver or cause to be delivered to CFS (i) an accurate list of Shareholders of the Trust, showing each Shareholder's address of record, number of Shares owned and whether such Shares are represented by outstanding share certificates and (ii) all Shareholder records, files, and other materials necessary or appropriate for proper performance of the functions assumed by CFS under this Agreement (collectively referred to as the "Materials").
