Delivery of Financing Documents. The Administrative Agent shall have received each of the following fully executed documents, each of which shall be originals, portable document format (“pdf”) or facsimiles (followed promptly by originals), duly executed and delivered by each party thereto and in form and substance reasonably satisfactory to each Lender:

True and correct copies of the Indenture, the Series 2017 Loan Agreement and the TIFIA Loan Agreement have been, or on the Closing Date shall be, furnished to the Collateral Agent by the Borrower, and the Borrower agrees to furnish to the Collateral Agent prompt notice of any amendments or modifications thereto. Except with respect to Financing Documents to which it is a party, the Collateral Agent shall not be bound by any such modification or amendment unless it has received such notice. The Borrower hereby agrees to furnish copies of all Additional Financing Documents and any amendments or modifications thereto to the Collateral Agent and the Intercreditor Agent promptly following the execution and delivery thereof. Delivery of Financing Documents. Developer shall have furnished the City evidence satisfactory to the City of Developer's financial ability to complete the Project, which evidence, if requested by the City, may consist of validly executed financing documents within the reasonable discretion of the City acceptable to the City from qualified financial institutions of recognized responsibility, evidencing sufficient capital on deposit to secure financing, which capital shall not be subject to withdrawal prior to Closing. The City may, in its reasonable discretion, waive such requirements if Developer submits other evidence satisfactory to the City of Developer's financial ability to complete the Project.
Delivery of Financing Documents. (a) In case the Termination Notice is issued, the Seller shall deliver to AEDB copies of the Financing Documents and all amendments thereto (duly certified by the Agent as to accuracy and completeness) and including the principal repayment schedule (and all revisions thereto) that provides for debt repayment, the maximum principal amounts and interest (or markup) rate or rates and any schedules or formulae included in the Financing Documents for the computation of principal and interest (or markup), fees and charges payable to the Lenders upon the winding up for early termination of the loans under the Financing Documents, and identifying the equity commitments, individually and in total, of the Initial Shareholders. The Seller covenants that each loan agreement constituting part of the Financing Documents will provide that any liquidated damages received by the Seller from its EPC Contractor for capacity or other testing shortfalls shall be used either to reduce or pay the outstanding amount of debt under such loan agreement or in an effort to remedy such shortfalls or to make payments required under the Energy Purchase Agreement, if any. Delivery of Financing Documents. The Collateral Agent ------------------------------- acknowledges receipt from the Borrower of copies of all Financing Documents as in effect on the date hereof, certified by the Borrower to be true and correct. The Borrower shall deliver to the Collateral Agent, promptly upon the execution thereof, a true and complete copy of each additional Financing Document and all amendments, supplements or other modifications to any Financing Document entered into after the date hereof.
Delivery of Financing Documents. Delivery of any such Financing Documents may be made to the Custodian by, and may be represented solely by, (i) delivery to the Custodian of a facsimile or photocopy of an assignment or transfer agreement (an "Assignment Agreement") or (ii) a confirmation or certification delivered by or caused to be delivered by the Fund (a "Confirmation") stating that the Fund has acquired such Loan and has received or will receive, and will deliver or cause to be delivered to the Custodian, appropriate Financing Documents evidencing such Loan. Any such Assignment Agreement or Confirmation may be delivered without delivery of any promissory note, participation certificate or similar instrument (collectively, an "Instrument"). In the event that an original Instrument shall at any time be available with respect to any Loan otherwise evidenced only by an Assignment Agreement or a Confirmation, it shall be the sole responsibility of the Fund to make or cause delivery of such Instrument to the Custodian, and the Custodian shall be under no obligation at any time to determine whether any such original Instrument has been issued or made available with respect to such Loan, and shall not be under any obligation to cause delivery of such Instrument to the Custodian. The Custodian shall be under no obligation to require the delivery to the Custodian of any Financing Documents from a third party. Any reference to Financing Documents in this Amendment shall be deemed to include, without limitation, any Instrument, Assignment Agreement or Confirmation.
