The Company has delivered to CF&Co, or made available through IDEA, one complete copy of the Registration Statement and of each consent of experts filed as a part thereof, and conformed copies of the Registration Statement (without exhibits), and the Prospectus, as amended or supplemented, in such quantities and at such places as CF&Co has reasonably requested.

Presidio hereby agrees on behalf of the Partnerships and their general partners that, for purposes of compliance by Olympia (and any affiliates who are co-bidders in the Offers) with Rule 14d-3(a)(2) and (b) of the Rules, Olympia may hand deliver a copy of its Schedule 14D-1's together with all exhibits thereto and any amendments thereto to the Partnerships c/o Xxxxxx X. Xxxxxx, Esq., Proskauer Rose, LLP, 0000 Xxxxxxxx, Xxx Xxxx, Xxx Xxxx 00000 and shall send a copy of such materials to the Partnerships at their principal executive offices for delivery on the next business day.

Neither you nor any of your agents will give any information or make any representation with respect to the Companies or its business or affairs other than the information or representations contained in the Memorandum or any sales literature authorized for use in connection with the Offering, or such other information as is specifically authorized by the Companies.

The Company has furnished or will deliver to the Initial Purchasers and to counsel for the Initial Purchasers, without charge, during the Distribution Period (as defined below), as many copies of the materials contained in the General Disclosure Package and the Final Offering Memorandum, any amendments and supplements thereto, and any documents incorporated or deemed to be incorporated by reference therein or otherwise deemed to be a part thereof, as they may reasonably request.
