Deposit of Fraudulent Transactions. Merchant may not accept or deposit any fraudulent Transaction and may not under any circumstances present for processing or credit, directly or indirectly, a Transaction which originated with any other merchant or any other source other than Transactions arising from bona fide purchases from Merchant for the goods and services for which Merchant has been approved under this Agreement. If Merchant deposits any prohibited Transaction, Servicer may: (a) immediately terminate this Agreement; (b) withhold funds and demand an escrow as provided in this Agreement;

Additionally a Merchant must not deposit any transaction that is known to be either fraudulent or not authorized by the Cardholder. Merchant, and not Provider, is responsible for any advice from and the act or omissions (whether negligent, fraudulent, or intentional) by Merchant’s employees, representatives, processors, consultants, advisors, contractors, agents, officers, and directors. Merchant, and not Provider, is responsible for the use, unauthorized used, or misuse of Merchant’s equipment, POS terminals, or software.
