Descriptive Materials. The Participant shall not use or distribute Descriptive Materials that are inaccurate or misleading and shall ensure that its Downstream Episode Initiators, Participating Practitioners, BPCI Advanced Entities, NPRA Sharing Partners, NPRA Sharing Group Practice Practitioners, and other entities performing functions or services related to BPCI Advanced Activities do not use or distribute Descriptive Materials that are inaccurate or misleading. The Participant shall retain documentation of all Descriptive Materials in a manner consistent with Article 19.3.

Descriptive Materials. Companies will provide the Adviser with certain written materials that generically describe an indexed annuity contract, including the tax-deferral features, the typical crediting options available, and the charges and risks associated therewith. In addition, the Adviser may supply his clients with any generic information related to annuity contracts that it may choose. The Adviser hereby agrees that in no event will he directly or indirectly supply his clients with a copy of the Prospectus, an application for the Contracts or any other advertising materials specifically related to the Contracts.
Descriptive Materials. Descriptive company materials and histories for the bidder and each of the subcontractors identified in its bid demonstrating that the bidder complies with the experience requirements set forth in Section 2.1.2.

  • Promotional Materials In the event that the Fund or the Adviser makes available any promotional materials related to the Securities or the transactions contemplated hereby intended for use only by registered broker-dealers and registered representatives thereof by means of an Internet web site or similar electronic means, the Adviser will install and maintain, or will cause to be installed and maintained, pre-qualification and password-protection or similar procedures which are reasonably designed to effectively prohibit access to such promotional materials by persons other than registered broker-dealers and registered representatives thereof.

  • Board Materials X.X. Xxxxxx will prepare or compile Fund performance and expense information, financial reports, and compliance data and information for inclusion in the regular quarterly Board meeting materials. In this regard, X.X. Xxxxxx will:

  • Marketing Materials (a) During the term of this Agreement, the Sub-Adviser agrees to furnish the Manager at its principal office for prior review and approval by the Manager all written and/or printed materials, including but not limited to, PowerPointÒ or slide presentations, news releases, advertisements, brochures, fact sheets and other promotional, informational or marketing materials (the “Marketing Materials”) for internal use or public dissemination, that are produced or are for use or reference by the Sub-Adviser, its affiliates or other designees, broker-dealers or the public in connection with the Series, and Sub-Adviser shall not use any such materials if the Manager reasonably objects in writing within five business days (or such other period as may be mutually agreed) after receipt thereof. Marketing Materials may be furnished to the Manager by first class or overnight mail, facsimile transmission equipment, electronic delivery or hand delivery.

  • Literature The manufacturer/dealer shall furnish price lists, catalogs, and description literature upon request by any using entity, and at no cost to the entity.

  • Artwork Licensee must use the Java Logo(s) only in the exact form of approved camera-ready artwork or electronic artwork received from Oracle or Oracle's designee.

  • Examples (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.
