Designation of Escrow Agent. Xxxxxx agrees that Xxxxxxxxx may designate an escrow agent to act on behalf of the Parties in connection with the consummation and closing of this Agreement.
Designation of Escrow Agent. The Applicant, Property Owner and BOH hereby appoint Attorney Xxxxxxxx X. Xxxx, P.C., 00 Xxxxxxxxxx Xxxxxx, Xxxx X00, Xxxxxxx, XX 00000 (“LPMPC”) to serve as Escrow Agent subject to the terms of this Agreement. LPMPC hereby accepts its appointment as Escrow Agent.
Designation of Escrow Agent. The Parties, in consideration for the Escrow Agent’s agreement to perform the duties of an escrow agent (a nondiscretionary agent) under this Agreement, hereby designate the Escrow Agent as an escrow agent and Escrow Agent hereby agrees to act as escrow agent as herein established. This Agreement shall only become effective upon the Closing of the Merger. The Escrow Agent, as escrow agent but not as trustee or fiduciary in any respect, shall take, hold and distribute the Escrow Property in accordance with the terms of this Agreement and shall hold the Escrow Property as escrow agent. However, the Escrow Agent shall not be liable for any act, omission or determination made in connection with this Agreement except for its bad faith or willful misconduct. Without limiting the generality of the foregoing, the Escrow Agent shall not be liable for any losses arising from its compliance with written or oral directions and shall be fully protected in acting in good faith upon any instrument, certificate or paper believed by it to be genuine and to be signed or presented by the proper person or persons and the Escrow Agent shall be under no duty to make any investigation or inquiry as to any statement contained in any such writing, but may accept the same as conclusive evidence of the truth and accuracy of the statements therein contained.
Designation of Escrow Agent. Buyer and Seller hereby designate and appoint the Escrow Agent as escrow agent to serve in accordance with the terms of this Escrow Agreement. The Escrow Agent hereby accepts such appointment and agrees to perform the duties set forth herein.
Designation of Escrow Agent. Maximum Title and Escrow Services, or such other title company as may be chosen by mutual agreement of Seller and Purchaser, is hereby designated as the "Escrow Agent" in connection with this transaction. Immediately following the date the Agreement is executed by both parties, Purchaser and Seller shall open an escrow account with the Escrow Agent. This Agreement shall serve as escrow instructions and shall be subject to the usual conditions of acceptance of the Escrow Agent, insofar as the same are not inconsistent with any of the terms hereof.
Designation of Escrow Agent. 1.1 Pursuant to the provisions of Article 2 of the Purchase Agreement, the Company and Sprott hereby designate the Escrow Agent to act as the escrow agent referred to in the Purchase Agreement.

The XFM Shareholder and XML hereby designate and appoint the Escrow Agent as escrow agent to serve in accordance with the terms of this Escrow Agreement during the Escrow Period. The Escrow Agent hereby accepts such appointment and agrees to perform the duties set forth herein.
