DEVELOPER’S SECURITY CONSULTANTS AND SECURITY DESIGNS. (a) In designing and constructing the Project, including the Tower and the Secured Areas, Developer shall retain a qualified and experienced security consultant, approved by the TJPA, which approval shall not be unreasonably withheld, conditioned or delayed (“Developer Security Consultant”), to recommend safety and security design measures for the Project, including the Tower and the Secured Areas, to appropriately maximize the protection of the public from injury due to human caused and natural events including earthquake, flood, wind, precipitation, building movement, terrorist attack, sabotage, civil unrest or civil disturbances, accidents, and criminal acts. The measures described in Exhibit A shall be incorporated into the design and construction of the Project. In addition, the Developer Security Consultant shall recommend measures for the Secured Areas that include protective design features and situational awareness systems deemed appropriate by the Developer Security Consultant for the development of a safe and secure Project. The Developer Security Consultant shall perform a Risk Vulnerability Assessment (“RVA”) at an early stage in the design process for the Project so that its recommendations can be considered for incorporation into the final design of the Project. The Developer Security Consultant shall submit its recommendations in confidence to Developer. Developer shall then adopt appropriate design measures to be incorporated in the Project (which shall include, but are not limited to, all of the design and operational measures described in Exhibit A). Developer shall then oversee the incorporation of the adopted measures in the design, construction, and operation of the Project. Those measures shall take into account and be coordinated with the safety and security program for the Transit Center.

  • Use of Project Development Security Buyer shall be entitled to draw upon the Project Development Security posted by Seller for Daily Delay Damages until such time as the Project Development Security is exhausted. Buyer shall also be entitled to draw upon the Project Development Security for any damages arising upon Buyer’s declaration of an Early Termination Date.

  • Background and Security Investigations 8.1 For the safety and welfare of the children to be served under this Contract, CONTRACTOR shall, as permitted by law, ensure that its staff, employees, independent contractors, volunteers or subcontractors who may come in contact with children in the course of their work, undergo and pass a background investigation to the satisfaction of COUNTY as a condition of beginning and continuing to work under this contract. Such background investigation may include, but shall not be limited to criminal conviction information obtained through fingerprints submitted to the California Department of Justice. The fees associated with the background investigation shall be at the expense of the CONTRACTOR, regardless if the member of CONTRACTOR’s staff passes or fails the backgrounds investigation.

  • Access and Security Customer shall employ all physical, administrative and technical controls, screening and security procedures and other safeguards necessary to: (a) securely administer the distribution and use of all Access Credentials and protect against any unauthorized access to or use of the Hosted Services; and (b) control the content and use of Customer Data, including the uploading or other provision of Customer Data for Processing by the Hosted Services.

  • Password and Security If you are issued or create any password or other credentials to access the Service or the portion of the Site through which the Service is offered, you agree not to give or make available your password or credentials to any unauthorized individuals, and you agree to be responsible for all actions taken by anyone to whom you have provided such credentials. If you believe that your credentials have been lost or stolen or that someone may attempt to use them to access the Site or Service without your consent, you must inform us at once at the telephone number provided in Section 6 of the General Terms above.   • Background Screening and Security 14 These General Contract Conditions supersede and replace in their entirety all General Contract Conditions, Form PUR 1000, which is incorporated by reference in Rule 60A-1.002, Florida Administrative Code (F.A.C.)

  • Intellectual Property Rights in Construction Documents, Drawings, and Models The drawings, Specifications and other documents prepared by the Design Professional pursuant to this Contract (including, without limitation, the Construction Documents), are the property of the Owner, whether or not the Project for which they are made commences or completes construction. Neither the Contractor nor any Subcontractor or material or equipment supplier shall own or claim a copyright in such drawings, Specifications, and other similar or related documents; Owner shall retain all common law, statutory, and other intellectual property rights with respect thereto. The Contractor must deliver remaining copies of such documents to the Owner upon request or upon completion of the Work, except that the Contractor may keep one copy of such documents for its files. The Contractor shall only use such drawings, Specifications and other documents for this Project. Neither the Contractor nor any Subcontractor or material or equipment supplier may use such drawings, Specifications, and other documents on other projects without the specific written consent of the Owner. All models are the property of the Owner.

  • Selection of Subcontractors, Procurement of Materials and Leasing of Equipment The contractor shall not discriminate on the grounds of race, color, religion, sex, national origin, age or disability in the selection and retention of subcontractors, including procurement of materials and leases of equipment. The contractor shall take all necessary and reasonable steps to ensure nondiscrimination in the administration of this contract.

  • Data and Security If Contractor is granted access to Court Data, Confidential Information or Court Work Locations in the performance of the Work;
