Direction of Services. Employee shall at all times report directly to, and discharge his duties in consultation with and under the supervision and direction of, the Chief Executive Officer of the Company.

Direction of Services. The Employer shall direct, control and supervise the duties and work of Executive; provided, however, that the Employer shall not impose employment duties or constraints of any kind which would require Executive to violate any ordinance or law.

(b) Notwithstanding anything herein to the contrary, the Manager shall not take (or cause the Company or any of its subsidiaries to take) any action that the Company would be prohibited from taking without the approval of (i) the Board or (ii) Majority Vote of the Members (as defined in the LLC Agreement) pursuant to the LLC Agreement, including pursuant to Section 2.4 of the LLC Agreement, without the Company having first obtained the applicable approval of the Board.
