Direction of Services. Employee shall at all times report directly to, and discharge his duties in consultation with and under the supervision and direction of, the Chief Executive Officer of the Company.

The Parties acknowledge that Owner’s need for and scope of the Services may change from time to time depending on the nature, number and size of the interests comprising the Assets held by Owner at any given time, and Owner reserves the right to change the scope of the Services consistent with Exhibit A from time to time by agreement with the Manager.
Direction of Services. All services to be performed by Resident pursuant to this Agreement shall be performed under the supervision and direction of the Director. Resident hereby agrees to comply with such policies and procedures as Hospital (including the Program) shall from time to time adopt; provided, however, that Hospital shall not impose employment duties or constraints of any kind, which would require Resident to infringe the ethics of the medical profession or violate any ordinance or law. The relationship between Resident and Hospital is not intended to modify or affect, in any way, the physician-patient privilege or relationship or to interfere with the independent exercise of Resident's medical judgment. Resident acknowledges and agrees that Hospital will have the exclusive right to allocate the patients among its employees with due regard to the needs of the patient, the specialty and skill of the employees, and the workload of the employees.

(a) Except with respect to the means or method by which Manager performs the Services (which will at all times be subject to the direction or control of Manager), the provision of the Services hereunder are at all times subject to the direction of the Board of Directors of Owner; provided that, subject to the terms of the LLC Agreement, Manager will have the power and authority to take the actions enumerated in Section 2.6(b) of the LLC Agreement. The Parties acknowledge that Owner’s need for and scope of the Services may change from time to time depending on the nature, number and size of the interests held by Owner at any given time, and Owner and Manager may change the scope of the Services consistent with Exhibit A from time to time by mutual agreement of Owner (with the approval of the Board of Directors) and Manager.

(a) Except with respect to the means or method by which Manager performs the Services (which will at all times be subject to the direction or control of Manager), the provision of the Services hereunder are at all times subject to the direction of Owner; provided that, subject to the terms of the LLC Agreement, Manager will have the power and authority to cause the expenses of Owner or its subsidiaries in connection with the Assets to be paid or pre-paid (if required) and to generally manage the day to day administrative operations of the Business, including accounting for all revenue and expenses, communicating with well operators, managing cash flow and taking such other actions as necessary for the efficient administration of the Business all subject to the oversight of Owner. The Parties acknowledge that Owner’s need for and scope of the Services may change from time to time depending on the nature, number and size of the interests held by Owner at any given time, and Owner and Manager may change the scope of the Services consistent with Exhibit A from time to time by mutual agreement of Owner and Manager.

The Employer shall have the exclusive right to allocate the patients among its employees with due regard to the source of the patient, the specialty and skill of the employees, and the work load of the employees. The Employer shall have the right to determine the days and hours when the Employee shall perform his duties; provided, however, that the Employee shall not be required to work longer than a physician's normal work week.
