DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS. None of the Directors and/or major shareholders of the BKCB and/or persons connected with them have any interest, direct or indirect in this DA.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS. None of the directors, major shareholders and persons connected with a director or a major shareholder of KAG has any interest, direct or indirect in the RA.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS. None of the directors, major shareholders and persons connected with a director or a major shareholder of Ipmuda has any interest, direct or indirect on the MMDA.
DIRECTORS’ AND MAJOR SHAREHOLDERS’ INTERESTS. Save as disclosed below, none of the Directors and Major Shareholders of KPS as well as persons connected with them have any interest, direct and/or indirect in the Contract: YB Dato’ Xxxxx xxx Xxxxx (“Interested Director”) sits on the Board of Menteri Besar Selangor Incorporated (“MBI”), Darul Ehsan Investment Group Berhad (“XXXX”), Air Selangor and Air Selangor Holdings Berhad (“ASHB”). The Interested Director is the Chairman who is a Non-Independent Non-Executive Director of KPS. XXXX is a major shareholder of KPS with direct shareholding of 57.88%. Air Selangor is a wholly owned subsidiary of ASHB. MBI is the holding company of XXXX and ASHB. YB Dato’ Xxx Xxxxx xxx Xxxxx (“Former Interested Director”) had resigned as Chairman and Non-Independent Non-Executive Director of KPS on 1 November 2021. He sat on the Boards of MBI, XXXX, Perbadanan Kemajuan Negeri Selangor (PKNS), Air Selangor and ASHB prior to his resignation. Xxxxx Xxxxxx Xxxxxxx xxx Xxxxxxxx (“Former Interested Director”) had resigned as a Non- Independent Non-Executive Director of KPS on 14 March 2022. He was a board representative of MBI in KPS prior to his resignation. The Interested Director mentioned above shall abstain and will continue to abstain from all deliberations and voting at the Board of Directors’ meeting and/or Directors’ Circular Resolution (where applicable) of KPS in respect of the RRPT pursuant to Section 221 and 222 of the Companies Act, 2016.

Save as disclosed below, none of the directors and/or major shareholders of Xxxx Xxxxx or SDBH or SDAD and/or persons connected to them have any interest, direct or indirect, in the Sale:- Encik Xxxxxxx Xxxxxx bin Xxxxxxx is a director and a major shareholder of SDBH and BOTSB. Encik Xxxxxxx Xxxxxx bin Xxxxxxx has abstained from deliberating and voting in respect of the Sale at the board meeting of SDBH.
