Disabling Codes. Each Party agrees that it will not insert or use disabling codes in any software or equipment used to provide the Services. The Parties further covenant that with respect to any disabling code that may be part of any software or equipment used to provide the Services, neither Party will invoke such disabling code at any time, including upon expiration or termination of this Agreement for any reason.

Disabling Codes. To the knowledge of the Shareholders and Precision, the software used in Precision Products and Services is free of any disabling codes or instructions (a "DISABLING CODE"), and any virus or other intentionally created, undocumented contaminant (a "CONTAMINANT"), that may, or may be used to, access, modify, delete, damage or disable the Systems (as defined below) or that may result in damage thereto. Software obtained from third party suppliers is, to the knowledge of the Shareholders and Precision, free of any Disabling Codes or Contaminants that may, or may be used to, access, modify, delete, damage or disable any of the Systems (as defined below) or that might result in damage thereto. Precision has taken reasonable steps and implemented reasonable procedures to ensure that its internal computer systems (consisting of hardware, software, databases or embedded control systems, "SYSTEMS") are free from Disabling Codes and Contaminants. Except as may be set forth in Section 3.19 of the Precision Disclosure Schedule, Precision has in place appropriate disaster recovery plans, procedures and facilities and has taken all reasonable steps to safeguard its Systems and restrict unauthorized access thereto.
Disabling Codes. ViaSat will not, without informing SAIC, knowingly set the dongle into the Software used by it hereunder any code or other device which would have the effect of disabling, damaging, erasing, delaying or otherwise shutting down all or any portion of the Services or the hardware, software or data used in providing the Services. ViaSat will not invoke such code or other device at any time, including upon expiration or termination of this Agreement for any reason, without SAIC's prior written consent.

To the Company's knowledge, the components used in the Company's and the Subsidiaries' products including any Company Software Materials, are free of any undisclosed program routine, device, or other feature, including, without limitation, a time bomb, software lock, drop-dead device, or malicious logic or, as of the time of each delivery, any virus, worm or trojan horse, that is designed to delete, disable, deactivate, interfere with, or otherwise harm them (a "Disabling Code") that may, or may be used to, access, modify, delete, damage or disable any hardware, system or data or that may result in damage thereto. The Company and the Subsidiaries have taken reasonable steps and implemented reasonable procedures to ensure that its hardware, systems and data are free from Disabling Codes. Except as may be set forth in Schedule Error! Reference source not found., the Company and the Subsidiaries have in place disaster recovery plans, procedures and facilities and have taken steps to safeguard their hardware, systems and data and restrict unauthorized access thereto.
Disabling Codes. The Software is free of any Disabling Codes that may be used to access, modify, delete, damage or disable any Systems or that may result in impaired usage thereof or damage thereto. Seller has taken reasonable steps and implemented reasonable procedures to ensure that its internal computer systems used in connection with the Business
Disabling Codes. The Systems' components used in connection with the Business obtained by Seller from third party suppliers are, to the best of Seller's knowledge, free of any Disabling Codes that may, or may be used to, access, modify, delete, damage or disable any of the Systems or that might result in damage thereto. Except as may be set forth in Schedule 4.10(n), Seller has in place appropriate disaster recovery plans and procedures and has taken reasonable steps to safeguard its Systems and restrict unauthorized access thereto.
Disabling Codes. Unless otherwise agreed by the Parties, Accenture shall not, insert into a Software Deliverable or any software used to provide Services any code, device, criteria, mechanism or function designed to have the effect of damaging, destroying, disabling, or otherwise shutting down, or altering the functionality of, or specifications for, or restricting the use of or access to, all or any portion of any Software Deliverable or any other system, program, data or other information.
Disabling Codes. Unless otherwise agreed by the Parties XL shall not insert into a Deliverable or any software used to provide Services any code, device, criteria, mechanism or function which would have the effect of damaging, destroying, disabling, or otherwise shutting down, or altering the functionality of, or specifications for, or restricting the use of or access to, all or any portion of any Deliverable or any other system, program, data or other information.

EDS will not, without informing BuildNet's Representative in writing, knowingly insert into the software used by it hereunder any code or other device which would have the effect of disabling, damaging, erasing, delaying or otherwise shutting down all or any portion of the EDS Services or the hardware, software or data used in performing the EDS Services. EDS will not invoke such code or other device at any time, including upon expiration or termination of this Agreement for any reason.
