Disputed Change. If a dispute arises between Contractor and Subcontractor about whether particular work is a change in the work described in this Agreement, or there is a dispute as to the amount of payment or credit should be applied to the change in the work Subcontractor shall nevertheless timely perform the disputed work as specified in this section of the agreement. If Subcontractor intends to submit a claim for the disputed work, it shall give written notice to GCC before proceeding with the work. In addition, Subcontractor shall submit with each monthly Application for Payment, but in no event more than 35 days after performing the changed or extra work, its “Changed Work Documentation” supporting Subcontractor’s claim for additional compensation for the changed or extra work in sufficient detail for Contractor to make an evaluation of the merits of the Subcontractor’s claim. Subcontractor acknowledges that the failure to timely provide written notice to GCC prior to proceeding with the changed or extra work, or the failure to provide contemporaneous “Changed Work Documentation” as defined in this Agreement, will prejudice GCC’s ability receive payment for the changed work and efficiently schedule the work resulting in additional costs, expenses, and damages incurred by Contractor (Contractor’ Impact Costs). In consideration of the Contractor’s Impact Costs, Subcontractor stipulates and agrees that its failure to either to give the written notice before proceeding with the work or to provide the timely “Changed Work Documentation” constitutes an agreement by Subcontractor it that it will not be paid for the changed or disputed work, nor will it be entitled to an extension of time to perform the work. Time is of the essence regarding this requirement. A disagreement between the Contractor and the Subcontractor as to an increase or decrease in the subcontract price shall not relieve the Subcontractor from immediately proceeding with the performance of the Subcontract as modified, changed or amended.

HOWEVER, IF THE AMOUNT AS TO WHICH SUCH WRITTEN EXCEPTION IS TAKEN, OR ANY PART THEREOF, IS ULTIMATELY DETERMINED NOT TO BE A REASONABLE COST INCURRED BY CVR OR ITS AFFILIATES IN CONNECTION WITH ITS PROVIDING THE SERVICES HEREUNDER, SUCH AMOUNT OR PORTION THEREOF (AS THE CASE MAY BE) SHALL BE REFUNDED BY CVR TO THE SERVICES RECIPIENTS TOGETHER WITH INTEREST THEREON AT THE DEFAULT RATE DURING THE PERIOD FROM THE DATE OF PAYMENT BY THE SERVICES RECIPIENTS TO THE DATE OF REFUND BY CVR.

  • Major Change (2) For a major change referred to in paragraph (1)(a):

  • Dispute Process In the event of any Dispute, the Parties agree that they shall undertake a process to promote the resolution of a Dispute in the following order:

  • Disputed Amounts 28.1.1 If any portion of an amount due to a Party (the “Billing Party”) under this Agreement is subject to a bona fide dispute between the Parties, the Party billed (the “Non-Paying Party”) shall, prior to the Xxxx Due Date, give written notice to the Billing Party of the amounts it disputes (“Disputed Amounts”) and include in such written notice the specific details and reasons for disputing each item; provided, however, a failure to provide such notice by that date shall not preclude a Party from subsequently challenging billed charges provided that such charges were paid.   • Room Change Residents may submit requests for housing assignment changes. Students are not permitted to move or trade spaces without administrative approval. Once a housing assignment change has been approved, the resident must move in accordance with prescribed timeframe and abide by all appropriate key policies. Failure to comply may result in disciplinary action and fees associated. Students are financially responsible for rate differential if applicable.

  • Disputed Claims 4.1 Notwithstanding paragraph 4.5 of this Schedule, payment by the Authority of all or any part of any invoice rendered or other claim for payment by the Contractor shall not signify approval of such invoice/claim.
