Disputed Charges. In the event Service Provider disputes the amount of Transport Fees to be paid to Provo, Service Provider will (i) pay all charges not disputed, and (ii) within thirty (30) days notify Provo of the dispute in writing, providing the billing identification, and an explanation of the issue in dispute. Provo shall respond in writing within thirty (30) days of receipt, whereupon Service Provider shall have an additional fifteen (15) days to respond to any corrections or explanation. Payment will not prejudice Service Provider's right to dispute charges, so long as they are disputed in the manner and within the time specified in this Section. The parties will cooperate in good faith to resolve any such disputes within sixty (60) days from Provo's receipt of notice of dispute. If the parties cannot resolve the dispute within sixty (60) days, either party may request an independent audit. If a disputed amount is determined to be a valid charge, Service Provider will pay the cost of the audit and the disputed amount, plus interest at an annual rate of 12%, within ten (10) calendar days of such determination. If the disputed amount is determined to be invalid, Provo shall pay the cost of the audit and if Service Provider has paid the disputed amount, Provo shall return the disputed amount, plus interest at an annual rate of 12%, within ten (10) calendar days of such determination.

Examples of Disputed Charges in a sentence

  • Until evidence that the full amount of the Disputed Charges (other than Disputed Amounts arising from Intercarrier Compensation) has been deposited into an escrow account that complies with Section 11.10 above is furnished to the Billing Party, such Unpaid Charges will not be deemed to be “disputed” under Section 13.0 below.

  • This does not apply to Disputed Charges involving dispute reasons other than fraud (e.g. it does not apply to goods or services disputes).

  • Until evidence that the full amount of the Disputed Charges [other than disputed charges arising from Appendix Reciprocal Compensation] has been deposited into an escrow account that complies with Section 8.5 is furnished to AT&T, such Unpaid Charges will not be deemed to be “disputed” under Section 10.

  • We will exercise our Chargeback rights immediately for all Disputed Charges without first sending you a dispute enquiry.

  • Disputed Charges And Payments All written communications concerning disputed charges or payments made must be communicated to Sable by email at xxxx@xxxxxxxxx.xxx and include your name, address, account number, and description of the disputed charge or payment.

  • Customer will pay AT&T without deduction, setoff or delay for any reason (except for withholding taxes as provided in Section 4.2 - Additional Charges and Taxes or in Section 4.5 - Delayed Billing; Disputed Charges).

  • Until evidence that the full amount of the Disputed Charges has been deposited into an escrow account that complies with Section 10.12 above is furnished to the Billing Party, such Unpaid Charges will not be deemed to be “disputed” under Section 12.0 below.

Related to Disputed Charges

  • Track Charges means the charges payable by or on behalf of the Train Operator to Network Rail, as set out in paragraph 1 of Part 2 of Schedule 7 or under the Traction Electricity Rules;

  • Disputed Items has the meaning specified in Section 2.7(c).

  • Bank Charges means the charges levied by the Merchant Acquiring Bank for Transactions and Refunds. “Bank System” means the banking system operated by any approved bank, financial institution or other body.

  • Service Charges means the fees levied by the municipality in terms of its tariff policy for any municipal services rendered in respect of an immovable property and includes any penalties, interest or surcharges levied or imposed in terms of this policy.

  • User Charges means a charge made to airlines by a service provider for the provision of airport, airport environmental, air navigation and aviation security facilities and services.

  • Disputed means, with respect to any Claim or Interest, any Claim or Interest that is not yet Allowed.

  • SLDC Charges means the charges levied by the SLDC of the state wherein the Solar Power Project is located.

  • Contract Charges means charges that accrue during a given month as defined in Article III. “Contract Term” is defined in Article IV.

  • Water Charges means service charges in respect of the provision of water.

  • Disputed Item has the meaning set forth in Section 2.04(b).

  • Unpaid Charges means any charges billed to the Non-Paying Party that the Non-Paying Party did not render full payment to the Billing Party by the Bill Due Date, including where funds were not accessible.

  • Imbalance Charges means any fees, penalties, costs or charges (in cash or in kind) assessed by a Transporter for failure to satisfy the Transporter’s balance and/or nomination requirements.

  • Undisputed Amounts has the meaning set forth in Section 2.04(c)(iii).

  • Undisputed as used herein shall mean any amount that the Subscribing Reinsurer has not contested in writing to the Company specifying the reason(s) why the payments are disputed.

  • Claim Expenses means reasonable documented attorneys’ fees and all other reasonable documented out-of-pocket costs, expenses and obligations (including experts’ fees, travel expenses, court costs, retainers, transcript fees, duplicating, printing and binding costs, as well as telecommunications, postage and courier charges) paid or incurred in connection with investigating, defending, being a witness in or participating in (including on appeal), or preparing to investigate, defend, be a witness in or participate in, any Claim, including any Action relating to a claim for indemnification or advancement brought by an Indemnified Party as contemplated in Section 7.5.

  • Property Expenses means the costs (including, but not limited to, payroll, taxes, assessments, insurance, utilities, landscaping and other similar charges) of operating and maintaining any Eligible Property, which are the responsibility of the Borrower or the applicable Guarantor that are not paid directly by the tenant, including without limitation, the Annual Capital Expenditure Reserve and the greater of (a) 3% of rents and (b) actual management fees paid in cash, but excluding depreciation, amortization and interest costs.

  • Governmental Charges has the meaning set forth in Section 9.2.

  • Utility Charges means water, sewer, electricity, gas and other utility charges, if any, applicable to the Real Property or the Leased Real Property;

  • Enforcement Expenses shall include all reasonable attorneys’ fees, court costs, transcript costs, fees of experts, travel expenses, duplicating costs, printing and binding costs, telephone charges, postage, delivery service fees, and all other out-of-pocket disbursements or expenses of the types customarily incurred in connection with an action to enforce indemnification or advancement rights, or an appeal from such action. Expenses, however, shall not include fees, salaries, wages or benefits owed to Indemnitee.

  • Monthly Charges means a finance carrying charge of one and one-half of one percent (1.5%) and a storage and handling charge of one-half of one percent (0.5%), in each case of the Cost of the Inventory and/or Special Inventory and/or of the fees for the Product affected by the reschedule or cancellation (as applicable) per month until such Inventory and/or Special Inventory and/or Product is returned to the vendor, used to manufacture Product or is otherwise purchased by Customer.

  • Development Charges or “DC” shall mean the amount charged by the Company from the Applicant(s) towards carrying out the developmental works inside or around the Project, including but not limited to the payment of the following:

  • Non-Cash Charges has the meaning specified in the definition of the term “Consolidated EBITDA”.

  • Disputed Claims Reserve means a reserve of Cash that may be funded on or after the Effective Date pursuant to Article VII.E hereof.

  • Third Party Expenses has the meaning ascribed to it in Section 5.5.

  • Settlement Costs means all costs incurred by the Settlement Class and their attorneys, including but not limited to Plaintiffs’ attorneys’ fees, their costs of suit, Plaintiffs’ expert or consultant fees, any incentive payments paid to the Class Representatives, notice costs, costs of Claims Administration, and all other costs of administering the settlement.
