DISTRIBUTOR’S ORDERS. This will authorize, direct and instruct the Laboratory to fill all orders of Distributor or Distributor’s designees at any time during the Term as Distributor or Distributor’s designees shall request at the sole cost and expense of Distributor or Distributor’s designees.

DISTRIBUTOR’S ORDERS. No order placed by Distributor shall be binding until accepted in written by the Company. Any terms or conditions stated in Distributor's order that are inconsistent with this Agreement or with the Company's sales policy shall be null and void and may be disregarded by the Company. For the purposes of this Section 8.1, an order placed by Distributor shall be considered "accepted" by the Company only when Company's customer service department (or as designated by Company) receives the respective order from Distributor and provides an “order confirmation” that indicates the confirmation number (specific to the SBU’s ERP system), item number, description, quantity, pricing, expected shipped date as well as any other special comments. 8.1.1. Once an order is accepted (consistent with the Company’s then existing practice), the Company will be required to fulfill its obligation to meet the order, except in an event of act of God or force majeure or in the event a fact, act or omission not attributable to Company occurs, including, but not limited to, facts beyond the Company’s exclusive control, delays in or problems with the shipment and transportation of the Products arising from customs clearance of such Products, as well as in case Distributor requests delayed shipping (to consolidate orders, etc.), a Product is backordered by Distributor, a Product registration expires, Distributor’s accounts receivable is past due, Distributor is close to and/or exceeds credit limit, in case there is a trade/compliance block or other impediment, or in the event a pre-payment is required from Distributor by Company, among others. In such cases, the order, even if already accepted by the Company, may be amended or rejected/cancelled by the Company in whole or in part, in its sole discretion.
DISTRIBUTOR’S ORDERS. This will authorize, direct and instruct you to fill all orders of Distributor or Distributor's designees at any time during the Term for duplicate material as Distributor or Distributor's designees shall request at the sole cost and expense of the ordering Distributor. Notwithstanding any claim or lien which you may now or hereafter assert against Producer, Distributor or others or against the Picture or the Materials, you agree that you will not, by asserting or enforcing any such claim or lien, refuse to accept or perform any requests placed by the other Distributor or its designees as herein provided. Laboratory will send statements to Producer, within 15 days of Producer's request, setting forth in detail all orders placed by Distributor in connection with the Picture during the period while this access Letter is in effect.

  • DEALERS, DISTRIBUTORS, AND/OR RESELLERS Upon Contract execution and throughout the Contract term, Supplier must provide to Sourcewell a current means to validate or authenticate Supplier’s authorized dealers, distributors, or resellers relative to the Equipment, Products, and Services offered under this Contract, which will be incorporated into this Contract by reference.   • Placement of DNS probes Probes for measuring DNS parameters shall be placed as near as possible to the DNS resolvers on the networks with the most users across the different geographic regions; care shall be taken not to deploy probes behind high propagation-­‐delay links, such as satellite links.

  • Other Products and Services As our customer, you have access to a suite of financial products and services availed by ourselves, our affiliates and strategic partners designed to help you address and achieve your financial needs and goals. You agree that you can obtain information about such Products and Services via our website xxx.xxxxxxxx.xxx.xx and you further agree that we can from time to time communicate information in relation to such Products or Services to you specifically or generally to all cardmembers via such communication mode as we consider appropriate.

  • Placement of Orders The Adviser shall arrange for the placing of all orders for the purchase and sale of securities for a Fund’s account with brokers or dealers selected by the Adviser. In the selection of such brokers or dealers and the placing of such orders, the Adviser is directed at all times to seek for each Fund the most favorable execution and net price available under the circumstances. It is also understood that it is desirable for the Funds that the Adviser have access to brokerage and research services provided by brokers who may execute brokerage transactions at a higher cost to the Funds than may result when allocating brokerage to other brokers, consistent with section 28(e) of the 1934 Act and any Commission staff interpretations thereof. Therefore, the Adviser is authorized to place orders for the purchase and sale of securities for a Fund with such brokers, subject to review by the Board from time to time with respect to the extent and continuation of this practice. It is understood that the services provided by such brokers may be useful to the Adviser in connection with its or its affiliates’ services to other clients.

  • Manufacturers Promptly after obtaining actual knowledge thereof, notice of any Manufacturer Event of Default or termination or replacement of a Manufacturer Program;

  • Distributor The Trust hereby appoints the Distributor as general distributor of shares of beneficial interest (“Series shares”) of the Trust’s WCM Funds series (the “Series”) during the term of this Agreement. The Trust reserves the right, however, to refuse at any time or times to sell any Series shares hereunder for any reason deemed adequate by the Board of Trustees of the Trust.

  • Field Order A written order issued by Engineer which requires minor changes in the Work but does not change the Construction Contract Price or the Construction Contract Times.
