DISTRICT RIGHTS. 4.1 It 5.1 This Article assures that the District retains all rights and powers it has not agreed to limit in other Articles of this Agreement. DISTRICT RIGHTS. 4.1 It 19.1 This Article is intended to insure that the District retains all rights and powers which it has not agreed to limit in other Articles of this Agreement; this Article is not intended, nor shall it be construed as:

DISTRICT RIGHTS. 4.1 It is understood and agreed that the The District retains all of its rights, powers and authority vested in it by the laws and constitution of Michigan and the United States. All policies of the Board of Education on behalf of the District as stated in Board of Education Policies, Board of Education minutes, or as set forth in any manner whatsoever, or powers which heretofore have been properly exercised by it, shall remain unaffected by this Agreement and in full force and effect, unless and until changed by the Board. v) To hire, transfer, assign, and retain employees in positions within the district; and to suspend, discharge, demote, terminate or take other disciplinary action against an employee; in instances of discharge or termination of employees with three consecutive years of service in the District, the State Personnel Act Procedures will prevail.
vi) To maintain the efficiency of the operations;
vii) To determine the methods, means, and personnel by which such District operations are to be conducted; and
viii) To take such other actions, including but not limited to subcontracting work or utilizing management personnel to complete bargaining unit work, as may be necessary to fulfill or otherwise to carry out the functions and responsibilities of the District as imposed by law and further, to provide uninterrupted services and instruction to its students and citizens in situations of emergency. Subcontracting, when used by the District, the adoption of policies, rules, regulations and practices in furtherance thereof, and the use of judgment and discretion in connection therewith, shall be for the purpose of supplementing rather than replacing bargaining unit employee work.
2. DISTRICT RIGHTS. 4.1 It A. Nothing contained herein shall be considered to deny or restrict the District of its rights, responsibilities, and authority under the Michigan General School Laws or any other laws or regulations.

The right to direct the rights and educational opportunities of students; determine staffing patterns; determine the number and kinds of personnel required; maintain the efficiency of District operation; determine the curriculum; buildworking forces, move or modify facilities; establish budget procedures and determine budgetary allocation; determine the methods of raising revenue; contract out work as legally allowed under the Education and Government Codes; and take action on any matter in the event of an emergency. 4.2 The exercise of the foregoing powers, rights, authority, duties and responsibilities by the District, the adoption of policies, rules, regulations and practices in furtherance thereof, and the use of judgment and discretion in connection therewith, shall be limited only by the specific and express terms of this Agreement, or any other written agreement reached between the Association and the Board, and then only to the extent such specific and express terms are in conformance with law.
4.3 The District retains its right to amend, modify or suspend rescind policies and practices covered referred to in this Agreement in emergency circumstances. Examples cases of emergency circumstances are physical catastrophe and acts of nature. Such changes, if any, will remain in effect only for the duration of the emergency. 4.4 The exercise of any right reserved danger to the District herein in a particular manner or students and/or staff and/or the non- exercise of any such right shall not be deemed a waiver property of the District's right , e.g., fire, flood, earthquake, bomb threat, gas leak, electrical malfunction, or preclude other hazardous working conditions; or when the District from exercising their rights.
4.5 Any dispute arising out of or in any way connected with either the existence of or the exercise of any of the above described rights normal operation of the District is not subject to faces serious disruption. In such instances, the grievance provisions set forth in this Agreement unless such dispute is otherwise grievable under another Article Board may suspend those elements of the Agreementcontract needed to protect students and/or staff and/or the property and/or to ensure the normal operation of the District. Such elements of the contract shall continue in suspension for as long as the emergency continues. The Board will give a progress report on the emergency at each regular board meeting, as long as the emergency exists. The Board shall have the right to declare when an emergency no longer exists.

DISTRICT RIGHTS. 4.1 It 5.1 This Article assures that the District retains all rights and powers it has not agreed to limit in other Articles of this Agreement. This Article is not intended, nor shall it be construed, to waive or otherwise diminish the rights of the Association or of unit members or the District as set forth in other Articles of this Agreement. The exercise of the following rights and authority by the District, the adoption of policies and practices in furtherance thereof, and the use of discretion in connection therewith, shall be limited only by the express terms of this Agreement, and then only to the extent such express terms are in conformance with the law. If there is a conflict between the retained rights of this Article and the rights of unit members or the Association as set forth in some other Article of this Agreement, the language of the latter shall prevail.
5.2 Subject to the foregoing qualifications, it is understood and agreed that all matters not enumerated in the District retains all Government Code Section 3543.2 and not limited by the terms of its powers and authority to direct, manage and control other Articles of this Agreement are reserved to the full extent of the lawDistrict. Included in, but not limited to, to those duties and powers are the exclusive right to: determine its organization; direct the work of its employees; determine the times and hours of operation; determine the kinds and levels of service services to be provided, provided and the methods and means of providing them; establish its educational policies, goals goals, objectives and objectivesprograms, including those relating to curriculum, course content, textbook selection, equipment and supplies, admissions, attendance, pupil transfers, grade level advancement, guidance, grading, testing, records, pupil health and safety, pupil conduct and discipline, transportation, food services, racial and ethnic balance, extra-curricular and co- curricular activities and the substantive and procedural rights and obligations of students, parents, teachers, other personnel and the public with respect to such matters; insure the rights and educational opportunities of students; determine staffing patterns; patterns and class sizes, determine the number and kinds of personnel required; maintain the efficiency of District operationoperations; determine the curriculumcurriculum and the kinds, types and amounts of supporting services; build, move move, modify or modify remove facilities; establish budget procedures and determine budgetary allocation; determine the methods of raising revenue; contract out work as legally allowed under the Education work; and Government Codes; declare and take action on any matter in the event of an emergency. In addition, the District retains the right to hire, classify, assign, transfer, evaluate, promote, layoffterminate, terminate and discipline employees.
4.2 The exercise 5.3 Any violation, misapplication or misinterpretation of the foregoing powers, rights, authority, duties and responsibilities by the District, the adoption of policies, rules, regulations and practices in furtherance thereof, and the use of judgment and discretion in connection therewith, shall be limited only by the specific and express terms of this Agreement, and then only Agreement that may follow from the declaration of an emergency may be subject to the extent such specific and express terms are in conformance with lawGrievance Procedure, Article XV.
4.3 The District retains its right to amend, modify or suspend policies and practices covered in this Agreement in emergency circumstances. Examples of emergency circumstances are physical catastrophe and acts of nature. Such changes, if any, will remain in effect only for the duration of the emergency. All grievance time lines expressly set forth in the Agreement will be held in abeyance while the contract is suspended.
4.4 The exercise of any right reserved to the District herein in a particular manner or the non- exercise of any such right shall not be deemed a waiver of the District's right or preclude the District from exercising their rights.
4.5 5.4 Any dispute arising out of of, or in any way connected with either the existence of of, or the exercise of any of the above described rights of the District set forth hereinabove, or any of the rights of the District not limited by other provisions of this Agreement, or arising out of the exercise of any such rights, is not subject to the grievance and arbitration provisions set forth of Article XV,1 unless the grievance in question is an allegation that the District has violated a provision of some Article of this Agreement unless such dispute whose violation is otherwise grievable under another Article of subject to the Agreementgrievance and arbitration process.

DISTRICT RIGHTS. 4.1 It is understood A. 4.2 B. The exercise of the foregoing powers, rights, authority, duties and or other responsibilities by of the District, the adoption of policies, rules, regulations and practices in furtherance thereof, and the use of judgment and discretion in connection therewith, shall be limited only by the specific and express terms of this the Agreement, and then only to the extent such specific and express terms hereof are in conformance with lawthe Constitution and Laws of New Jersey and of the United States.
4.3 The C. Any act taken by the District from exercising their rights.
4.5 Any dispute arising out of or in any way connected with either the existence of or the exercise of any of the above described rights of the District is not subject to the grievance provisions specifically prohibited by this Agreement shall be deemed a management right, and shall be considered such as if fully set forth in this Agreement unless such dispute is otherwise grievable under another Article of the Agreementherein.
