The 'Documents in Agreed Form' clause defines that certain documents referenced in a contract must be finalized and mutually approved by all parties before the agreement is executed or becomes effective. In practice, this means that the parties will review, negotiate, and settle the wording and content of these documents—such as schedules, ancillary agreements, or certificates—prior to signing the main contract. This clause ensures that all parties have clarity and certainty about the exact terms and obligations contained in related documents, thereby reducing the risk of future disputes over their content or enforceability.
Documents in Agreed Form. The Administrative Agent shall have received the following documents, each of which shall be in form and substance reasonably satisfactory to the Administrative Agent:
(i) UCC-1 financing statement in form and substance satisfactory to the Administrative Agent.
(ii) the Security Agreement;
(iii) the Short‑Form IP Security Agreements; and
(iv) the Warrant Certificate (Funding Date).
Documents in Agreed Form. The following documents shall be in agreed form, it being understood that the following documents will not be executed until the Funding Date:
(i) the Security Agreements;
(ii) each Short‑Form IP Security Agreement;
(iii) the Canadian Intellectual Property Security Agreements;
(iv) the Warrant Certificate; and
(v) the Intercompany Subordination Agreement.
