DRAWINGS AND OTHER DATA. All designs, drawings, specifications, notes, and other works developed in the performance of this Agreement (“Instruments of Service”) shall become the sole property of the District and may be used on any other design or construction without additional compensation to the Architect. The District shall be considered the “person for whom the work was prepared” for the purpose of authorship in any copyrightable work under Section 201(b) of Xxxxx 00, Xxxxxx Xxxxxx Code. With respect thereto, the Architect agrees not to assert or authorize others to assert any rights or establish any claim under the design patent or copyright laws. The Architect, for a period of three years after completion of the Project, agrees to furnish all retained works on the request of the Contracting Officer. Unless otherwise provided in this Agreement, the Architect shall have the right to retain copies of all Instruments of Service beyond such period. In the event of termination of this Agreement for any reason, Architect shall, within seven (7) days of Owner’s request, provide copies of all completed or partially completed Instruments of Service in both hard copy and AutoCAD format (or any other format required by Owner) provided Owner has paid (or agrees to pay) for the Services to produce said completed or partially completed Instruments of Service.

DRAWINGS AND OTHER DATA. All designs, drawings, specifications, notes, and other works developed in the performance of this Contract shall become the sole property of the Authority and may be used on any other Authority design or construction project without additional compensation to the Contractor. Use by the Authority of the design documents on other projects does not confer any liability on the Contractor. The Authority shall be considered the “person for whom the work was prepared” for the purpose of authorship in any copyrightable work under 17 U.S.C. 201(b). With respect thereto, the Contractor agrees not to assert or authorize others to assert any rights or establish any claim under the design patent or copyright laws. The Contractor, for a period of three years after Final Acceptance, agrees to furnish all retained works on the request of the Authority. Unless otherwise provided in this Contract, the Contractor shall have the right to retain copies of all works beyond such period.

  • Contract and other writing(s) setting forth the final agreements, clarifications and terms between the Bid Documents and Contractor’s Bid. In the latter circumstance, clarifications must specifically note in writing what was offered by the Contractor and what was accepted by the State. If not, such clarifications shall be considered last in the order of precedence under this paragraph.

  • RIGHTS IN WORK PRODUCT AND OTHER INFORMATION A. Work Product Contractor assigns to the Purchasing Entity and its successors and assigns, the entire right, title, and interest in and to all causes of action, either in law or in equity, for past, present, or future infringement of intellectual property rights related to the Work Product and all works based on, derived from, or incorporating the Work Product under an Order. Whether or not Contractor is under contract with the State at the time, Contractor shall execute applications, assignments, and other documents, and shall render all other reasonable assistance requested by the State, to enable the State to secure patents, copyrights, licenses and other intellectual property rights related to the Work Product. To the extent that Work Product would fall under the definition of “works made for hire” under 17 U.S.C.S. §101, the Parties intend the Work Product to be a work made for hire.

  • Financial and Other Information Keep adequate records and books of account with respect to its business activities, in which proper entries are made in accordance with GAAP reflecting all financial transactions; and furnish to Agent and Lenders:

  • – SUBMISSION OF REPORTS AND OTHER DOCUMENTS Service Provider shall submit all reports and other documents as and when specified in the Scope of Work. This information shall be subject to review by the City, and if found to be unacceptable, Service Provider shall correct and deliver to the City any deficient Work at Service Provider’s expense with all practical dispatch. Service Provider shall abide by the City’s determinations concerning acceptability of Work.

  • Notices and other communication Any notice to be given under this Consortium Agreement shall be in writing to the addresses and recipients as listed in the most current address list kept by the Coordinator. Formal notices: If it is required in this Consortium Agreement that a formal notice, consent or approval shall be given, such notice shall be signed by an authorised representative of a Party and shall either be served personally or sent by mail with recorded delivery or telefax with receipt acknowledgement. Other communication: Other communication between the Parties may also be effected by other means such as e-mail with acknowledgement of receipt, which fulfils the conditions of written form. Any change of persons or contact details shall be notified immediately by the respective Party to the Coordinator. The address list shall be accessible to all concerned.
