Each Committee Member shall serve on the Management Committee in good faith and in a manner such Committee Member believes to be in the best interests of the Partnership and its Partners and with such care, including reasonable inquiry as an ordinary prudent person in a like position would use under similar circumstances.
Duties of Committee Members. Each member of the Independent Adjudication Committee shall, in the exercise of its authority under the Framework Agreement, have the same fiduciary duties (including duty of care and duty of loyalty) as the director of a Delaware corporation.15
Duties of Committee Members. 1. Except as provided in Section 5.5(b)(iii)(B) below, each Committee Member will owe the same duties and obligations to the Company, the Series and the Members as a Director, whether or not such Committee Member is a Director.
Duties of Committee Members. Each Committee member shall have an on-going duty and responsibility during the term of such Committee member's service to (a) actively participate in the work of the Committee (including, without limitation, as part of any subcommittee to which the Committee member is assigned), (b) act at all times in the best interests of the Committee and the Parties in the Committee member's Utility Group, and (c) show due care and attention to the work of the Committee. Without limiting the generality of the foregoing, each Committee member will comply with all training, participation and other requirements set forth in any applicable policy or procedure adopted by the Committee relating to participation by Committee members on the Committee.
