Duties of Employee. During the Employment Period, Employee shall serve as Chief Financial Officer and Treasurer of Employer and Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President (“Employee’s Supervisor”); provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and Mednax. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than Employer. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During the Employment Period, Employee shall serve as Chief Financial Officer and Treasurer of President, Mednax National Medical Group for Employer and Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by MednaxEmployee’s Chief Executive Officer or President supervisor (“Employee’s Supervisor”); provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxEmployer. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxEmployer. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxEmployer. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their its employees and affiliates. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During the Employment Period, Employee shall serve as Chief Financial Officer and Treasurer President, Pediatrix Division of Employer and Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by MednaxEmployee’s Chief Executive Officer or President supervisor (“Employee’s Supervisor”); provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxEmployer. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxEmployer. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxEmployer. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their its employees and affiliates. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee may continue to serve as a director on any corporate board of directors on which he serves as of the date of this Agreement, and he may continue to serve in any other similar capacity in which he serves as of the date of this Agreement for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During As of the Effective Date and thereafter during the remaining Employment Period, Employee shall serve as Chief Financial Officer Executive Vice President, General Counsel and Treasurer Secretary of Employer and MednaxPediatrix Medical Group, Inc., a Florida corporation and the parent corporation of the Employer (“MednaxPediatrix”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President the most senior executive officer of Pediatrix (“Employee’s Supervisor”)) or the Board of Directors of Pediatrix (the “Board”) including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of Pediatrix; provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxPediatrix. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxPediatrix. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxPediatrix. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and Pediatrix, and their respective subsidiaries and affiliates in accordance with this Section 1.2. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

During the Employment Period, Employee shall serve as Chief Financial Officer Senior Vice President, General Counsel and Treasurer Secretary of Employer and MednaxMEDNAX, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), Inc. and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by MednaxEmployee’s Chief Executive Officer or President supervisor (“Employee’s Supervisor”); provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxEmployer. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxEmployer. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxEmployer. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their its employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliatesEmployer. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than Employer. Employee may continue to serve as a director on any corporate board of directors on which he serves as of the Effective Date, and he may continue to serve in any other similar capacity in which he serves as of the Effective Date for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on other civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During Other than during the Employment Services Period, as defined below, Employee shall serve perform such duties assigned to Employee by Employer as are generally associated with the duties of President and Chief Financial Officer and Treasurer of for Employer and Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform or such similar duties as are customary to the position Employee holds or as may be assigned to Employee by Employer as Employer may determine. During the Services Period, Employee shall perform such duties assigned to Employee by Employer as are generally associated with the duties of Chief Financial Officer for Employer or such similar duties as may be assigned to Employee by Employer or as Employer may determine. Employee’s duties shall include: (i) the efficient and continuous operation of Employer and its Affiliates; (ii) the preparation of relevant budgets and allocation of relevant funds; (iii) the selection and delegation of duties and responsibilities of subordinates; (iv) the direction, review and oversight of all programs under Employee’s supervision; (v) adherence to the written policies and procedures of Employer and its Affiliates as they may be amended from time to time without prior notice to Employee (unless such policies and procedures conflict with this Agreement, in which case this Agreement takes precedence) and for which Employee assumes responsibility for review and understanding; and (vi) such other and further duties as may be assigned by MednaxEmployer to Employee from time to time. The foregoing notwithstanding, Employee shall devote such time to Employer or its Affiliates as may be required by Employer, provided such duties are not inconsistent with Employee’s primary duties to Employer hereunder. From May 24, 2021 until December 31, 2022, (the “Services Period”) and consistent with the Services Agreement, Employee will also serve as the Chief Executive Officer or and President (“Employee’s Supervisor”); providedof WIL. For so long as Employee holds such positions, that Employee agrees to perform such duties as assigned shall be customary are consistent with such titles and positions with publicly-traded companies. During the Services Period, Employee will devote his primary business efforts and abilities to Employee’s role as an executive officer the performance of his duties to Employer and MednaxWIL. Employee’s employment shall be full-time appointment to such positions with WIL and as such Employee agrees the performance of his duties to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent WIL shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than Employer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and Pediatrix, and their respective subsidiaries and affiliates in accordance with this Section 1.2. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During the Employment Period, Employee shall serve as President and Chief Financial Operating Officer and Treasurer of Employer and of Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position positions Employee holds or as may be reasonably assigned to Employee from time to time by Mednax’s Chief Executive Officer or President (“Employee’s Supervisor”); ) provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and Mednax. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer Mednax (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerMednax. Employee may continue to serve as a director on any corporate board of directors on which he serves as of the Effective Date, and he may continue to serve in any other similar capacity in which he serves as of the Effective Date for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on other civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer and Mednax in accordance with this Agreement, including the restrictions of Section 8 hereof. 3. The second sentence of Section 2.1, Base Salary, of the Employment shall be amended to read in its entirety as follows: The Compensation Committee of the Mednax Board (the “Compensation Committee”) shall review the amount of Employee’s Base Salary on an annual basis no later than ninety (90) days after the beginning of Employer’s fiscal year.” 4. Section 3.4,

Duties of Employee. During the Employment Period, Employee shall serve as Chief Financial Officer Senior Vice President, General Counsel and Treasurer of Secretary for Employer and MednaxMEDNAX, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by MednaxEmployee’s Chief Executive Officer or President supervisor (“Employee’s Supervisor”); provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxEmployer. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxEmployer. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxEmployer. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their its employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than Employer. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During the Employment Period, Employee shall serve as Chief Financial Executive Officer and Treasurer of Employer and of Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position positions Employee holds or as may be reasonably assigned to Employee from time to time by Mednax’s Chief Executive Officer or President the Board of Directors of Mednax (“Employee’s Supervisor” or the “Mednax Board”); ) provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and Mednax. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer Mednax (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerMednax. Employee may continue to serve as a director on any corporate board of directors on which he serves as of the Effective Date, and he may continue to serve in any other similar capacity in which he serves as of the Effective Date for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on other civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer and Mednax in accordance with this Agreement, including the restrictions of Section 8 hereof. 3. The second sentence of Section 2.1, Base Salary, of the Employment shall be amended to read in its entirety as follows: The Compensation Committee of the Mednax Board (the “Compensation Committee”) shall review the amount of Employee’s Base Salary on an annual basis no later than ninety (90) days after the beginning of Employer’s fiscal year.” 4. During the Employment Period, Employee shall serve as Executive Vice President and Chief Financial Officer and Treasurer of Employer and MednaxMEDNAX, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President most senior executive officer (“Employee’s Supervisor”) or the Board (as defined below), including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of Mednax; provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and Mednax. Employee shall initially start as Executive Vice President and then assume the Chief Financial Officer role beginning on or about November 15, 2018. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than Employer. Employer agrees that Employee’s serving on the board of directors of the entity disclosed to Employer on or prior to the Effective Date has been consented to by Employer and such service shall not constitute Employee’s breach of this Agreement. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During As of the Effective Date and thereafter during the remaining Employment Period, Employee shall serve as Executive Vice President and Chief Financial Operating Officer and Treasurer of Employer and MednaxPediatrix Medical Group, Inc., a Florida corporation and the parent corporation of the Employer (“MednaxPediatrix”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President the most senior executive officer of Pediatrix (“Employee’s Supervisor”)) or the Board of Directors of Pediatrix (the “Board”) including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of Pediatrix; provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxPediatrix. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxPediatrix. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxPediatrix. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and Pediatrix, and their respective subsidiaries and affiliates in accordance with this Section 1.2. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During As of the Effective Date and thereafter during the remaining Employment Period, Employee shall serve as Chief Financial Officer and Treasurer Executive Vice President of Employer and MednaxMEDNAX, Inc., a Florida corporation and the parent corporation of the Employer (“MednaxMEDNAX”), and from October 1, 2020 and thereafter during the remaining Employment Period, Employee shall also serve as Chief Financial Officer of Employer and MEDNAX and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President the most senior executive officer of MEDNAX (“Employee’s Supervisor”)) or the Board of Directors of MEDNAX (the “Board”) including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of MEDNAX; provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxMEDNAX. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxMEDNAX. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxMEDNAX. During As of the Effective Date and thereafter during the remaining Employment Period, Employee shall serve as Executive Vice President, Chief Financial Officer and Treasurer of Employer and MednaxPediatrix Medical Group, Inc., a Florida corporation and the parent corporation of the Employer (“MednaxPediatrix”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s the Chief Executive Officer or President of Pediatrix (“Employee’s Supervisor”)) or the Board of Directors of Pediatrix (the “Board”) including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of Pediatrix; provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxPediatrix. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxPediatrix. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxPediatrix. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and Pediatrix, and their respective subsidiaries and affiliates in accordance with this Section 1.2. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxMEDNAX. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxMEDNAX. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax MEDNAX and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and MEDNAX, and their respective subsidiaries and affiliates in accordance with this Section 1.2. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s 's responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During As of the Effective Date and thereafter during the remaining Employment Period, Employee shall serve as Chief Financial Executive Officer and Treasurer of Employer and Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”)MEDNAX, and perform such duties as are customary to the position Employee holds or as may be reasonably assigned to Employee from time to time by Mednax’s Chief Executive Officer or President the Board of Directors of MEDNAX (“Employee’s Supervisor” or the “Board”), including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of MEDNAX; provided, that such duties as assigned shall be customary to Employee’s role as an chief executive officer of Employer and MednaxMEDNAX. Employee shall report solely and directly to the Board. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxMEDNAX. Employee will devote his reasonable best efforts to the promotion of the goodwill of Employer Employer, MEDNAX and Mednax and of their employees and affiliates, taken as a whole. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and MEDNAX, and their respective subsidiaries and affiliates in accordance with this Section 1.2. Employer agrees that Employee’s serving on the board of directors of the entities disclosed to Employer on or prior to the Effective Date has been consented to by Employer and such service shall not constitute Employee’s breach of this Agreement. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, (ii) manage personal investments, or (iiiii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel do not violate any code of conduct or personnel policies and procedures of Employer or MEDNAX and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During As of the Effective Date and thereafter during the remaining Employment Period, Employee shall serve as Chief Financial Officer Executive Vice President, National and Treasurer Market Operations of Employer and MednaxPediatrix Medical Group, Inc., a Florida corporation and the parent corporation of the Employer (“MednaxPediatrix”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President the most senior executive officer of Pediatrix (“Employee’s Supervisor”)) or the Board of Directors of Pediatrix (the “Board”) including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of Pediatrix; provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxPediatrix. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxPediatrix. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxPediatrix. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxMEDNAX. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxMEDNAX. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax MEDNAX and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and MEDNAX, and their respective subsidiaries and affiliates in accordance with this Section 1.2. Employer agrees that Employee’s serving on the board of directors of the entity disclosed to Employer on or prior to the Effective Date has been consented to by Employer and such service shall not constitute Employee’s breach of this Agreement. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s 's responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Employee’s 's employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s 's attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliatesEmployer. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than Employer. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel 's Chief Executive Officer and do not interfere with the performance of Employee’s 's responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During the Employment Period, 3.01. Employee shall serve is employed as Chief Financial Officer Director of Research and Treasurer of Employer and Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President (“Employee’s Supervisor”); provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and Mednax. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxDevelopment. Employee shall perform Employee’s the duties honestlyof Director of Research and Development, diligentlyas such duties may be further set forth by resolution of the Board of Directors of Employer. The expected duties are delineated in Appendix "A" to this Employment Contract; however, competentlyEmployee understands and agrees that Employer shall have the right to modify such duties from time to time, in good faith consultation with Employee, consistent with the legitimate business needs of Employer. Employee shall devote his entire productive time, ability, attention and in energies to the best interest business of Employer during the term of this Contract and Mednax. during such time, Employee will devote best efforts shall not directly or indirectly render any services of a business, commercial or professional nature to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among any other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the person or organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will notwhether or not for compensation, without the prior written consent of the Board of Directors of Employer. The Employer hereby acknowledges that the Board of Directors of Employer approves of the following services by Employee: (which consent a) Continuation of Employee's current professional activities being (i) President of International Society for Oral Oncology; (ii) Member of Advisory Board Sjogxxx'x Xxxdrome Foundation; (iii) Member of Editorial Boards of Oral Surgery, Oral Medicine and Oral Pathology and Special Care in Dentistry; and (b) Review manuscripts for various medical journals. (c) To honor previously accepted speaking engagements. 3.02. The principal location of the Employee's employment shall be Montxxxxxx Xxxnty, Maryland or the immediate vicinity. Employee shall not be unreasonably withheld)required to relocate to Employer's offices in Amarillo, serve Texas or elsewhere. Until such time as Employer establishes a director on a corporate board of directors or business office in any other similar capacity Montxxxxxx Xxxnty, Maryland, Employee may perform his duties from his home in Montxxxxxx Xxxnty, Maryland. In the event Employee, for any institution other than reason, is unable to perform his duties from his home, Employer shall, within sixty (60) days notice from Employee to Employer of such inability, rent, purchase or otherwise obtain space in Montxxxxxx Xxxnty, Maryland sufficient for Employee to perform his duties. 3.03. The Employer will provide Employee, at Employer's expense, with all computer equipment, telecommunication lines, etc., required in Employer's opinion for Employee's performance of his duties. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxEmployer. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and MednaxEmployer. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their its employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxEmployer. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than Employer. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During As of the Effective Date and thereafter during the remaining Employment Period, Employee shall serve as Executive Vice President and Chief Financial Officer and Treasurer of Employer and MednaxPediatrix Medical Group, Inc., a Florida corporation and the parent corporation of the Employer (“MednaxPediatrix”), and perform such duties as are customary to the position Employee holds or as may be assigned to Employee from time to time by Mednax’s Chief Executive Officer or President the most senior executive officer of Pediatrix (“Employee’s Supervisor”)) or the Board of Directors of Pediatrix (the “Board”) including, but not limited to, also serving as an officer and/or director, or equivalent, of subsidiaries and/or affiliates of Pediatrix; provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and MednaxPediatrix. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxPediatrix. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxPediatrix. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and Pediatrix, and their respective subsidiaries and affiliates in accordance with this Section 1.2. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Duties of Employee. During the Employment Period, Employee shall serve as Chief Financial Officer and Treasurer of Employer and Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position positions Employee holds or as may be reasonably assigned to Employee from time to time by Mednax’s Chief Executive Officer or President (“Employee’s Supervisor”); ) provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and Mednax. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer Mednax (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerMednax. Employee may continue to serve as a director on any corporate board of directors on which he serves as of the Effective Date, and he may continue to serve in any other similar capacity in which he serves as of the Effective Date for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on other civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer and Mednax in accordance with this Agreement, including the restrictions of Section 8 hereof. 3. The second sentence of Section 2.1, Base Salary, of the Employment shall be amended to read in its entirety as follows: The Compensation Committee of the Mednax Board (the “Compensation Committee”) shall review the amount of Employee’s Base Salary on an annual basis no later than ninety (90) days after the beginning of Employer’s fiscal year.” 4. Duties of Employee. During the Employment Period, Employee shall serve as Chief Financial Executive Officer and Treasurer of Employer and of Mednax, Inc., a Florida corporation and parent corporation of the Employer (“Mednax”), and perform such duties as are customary to the position positions Employee holds or as may be reasonably assigned to Employee from time to time during the term of this Agreement by Mednax’s Chief Executive Officer or President the Board of Directors of Mednax (“Employee’s Supervisor” or the “Mednax Board”); ) provided, that such duties as assigned shall be customary to Employee’s role as an executive officer of Employer and Mednax. Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer Mednax (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerMednax. Employee may continue to serve as a director on any corporate board of directors on which he serves as of the Effective Date, and he may continue to serve in any other similar capacity in which he serves as of the Effective Date for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on other civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer and Mednax in accordance with this Agreement, including the restrictions of Section 8 hereof.

Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliatesEmployer. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer Mednax (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerMednax. Employee may continue to serve as a director on any corporate board of directors on which he serves as of the Effective Date, and he may continue to serve in any other similar capacity in which he serves as of the Effective Date for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on other civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer and Mednax in accordance with this Agreement, including the restrictions of Section 8 hereof. 3. Employee’s employment shall be full-time and and, as such such, Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and MednaxMEDNAX. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliates. During the Employment Term, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and MednaxMEDNAX. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer and MEDNAX, and their respective subsidiaries and affiliates in accordance with this Section 1.2. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by EmployerEmployee’s General Counsel Supervisor and do not interfere with the performance of Employee’s responsibilities as an employee of Employer in accordance with this Agreement, including the restrictions of Section 8 hereof.

Employee’s employment shall be full-time and as such Employee agrees to devote substantially all of Employee’s attention and professional time to the business and affairs of Employer and Mednax. Employee shall perform Employee’s duties honestly, diligently, competently, in good faith and in the best interest of Employer and Mednax. Employee will devote best efforts to the promotion of the goodwill of Employer and Mednax and of their employees and affiliatesEmployer. During the Employment TermPeriod, Employer shall promote the proficiency of Employee by, among other things, providing Employee with Confidential Information, specialized professional development programs, and information regarding the organization, administration and operation of Employer and Mednax. During the Employment Period, Employee agrees that Employee will not, without the prior written consent of Employer and Mednax (which consent shall not be unreasonably withheld), serve as a director on a corporate board of directors or in any other similar capacity for any institution other than EmployerEmployer or Mednax. Employee may continue to serve as director on any corporate board of directors on which he services as of the Effective Date, and he may continue to serve in any other similar capacity in which he serves as of the Effective Date for any institution. During the Employment Period, it shall not be a violation of this Agreement to (i) serve on civic or charitable boards or committees, or (ii) deliver lectures, fulfill speaking engagements or teach at educational institutions, so long as such activities have been approved by Employer’s General Counsel and do not interfere with the performance of Employee’s responsibilities as an employee of Employer and Executive Officer of Mednax in accordance with this Agreement, including the restrictions of Section 8 hereof. 4.
