(c) Employee shall devote substantially all of his professional time, attention, knowledge and skills solely to the business and interests of the CompanyEmployer; provided, however, that Employee shall be entitled annually to do Employee's utmost twenty-five (25) business days of vacation, and Employer shall be entitled to further enhance and develop the interests and welfare all of the Companybenefits and profits arising from or incident to all professional work, services and to devote Employee's working time and attention advice of Employee reasonably related to the business of Employer. Up to 10 days of unused vacation may be carried over from one year to the Companynext or, at the option of Employee, may be redeemed by Employer at year end for cash at the per diem amount equal to the Base Salary, defined in Section 3, below, divided by 260.
2.2. (d) Employer will nominate Employee shall truthfully and accurately make, maintain and preserve all records and reports that for election to its Board of Directors in accordance with the Company may, from time to time, request or require, and shall fully account for all money, records, equipment, materials or other property belonging to the Company of which Employee may have custody and shall pay over and deliver same promptly whenever and however Employee may be directed to do so.

Duties of Employee. Duties of Employee. The duties of (a) Employee shall serve in the capacities of Chief Executive Officer and President of ANS, and shall be as follows:
2.1subject to supervision by the Board of Directors of ANS. In such capacities, Employee shall have all necessary powers to discharge his responsibilities. Employee shall assume have all powers granted by the duties Bylaws of Chief Financial Officer for the Company to the President, and Employee shall report to the Board of Directors of the Company. For so long as Employee serves in the foregoing capacities, the Company shall nominate and support the election of Employee as a member of the Board of Directors.
(b) During the term of this Agreement, and thereafter so long as Employee is employed by the Company, Employee shall devote his full business time and effort to the performance of his duties and responsibilities as an officer of the Company. Notwithstanding the foregoing, Employee may spend reasonable amounts of time on personal civic and charitable activities that do not interfere with the performance of his duties and responsibilities to the Company. In addition, Employee may, subject to prior approval by the Board of Directors of the Company, spend reasonable amounts of time serving on boards of directors for other companies, provided that such service does not, in the sound discretion of the Board of Directors of the Company, constitute or create a conflict of interest.
(c) Employee shall observe and comply with the written rules and regulations of the Company respecting its business and shall carry out and perform such duties incident thereto the directives and policies of the Company as they may be assigned to Employee from time to time which duties be stated to Employee in writing by the Chairman of the Board of Directors.
(d) Employee shall include, without limitation, responsibilities for the management of corporate finance, operations and systems analysis, accounting and audit management, SEC securities compliance and reporting, maintain accurate business development and plan of operations, and such customary executive, managerial, planning and implementation duties of any such position records as these duties shall be defined by Company may from time to timetime be required by the Company. Such records may be examined by the Company, at all reasonable times after written request is delivered to Employee. Any such document shall be delivered to the Company promptly upon request.
(e) Employee agrees not to solicit or receive any income or other compensation from any third party in connection with his employment with the Company. Employee shall perform and hold such other positions and duties as may be assigned to Employee agrees, upon written request by the Company and as are not inconsistent with the provisions of this Agreement. Employee agrees to devote Employee's best efforts and skills to the business interests of the Company, to do Employee's utmost render an accounting of all transactions relating to further enhance and develop his business endeavors during the interests and welfare term of the Company, and to devote Employee's working time and attention to the business of the Companythis employment hereunder.
2.2. Employee shall truthfully and accurately make, maintain and preserve all records and reports that the Company may, from time to time, request or require, and shall fully account for all money, records, equipment, materials or other property belonging to the Company of which Employee may have custody and shall pay over and deliver same promptly whenever and however Employee may be directed to do so.
2.3. Employee shall obey all lawful rules, regulations, special instructions, and directives as directed by the Company applicable to Employee and shall endeavor to improve Employee's ability and knowledge of the Company business in an effort to increase the value of Employee's services for the mutual benefit of the parties to this Agreement.
2.4. Employee shall make available to the Company any and all information of which Employee has knowledge that is relevant to the Company's business, but is not otherwise prohibited from disclosing, and make all suggestions and recommendations which Employee believes will be of benefit to the Company.

Duties of Employee. Duties of Employee. Employee acknowledges that any and all information designs, data, blueprints, and/or procedures developed and/or arising out of and/or related to and/or resulting from Employee's business shall be deemed to be proprietary rights of Employer. Any process and/or procedure and/or creation of any xxxx and/or computer and/or computer software and/or invention which Employee has knowledge that is relevant may be patentable and/or copyrightable shall be deemed to have been a work for hire on behalf of the Employer and to the Companyextent necessary Employee agrees to execute any and all such writings as may be necessary to effectuate the ownership of any such patent and/or copyright and/or marketable xxxx in the name of Employer. It is specifically understood and agreed that Employee shall not be entitled to any royalty or any other additional remuneration for the creation of any of the aforesaid and that Employee's business, but is not otherwise prohibited from disclosing, sole compensation for any and make all suggestions such work shall be this agreement and recommendations which Employee believes will be of benefit the salary paid to the CompanyEmployee.

Duties of Employee. The duties During the term of Employee shall be as follows:
2.1. Employee shall assume the duties of Chief Financial Officer for the Company and shall perform such duties incident thereto as may be assigned to Employee from time to time which duties shall includeemployment, without limitation, responsibilities for the management of corporate finance, operations and systems analysis, accounting and audit management, SEC securities compliance and reporting, business development and plan of operations, and such customary executive, managerial, planning and implementation duties of any such position as these duties shall be defined by Company from time to time. Employee shall perform and hold all such duties as are typical to that of a vice-president of a corporation, subject to such limitation and/or specific requirements designated by the Members of Employer. Provided, further, notwithstanding anything herein to the contrary, Employee shall perform all such other positions and duties as may be assigned to Employee by the Company and as are not inconsistent with the provisions of this Agreement. Employee agrees to devote Employee's best efforts and skills to the business interests of the Company, to do Employee's utmost to further enhance and develop the interests and welfare of the Company, and to devote Employee's working time and attention to the business of the Company.
2.2. Employee shall truthfully and accurately make, maintain and preserve all records and reports that the Company mayMembers ofEmployer, from time to time, request or require, and shall fully account may find necessary for all money, records, equipment, materials or other property belonging to the Company benefit of which Employee may have custody and shall pay over and deliver same promptly whenever and however Employee may be directed to do so.
2.3Employer's business although such work might fall outside the normal scope of Employee's work classification. Employee shall obey all lawful rules, regulations, special instructions, devote his full time and directives as directed by efforts to the Company applicable to Employee and shall endeavor to improve Employee's ability and knowledge of the Company business in an effort to increase the value of Employee's services for the mutual benefit of the parties to this Agreement.
2.4Employer in accomplishing his work obligations. Employee shall make available engage in no other occupation or work whatsoever during the time period required by Employer for Employee's work to be done. Further Employee shall at all times utilize his best efforts to see that his work is done effectively and in accordance with all applicable policies and procedures of Employer and in a lawful manner. Employee shall utilize his best efforts to conduct himself and perform his work to avoid accident and/or injury to himself and/or to any other fellow employee and/or third party. Employee shall comply with all personnel policies of Employer including without limitation those applicable to sexual harassment. Employee acknowledges that by accepting employment with Employer that Employee owes Employer a duty of loyalty and fidelity. Employee acknowledges that he may obtain access to specific knowledge and information about Employer's business which is confidential and/or which may constitute trade secrets. At all times hereinafter, Employee covenants and agrees to hold in confidence any and/or all trade secrets and/or such other information as may be determined to be the Company confidential information of Employer. Employee agrees not to use same for any purpose not necessary for the accomplishment of any task under this employment agreement and/or to disclose same to anyone including without limitation other fellow employees whom Employee has no knowledge of whether such other employee has a right to such information and/or to disclose same to any other third party without the prior written consent of Employer.
