Common use of Duties of Employee Clause in Contracts

Duties of Employee. Employee shall perform the duties of Executive Vice President and Chief Operating Officer reporting directly to the Chief Executive Officer of Employer, and shall hold such offices with Employer and perform such other similar duties as may be assigned to Employee by Employer, including, but not limited to (a) the efficient and continuous operation of Employer and Employer's Affiliates, (b) the preparation of relevant budgets and allocation or relevant funds, (c) the selection and delegation of duties and responsibilities of subordinates, (d) the direction, review and oversight of all programs and projects under Employee's supervision, and (e) such other and further related duties as specifically assigned by Employer to Employee. The foregoing notwithstanding, Employee shall devote such time to Employer's other Affiliates as may be required by Employer, provided such duties are not inconsistent with Employee's primary duties to Employer hereunder. Notwithstanding the foregoing, Employer and Employee agree that in the event Employer materially increases the responsibilities and duties of Employee or changes Employee's title, Employer and Employee will enter into good faith negotiations to amend Employee's compensation in order to make it commensurate with any such additional responsibilities and duties.

The foregoing notwithstanding, Employee shall devote such time to Employer's other Employer or its Affiliates as may be required by Employer, provided such duties are not inconsistent with Employee's ’s primary duties to Employer hereunder. Duties of Employee. (a) The Employee shall perform serve on the duties Board of Executive Vice Directors of the Corporation and as President and Chief Operating Officer reporting directly to the Chief Executive Officer of Employerthe Corporation, and of any subsidiary or affiliated corporation if elected by the appropriate Board of Directors, and shall hold such offices with Employer and perform such other similar duties as are appropriate to such office as may be assigned to him by such Board of Directors. Subject to the direction of the Board of Directors, the Employee by Employershall be responsible for the establishment of the policies, plans and strategic goals of the Corporation, and shall have primary authority and responsibility for the direction of the day to day business of the Corporation, including, but not limited to (a) its operating divisions and performance of work and contracts; supervision of general, administrative, financial, and human resources support staff; and reportee for employee general supervision, performance appraisals and operations functions. The Corporation agrees that the duties assigned to the Employee shall not be inconsistent therewith and that the Employee shall have such powers, authority and facilities at his disposal as are suitable to his position and as shall reasonably be required to enable him to discharge his duties in an efficient and continuous operation of Employer and Employer's Affiliates, manner." (b) Section 3(a) of the preparation Agreement of relevant budgets Employment is hereby amended and allocation or relevant funds, (c) the selection and delegation of duties and responsibilities of subordinates, (d) the direction, review and oversight of all programs and projects under Employee's supervision, and (e) such other and further related duties restated in its entirety as specifically assigned by Employer to Employee. Duties of Employee. Employee shall perform such duties assigned to Employee by Employer as are generally associated with the duties of Executive Vice President and - Chief Operating Officer reporting directly to the Chief Executive Financial Officer of Employer, and shall hold Employer or such offices with Employer and perform such other similar duties as may be assigned to Employee by EmployerEmployer as Employer may determine, including, but not limited to (a) the efficient and continuous operation of Employer and Employer's Affiliates, (b) the preparation of relevant budgets and allocation or relevant funds, (c) conducting a search for an individual qualified to assume the duties of the chief financial officer of the Company as may be directed by management or Employer's Board of Director, and to educate such individual about Employee's duties and Employer's operations (following the selection of such qualified individual, Employee shall assume such other title and responsibilities as may be assigned by Employer; provided that such title and responsibilities shall be commensurate with Employee's professional status and shall be based in Las Vegas, Nevada), (d) the selection and delegation of duties and responsibilities of subordinates, (de) the direction, review and oversight of all programs and projects under Employee's supervision, and (ef) such other and further related duties as specifically assigned by Employer to Employee. The foregoing notwithstanding, Employee shall devote such time to Employer's other Affiliates as may be required by Employer, provided such duties are not inconsistent with Employee's primary duties to Employer hereunder. Notwithstanding the foregoing, Employer and Employee agree that in the event Employer materially increases the responsibilities and duties of Employee or changes Employee's title, Employer and Employee will enter into good faith negotiations to amend Employee's compensation in order to make it commensurate with any such additional responsibilities and duties.

The foregoing notwithstandingIn the performance of his duties hereunder, Employee shall report directly to the Chairman of the Board/Chief Executive Officer and the Board of Directors of Employer. Notwithstanding the foregoing, Employee shall devote such time to Employer's other Affiliates as may be required by Employer, provided such duties are not inconsistent with Employee's primary duties to Employer hereunder. Notwithstanding the foregoing, Employer and Employee agree that in the event Employer materially increases the responsibilities and duties of Employee or changes Employee's title, Employer and Employee will enter into good faith negotiations to amend Employee's compensation in order to make it commensurate with any such additional responsibilities and duties.

Duties of Employee. The foregoing notwithstanding, Employee shall devote such time to Employer's other ’s Affiliates as may be required by Employer, provided such duties are not inconsistent with Employee's ’s primary duties to Employer hereunder. Notwithstanding the foregoingSpecifically, Employer and Employee agree that shall in the event alternative perform such duties assigned to her as are generally associated with the position of (a) Chief Operating Officer of Wynn Resorts (Macau) SA, and shall relocate to Macau, SAR, China, upon request of Employer materially increases the responsibilities and duties or that entity, or (b) Executive Vice President of Employee or changes Employee's titleHotel A, Employer and Employee will enter into good faith negotiations to amend Employee's compensation in order to make it commensurate with any such additional responsibilities and dutiesLLC, dba Le Rêve.

Duties of Employee. Employee’s duties shall include: (ai) the efficient and continuous operation of Employer and Employer's any of its Affiliates, ; (bii) the preparation of relevant budgets and allocation or of relevant funds, ; (ciii) the selection and delegation of duties and responsibilities of subordinates, ; (div) the direction, review and oversight of all programs and projects under Employee's ’s supervision; (v) adherence to standard accounting principles and practices as well as the policies and procedures of the Employer and any of its Affiliates as they may be amended from time to time without prior notice to Employee (unless such policies and procedures conflict with this Agreement, in which case this Agreement takes precedence) and for which Employee assumes responsibility for review and understanding; and (evi) such other and further related duties as specifically may be assigned by Employer to EmployeeEmployee from time to time. The foregoing notwithstanding, Employee shall devote such time to Employer's other Employer or its Affiliates as may be required by Employer, provided such duties are not inconsistent with Employee's ’s primary duties to Employer hereunder. Notwithstanding the foregoing, Employer and Employee agree that in the event Employer materially increases the responsibilities and duties of Employee or changes Employee's title, Employer and Employee will enter into good faith negotiations to amend Employee's compensation in order to make it commensurate with any such additional responsibilities and duties.

Employer and Employee hereby agree that in the event Employer materially increases the responsibilities and duties of Employee or changes Employee's title, Employer and Employee will enter into good faith negotiations to amend Employee's compensation Section 5 of the Agreement in order its entirety to make it commensurate with any such additional responsibilities and duties.read as follows:
