Common use of Důvěrné informace Clause in Contracts

Důvěrné informace. 5.1 Institution agrees to maintain or cause to be maintained in confidence all information received under this Agreement and all information resulting from or related to work performed under this Agreement or related to the Product or this Agreement, including but not limited to, the Protocol and the CRFs (hereinafter the “Confidential Information”). This obligation shall be binding for a period of ten (10) years after termination or completion of the Study. Investigator or Institution will not disclose the Confidential Information without the prior written approval of Bayer. Institution may from time to time disclose Confidential Information to support staff and Ethics Committee but only to the extent required for the proper conduct of the Study Activity and provided that each member of the support staff and Ethics Committee to whom disclosure is made is fully informed of the confidential nature of the information disclosed and agrees to keep it confidential in accordance with this Agreement. 5.1 Instituce souhlasí, že bude uchovávat v tajnosti a zajistí uchovávání v tajnosti všech informací, které obdrželi v souvislosti s touto Smlouvou, a všech informací vyplývajících nebo souvisejících s prací prováděnou podle této Smlouvy nebo s ní souvisejících, nebo souvisejících s Produktem nebo touto Smlouvou, včetně, mimo jiné, Protokolu a CRF (dále jen „Důvěrné informace“). Tato povinnost je závazná po dobu deseti (10) let od přerušení nebo dokončení Studie. Zkoušející nebo Instituce nesdělí Důvěrné informace bez předchozího písemného souhlasu společnosti Bayer. Instituce může příležitostně Důvěrné informace sdělit podpůrnému týmu a etickému výboru, ale pouze v rozsahu vyžadovaném pro řádné provádění Činnosti v rámci studie a za předpokladu, že každý člen podpůrného týmu a etického výboru, kterému jsou informace sděleny, je plně informován o důvěrné povaze sdělených informací a souhlasí s tím, že je bude udržovat v tajnosti v souladu s touto Smlouvou.

Tato povinnost je závazná po dobu deseti (10) let od přerušení nebo dokončení Studie. Instituce ani Zkoušející nebo Instituce nesdělí Důvěrné informace bez předchozího písemného souhlasu společnosti BayerPHRI.
