Economic Loss and Sophistication. The Subscriber is able to bear the economic risk of losing its entire investment in the Corporation. The Subscriber’s overall commitment to investments which are not readily marketable is not disproportionate to its net worth. The Subscriber’s investment in the Corporation will not cause such overall commitment to become excessive. The Subscriber has such knowledge and experience in financial and business matters that it is capable of evaluating the risks and merits of this investment.

Economic Loss and Sophistication. Lender is able to bear the economic risk of losing its entire investment in the Commitment Fee Shares and A&R Warrant. In making this statement, consideration has been given to whether Xxxxxx can afford to hold the investment for an indefinite period of time and whether Lender can afford a complete loss of its investment. Xxxxxx has such knowledge and experience in financial and business matters that it is capable of evaluating the risks and merits of this investment.

The Subscriber has prior investment experience, including investment in nonlisted and non-registered securities, and has such knowledge and experience in financial and business matters that he, she or it is capable of evaluating the risks and merits of this investment, and it has employed the services of an investment advisor, attorney or accountant to read all of the documents furnished or made available by the Company and to evaluate the merits and risks of such an investment in the Company.
