Effect of Representations. 3.1 The representations and warranties of the Vendor and the Purchaser (the "Parties") set out above form a part of this Agreement and are conditions upon which the Parties have relied in entering into this Agreement and shall survive the acquisition of the Assets by the Purchaser.
Effect of Representations. The Subscriber’s representations, warranties and agreements set forth in this Agreement are true and correct. The Subscriber acknowledges that the Corporation has relied upon the representations, warranties and agreements of, and information furnished by, the Subscriber set forth in this Agreement and that all such representations, warranties, agreements and furnished information shall survive the date hereof.
Effect of Representations. The parties hereto acknowledge and agree that (i) the representations of the Purchasers contained in Section 4.1 shall in no way modify, effect or diminish the rights of the Purchasers to pursue any potential claim against the Company under the Stock Purchase Agreement and (ii) no breach or alleged breach of any representation or warranty contained in Section 4.1 shall effect the rights and obligations of the parties under this Agreement.
Effect of Representations. The representations and warranties of Assignor set forth in Section 3 are made solely for the purpose of this Agreement and shall not (i) survive the consummation of the transactions contemplated by this Agreement, (ii) inure to the benefit of, or be enforceable by or against, either the successors or permitted assigns of the parties hereto or any other person, or (iii) give rise to any action or claim against Assignor, including, without limitation, any action for negligent misrepresentation.
Effect of Representations. Any representations made prior to the formation of the contract, including any literature, descriptions, specifications, oral or written statements or any combination, you hereby acknowledge were not relied on by yourself. You further acknowledge that you have not entered into this contract on the basis of any representation, made orally or in writing, by the company, its employees or agents and that you therefore relied on your judgment alone when entering into the contract.
Effect of Representations. 3.1 The representations and warranties of Fewer and Lisboa (the "Parties") set out above form a part of this Agreement and are conditions upon which the Parties have relied in entering into this Agreement and shall survive the acquisition of the Assets by Lisboa.
Effect of Representations. The Trust acknowledges and affirms the representations, warranties and acknowledgments set forth herein. The Trust understands that the Purchased Shares are being offered and sold in reliance on specific exemptions from the registration requirements of Federal and state securities laws and that the Company and controlling persons thereof are relying upon the truth and accuracy of the representations, warranties, agreements, Acknowledgments, and understandings set forth herein in order to determine the applicability of such exemptions and the suitability of the Trust to acquire the Purchased Shares, and represents and warrants that the information set forth herein is true and correct, and will be true and correct in all respects at the Closing. All representations and warranties of the Trust shall survive the Closing.

Stat. Setion 95.11(3)(j). Representations and warranties in Section 6(B) shall not survive Closing (it being recognized that the New Lease shall contain representations and warranties). Subject to the provisions of Section 15(F) hereof, in the event any of the representations made shall be untrue or misleading in any material respect, Buyer shall be permitted to terminate this Agreement prior to Closing (thereby entitling it to the return of the Deposit) and/or exercise the remedies as set forth in and limited by Section 18 hereof. Nothing contained in this Section 6 shall limit, reduce or otherwise affect the provisions of the New Lease.

Each of Buyer's representations and warranties set forth in this Section 7 shall be true and correct as of the Execution Date and the Closing Date and shall survive the Closing for a period of eighteen (18) months thereafter; provided however, that if any breach of representation or warranty involves fraud, the applicable limitation shall be as provided in Fla.
