Effect of Representations. 3.1 The representations and warranties of the Vendor and the Purchaser (the "Parties") set out above form a part of this Agreement and are conditions upon which the Parties have relied in entering into this Agreement and shall survive the acquisition of the Assets by the Purchaser.
3.2 The Parties will indemnify and save each other harmless from all loss, damage, costs, actions and suits arising out of or in connection with any breach of any representation, warranty, covenant, agreement or condition made by it and contained in this Agreement.
Effect of Representations. The Subscriber’s representations, warranties and agreements set forth in this Agreement are true and correct. The Subscriber acknowledges that the Corporation has relied upon the representations, warranties and agreements of, and information furnished by, the Subscriber set forth in this Agreement and that all such representations, warranties, agreements and furnished information shall survive the date hereof.
Effect of Representations. The parties hereto acknowledge and agree that (i) the representations of the Purchasers contained in Section 4.1 shall in no way modify, effect or diminish the rights of the Purchasers to pursue any potential claim against the Company under the Purchase Agreement and (ii) no breach or alleged breach of any representation or warranty contained in Section 4.1 shall effect the rights and obligations of the parties under this Agreement.
Effect of Representations. The representations and warranties of Assignor set forth in Section 3 are made solely for the purpose of this Agreement and shall not (i) survive the consummation of the transactions contemplated by this Agreement, (ii) inure to the benefit of, or be enforceable by or against, either the successors or permitted assigns of the parties hereto or any other person, or (iii) give rise to any action or claim against Assignor, including, without limitation, any action for negligent misrepresentation.
Effect of Representations. It is agreed that any representations made prior to formation of the contract (as to the existence of which representations the company does not acknowledge) were not relied upon by yourselves, and that you checked entirely for yourselves the accuracy of any such representation and hence relied upon your judgement alone when entering the contract. In this clause, ‘representations’ shall include, but shall not be limited to; anything contained in any literature, descriptions, drawings, specifications, any oral or written statements, or any combination.
Effect of Representations. The representations and warranties of Assignee set forth in paragraphs 8.1, 8.2 and 8.3 are made solely for the purpose of this Agreement and shall survive the consummation of the transactions contemplated by this Agreement, and inure to the benefit of, or be enforceable by, either the successors or permitted assigns of Assignor.
Effect of Representations. 3.1 The representations and warranties of the Grantors and Lisboa (the "Parties") set out above form a part of this Agreement and are conditions upon which the Parties have relied in entering into this Agreement and shall survive the acquisition of the Assets by Lisboa.
3.2 The Parties will indemnify and save each other harmless from all loss, damage, costs, actions and suits arising out of or in connection with any breach of any representation, warranty, covenant, agreement or condition made by it and contained in this Agreement, including, without limitation, any legal fees or related costs that a Party incurs in defending any legal action that alleges a breach of any of these representations brought by a third party.
Effect of Representations. 4.1 The representations and warranties of the Vendor Agent, Selling Shareholders, the Company and the Purchasers (the "Parties") set out above form a part of this Agreement and are conditions upon which the Parties have relied in entering into this Agreement and shall survive the acquisition of the Shares by the Purchasers.
4.2 The Parties will indemnify and hold each other harmless from all loss, damage, costs, actions and suits arising out of or in connection with any breach of any representation, warranty, covenant, agreement or condition made by it and contained in this Agreement.
Effect of Representations. 5.1 The representations and warranties of Packetera and Shadow (the "Parties") set out above form a part of this Agreement and are conditions upon which the Parties have relied in entering into this Agreement and shall survive the Packetera's grant of the License and the assignment of the Existing Agreements to Shadow.
5.2 The Parties will indemnify and save each other harmless from all loss, damage, costs, actions and suits arising out of or in connection with any breach of any representation, warranty, covenant, agreement or condition made by it and contained in this Agreement.
Effect of Representations. 3.1 The representations and warranties of Fewer and Lisboa (the "Parties") set out above form a part of this Agreement and are conditions upon which the Parties have relied in entering into this Agreement and shall survive the acquisition of the Assets by Lisboa.
