Effect of Supplement. The terms and provisions set forth in this Supplement shall modify and supersede all inconsistent terms and provisions set forth in the Credit Agreement and except as expressly modified and superseded by this Supplement, the terms and provisions of the Credit Agreement and the other Loan Documents are ratified and confirmed and shall continue in full force and effect. The Borrower, the Agent, and the Lenders party hereto agree that the Credit Agreement as supplemented hereby and the other Loan Documents shall continue to be legal, valid, binding and enforceable in accordance with their respective terms. Any and all agreements, documents, or instruments now or hereafter executed and delivered pursuant to the terms hereof or pursuant to the terms of the Credit Agreement as supplemented hereby, are hereby amended so that any reference in such documents to the Agreement shall mean a reference to the Agreement as supplemented hereby.
Effect of Supplement. Except as supplemented hereby, the Series Supplement is ratified and confirmed and continues in full force and effect.
Effect of Supplement. Except as expressly supplemented hereby, the Pledge Agreement shall remain in full force and effect.
Effect of Supplement. Except as specifically supplemented herein, the Asset Transfer Agreement shall continue in full force and effect in accordance with its original terms. Reference to this specific Transfer Supplement need not be made in the Asset Transfer Agreement, or any other instrument or document executed in connection therewith, or in any certificate, letter or communication issued or made pursuant to or with respect to the Asset Transfer Agreement, any reference in any of such items to the Asset Transfer Agreement being sufficient to refer to the Asset Transfer Agreement as supplemented hereby.
Effect of Supplement. Except as specifically supplemented herein, the Master Transfer Agreement shall continue in full force and effect in accordance with its original terms. Reference to this specific Supplement need not be made in the Master Transfer Agreement, or any other instrument or document executed in connection therewith, or in any certificate, letter or communication issued or made pursuant to or with respect to the Master Transfer Agreement, any reference in any of such items to the Master Transfer Agreement being sufficient to refer to the Master Transfer Agreement as supplemented hereby.
Effect of Supplement. Except as specifically supplemented herein, the Sale Agreement shall continue in full force and effect in accordance with its original terms. Reference to this specific Transfer Supplement need not be made in the Sale Agreement, or any other instrument or document executed in connection therewith, or in any certificate, letter or communication issued or made pursuant to or with respect to the Sale Agreement, any reference in any of such items to the Sale Agreement being sufficient to refer to the Sale Agreement as supplemented hereby.
Effect of Supplement. In the event of any inconsistency between the Agreement and this Supplement Number Eight, the terms of this Supplement Number Eight shall prevail. Except as expressly set forth herein, the terms and conditions of the Agreement and the rights and obligations of the Parties shall remain unmodified and in full force and effect. The Agreement, as supplemented and modified by this Supplement Number Eight, represents the entire agreement between the Parties hereto with respect to the subject matter thereof and supersedes all other written and oral agreements with respect to such subject matter.
Effect of Supplement. Except as expressly amended and modified by this Supplement, all provisions of the Indenture shall remain in full force and effect. After this Supplement becomes effective, all references in the Indenture and the Related Documents to "this Indenture" or words of similar effect referring to the Indenture shall be deemed to be references to the Indenture as amended by this Supplement. This Supplement shall not be deemed to expressly or impliedly waive, amend or supplement any provision of the Indenture other than as expressly set forth herein.
Effect of Supplement. Except as specifically supplemented herein, the Master Purchase and Sale Agreement shall continue in full force and effect in accordance with its original terms. Reference to this specific Supplement need not be made in the Master Purchase and Sale Agreement, or any other instrument or document executed in connection therewith, or in any certificate, letter or communication issued or made pursuant to or with respect to the Master Purchase and Sale Agreement, any reference in any of such items to the Master Purchase and Sale Agreement being sufficient to refer to the Master Purchase and Sale Agreement as supplemented hereby.
Effect of Supplement. Except as expressly amended and supplemented herein, the Agreement shall continue in full force and effect and unamended. All capitalized terms not defined in this Supplement shall have the meanings ascribed to them in the Agreement.
