Effect on Other Agreements; Entire Agreement. This Agreement is the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement.
Effect on Other Agreements; Entire Agreement. This Agreement is the entire agreement between you and MF Global with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement.
Effect on Other Agreements; Entire Agreement. This Agreement is the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement, except for the Confidentiality Agreements, which remain in place. You agree that, effective as of the Effective Date, this Agreement replaces, terminates and supersedes the Prior Agreement, and that the Prior Agreement is hereby terminated and shall be of no further force or effect. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement. You hereby acknowledge that you are not subject to any obligation which would in any way restrict the performance of your duties hereunder.
Effect on Other Agreements; Entire Agreement. This Agreement and your Xxxxxxx Kodak Company Employee’s Agreement are the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement.
Effect on Other Agreements; Entire Agreement. This Agreement and the Employee’s Agreement contain the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement, including the 2019 Agreement; provided however that any Long Term Incentive Compensation previously granted to you pursuant to an agreement between you and the Company, including the 2019 Agreement, shall be governed by the terms of such prior agreement except as provided by Section
Effect on Other Agreements; Entire Agreement. This Agreement is the entire agreement between the Company and Executive with respect to the subject matter hereunder and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement, but this Agreement shall not supersede the Company’s obligations to Executive under the Executive Retirement Plan, which shall survive and remain in full force and effect. Executive and the Company agree that as of the last day of the First Transition Period, all of the provisions of the Change of Control Agreement and the Employment Agreement are terminated other than as specifically contemplated by this Agreement, and other than the provisions of Paragraph 10(e), subsection (iii) thereof, of the Employment Agreement. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement.
Effect on Other Agreements; Entire Agreement. This Agreement is the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement other than the Employment and Confidentiality Agreement, which is hereby incorporated by reference. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement. You hereby acknowledge that you are not subject to any obligation which would in any way restrict the performance of your duties hereunder. In the event of any conflict in terms or provisions between this Agreement and the Employment and Confidentiality Agreement, the terms and provisions of this Agreement shall prevail and govern. For the avoidance of doubt, in the event of any conflict in terms or provisions between this Agreement and any award agreement pursuant to which you are granted equity in the Company, the terms and provision of the award agreement shall prevail and govern.
Effect on Other Agreements; Entire Agreement. This Agreement along with your Interim Executive Chairman pay arrangements are the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement. You hereby acknowledge that you are not subject to any obligation which would in any way restrict the performance of your duties hereunder.
Effect on Other Agreements; Entire Agreement. This Agreement and the Employee’s Agreement contain the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and supersedes any earlier agreement, written or oral, with respect to the subject matter of this Agreement, including the 2021 Agreement; provided however that any Long Term Incentive Compensation previously granted to you pursuant to an agreement between you and the Company, including the 2021 Agreement, shall be governed by the terms of such prior agreement except as provided by Section 4a. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement or the Employee’s Agreement.
Effect on Other Agreements; Entire Agreement. The parties agree to enter into the Change-In-Control Agreement promptly upon the commencement of your employment. Until the Change-In-Control Agreement is executed, the parties are bound in all respects to the Form of Change-In-Control Agreement filed as Exhibit 10.2 to the Company's Quarterly Report on Form 10-Q for the quarter ending March 31, 1995 (as if the parties had executed the form agreement as of the date of this Agreement) and all references to the Change-In-Control Agreement shall be deemed to be to such form agreement. This Agreement and the Change-In-Control Agreement are the entire agreement between you and the Company with respect to the relationship contemplated by this Agreement and, other than as provided in Section 9(a), supersede any earlier agreement, written or oral, with respect to the subject matter of this Agreement. In entering into this Agreement, no party has relied on or made any representation, warranty, inducement, promise or understanding that is not in this Agreement.
