EFFECTIVE DATE OF SETTLEMENT. The Effective Date of this Settlement shall be the first business day on which all of the following shall have occurred or been waived:
EFFECTIVE DATE OF SETTLEMENT. Settlements reached at any step of the grievance procedure may be applied retroactively to the date of the occurrence of the situation which gave rise to the grievance or the settlement may be applied in a different manner which is consistent with the intent of Clause 74.12.
EFFECTIVE DATE OF SETTLEMENT. (a) The Effective Date of Settlement shall be the date when all of the following events shall have occurred and shall be conditioned on the occurrence of all of the following events:
(i) The contribution to the Settlement Fund has been made pursuant to this Agreement;
(ii) Entry of the Preliminary Approval Order;
(iii) Final approval by the Court of the settlement set forth in this Agreement, following Class Notice and the Fairness Hearing;
(iv) No Party has exercised his, her, or its rights to terminate this Agreement pursuant to Paragraphs 10(c), 13(a), 13(c), or 13(d); and
(v) Entry by the Court of a Final Judgment and Order of Dismissal, and the Final Judgment and Order of Dismissal becomes final, or, in the event that the Court enters an Alternative Judgment and neither Class Plaintiffs nor Barclays elects to terminate this Agreement, and such Alternative Judgment becomes final.
(b) Notwithstanding any other provision herein, any proceeding or order, or motion for reconsideration, appeal, petition for a writ of certiorari or its equivalent, pertaining solely to any Plan of Distribution and/or Fee and Expense Application, shall not in any way delay or preclude the Effective Date.
EFFECTIVE DATE OF SETTLEMENT. 4.1. The Effective Date of Settlement shall be the date when all of the following events shall have occurred and shall be conditioned on the occurrence of all of the following events: (i) the payment by Barclays to the Settlement Fund has been made pursuant to this Agreement; (ii) entry of the Preliminary Approval Order; (iii) final approval by the Court of the settlement set forth in this Agreement, following Class Notice and the Fairness Hearing; (iv) no Party has exercised his, her, or its rights to terminate this Agreement pursuant to paragraph 10 below; and (v) entry by the Court of a Judgment, and the Judgment becomes Final, or, in the event that the Court enters an Alternative Judgment and neither Bondholder Plaintiffs nor Barclays elects to terminate this Agreement, and such Alternative Judgment becomes Final.
4.2. Notwithstanding any other provision herein, any proceeding or order, or motion for reconsideration, appeal, or petition for a writ of certiorari or its equivalent, pertaining solely to any Distribution Plan and/or Fee and Expense Application, shall not in any way delay or preclude the Effective Date.
4.3. The terms and covenants of this Agreement shall survive entry and finality of the Judgment or Alternative Judgment.
EFFECTIVE DATE OF SETTLEMENT. This Settlement becomes effective as of
EFFECTIVE DATE OF SETTLEMENT. (a) The Effective Date of this Settlement shall be the first day on which all of the following shall have occurred or been waived:
i. Payment in full of the Monetary Consideration into the Escrow Account;
ii. Final Approval by the Court of the Settlement, following Notice to the Settlement Class and the Final Approval Hearing, as prescribed by Rule 23 of the Federal Rules of Civil Procedure;
iii. A Judgment, which shall be substantially in the form of the Final Approval Order and Judgment, has been entered by the Court and has become Final; and
iv. Expiration of the time for Defendant to exercise their termination rights.
(b) Once all of the events listed in Paragraph IX(a) have occurred, the Parties will jointly file a “Notice of Effective Date” with the Court, identifying the Effective Date.
EFFECTIVE DATE OF SETTLEMENT. Settlement becomes effective as of April 30, 2003 (“Effective Date”).
EFFECTIVE DATE OF SETTLEMENT. The “Effective Date of Settlement” will be the date the last signature is dated on this Agreement.
EFFECTIVE DATE OF SETTLEMENT. This Agreement must be approved by the Court of Common Pleas of Xxxxxxxxxxxx County, Pennsylvania, pursuant to Pa.R.Civ.P. 1714. This Agreement and the settlement contemplated herein shall become final (“Final”) on the first date (the “Effective Date”) by which each of the following have occurred: (i) a final judgment, substantially in the form of Exhibit B, is entered by the Court approving this Agreement and dismissing the claims of the Plaintiffs and the Class with prejudice; and (ii) thirty-one (31) days have passed after the judgment approving the Settlement has been entered without any appeals having been taken, or, if an appeal or request for review has been taken, five (5) business days following the voluntary or involuntary termination of the appeal whether through order of an appellate court or otherwise with no right of additional appeal remaining.
EFFECTIVE DATE OF SETTLEMENT. The Seller and the Buyer hereby acknowledge and agree that the terms of conditions of the settlement set forth in Section 1 of this Agreement will not be effective until such time as the Buyer, the Seller and SUSA have each executed and delivered that certain Consent and Confirmation attached as Exhibit G to the Amendment to the PSA dated December 22, 2014 between the Seller and the Buyer (the “Consent”). Upon the date of execution and delivery of the Consent (the “Effective Date”) by the Buyer, the Seller and SUSA, this Agreement and all of the terms and conditions set forth herein shall be effective and binding upon the Parties as of the Effective Date including, without limitation, the Seller’s waiver and release of any Title Benefits and agreement to adjust the Purchase Price under subparts (a) and (b) of Section 1 hereof and the waivers and releases of the Buyer under subparts (i), (ii), (iii), (iv) and (v) of Section 1 hereof.
