Elections to Increase. Each Lender and, as applicable, each Eligible Assignee, shall notify the Administrative Agent within such time period whether or not it agrees to participate in such increase and, if so, by the amount thereof. Any Lender or Eligible Assignee not responding within such time period shall be deemed to have declined to participate in such requested increase.
Elections to Increase. Each Lender and other Person approached by the Borrower shall notify the Administrative Agent within the specified time period whether or not it agrees to provide all or a portion of such increase and, if so, the amount of such requested increase that it proposes to provide. Any Lender not responding within such time period shall be deemed to have declined to provide any portion of the requested increase. Any Person providing any portion of the requested increase that is not an existing Lender shall become a Lender pursuant to a joinder agreement in form and substance reasonably satisfactory to the Administrative Agent and its counsel (each, a “Joinder Agreement”). The Administrative Agent shall promptly notify the Borrower and each Lender of the responses to each request made hereunder.
Elections to Increase. In respect of any existing Committed Purchaser, each of such Committed Purchaser being asked to increase its Commitment and the Administrator shall notify the Seller and the Servicer within the applicable time period whether or not such Person agrees, in its respective sole discretion, to the increase to such Committed Purchaser’s Commitment. Any such Person not responding within such time period shall be deemed to have declined to consent to an increase in such Committed Purchaser’s Commitment. For the avoidance of doubt, only the consent of the Committed Purchaser then being asked to increase its Commitment and the Administrator shall be required in order to approve any such request.

Each Lender being asked to increase its Commitment shall notify Company whether or not such Person agrees, in its respective sole and absolute discretion, to the increase to such Commitment. Any such Person not responding within 10 Business Days after receipt of such request for an increase shall be deemed to have declined to consent to an increase in such Lender’s Commitment.

Each Person to whom a request for an increase is made pursuant to clause (a), above, shall notify the Agent within such time period whether or not it agrees to furnish, or as to then existing Lenders increase, its Commitment and, if so, the amount of its Commitment it is willing to furnish or increase. Any Person not responding within such time period shall be deemed to have declined to furnish, or as to then existing Lenders, increase, its Commitment.

Each Lender shall notify the Administrative Agent within such time period whether or not it agrees to increase its Advances and, if so, whether by an amount equal to, greater than, or less than its ratable portion (based on such Lender’s Pro Rata Share in respect of the Term Facility) of such requested increase. Any Lender not responding within such time period shall be deemed to have declined to increase its Advances. Any Lender approached to increase its Advances may elect to decline, in its sole discretion, to increase its Advances.

Each Bank shall notify the Administrative Agent within such time period whether or not it agrees to increase its Commitment and, if so, whether by an amount equal to, greater than, or less than its Applicable Percentage of such requested increase. Any Bank not responding within such time period shall be deemed to have declined to increase its Commitment.

Each Lender and each other Person approached to provide all or a portion of an increase shall notify the Administrative Agent whether or not it agrees to participate in the requested Incremental Facility and, if so, whether by an amount equal to, greater than, or less than the portion of the requested Incremental Facility offered to it. Any Person providing any portion of the requested increase that is not an existing Lender shall become a Lender pursuant to a joinder agreement in form and substance reasonably satisfactory to the Administrative Agent and its counsel (a “New Lender Joinder Agreement”).
Elections to Increase. The Administrative Agent shall deliver a copy of each Notice of Commitment Increase to such Lenders or other Persons as may be determined by the Administrative Agent in its reasonable discretion. Each Lender being asked to increase its Commitment may within five (5) Business Days of receipt of such Notice of Commitment Increase request Company to provide such Lender with any additional reasonable diligence and cash flow information it had not received pursuant to the last Monthly Servicing report (“Additional Diligence”), and the Commitment Increase Effective Date shall be extended by such time as required by any such Lender to receive such information. Each Lender shall notify the Administrative Agent whether or not such Person agrees, in its respective sole and absolute discretion, to the increase to such Commitment. Any such Person not responding within 10 Business Days after receipt of such Additional Diligence shall be deemed to have declined to consent to an increase in such Lender’s Commitment. If the Administrative Agent does not receive commitments from Lenders in an amount sufficient to fund the requested Commitment Increase, the Administrative Agent shall so notify Company and (1) the request for such Commitment Increase may be rescinded by Company in its sole discretion, and (2) notwithstanding anything contained herein or in the other Credit Documents to the contrary, the Company may prepay the Loans at any time thereafter, in whole or in part, upon five (5) Business Days’ prior written notice to the Administrative Agent, without an Early Termination Fee.

Any Person providing any portion of the requested increase that is not an existing Bank shall become a Bank pursuant to a joinder agreement in form and substance reasonably satisfactory to the Administrative Agent and its counsel (a “New Bank Joinder Agreement”).
