Maximum Bonus definition

Maximum Bonus means the maximum annual incentive award opportunity described in Section 5 below.
Maximum Bonus means (i) Employee’s maximum bonus under the Company’s annual bonus incentive plan for the fiscal year in which a Covered Termination occurs as determined in accordance with Section 3.04b or (ii) if the Company has not specified a maximum bonus for such year, Employee’s maximum bonus under the Company’s annual bonus incentive plan for the last year in which the Company had specified such a maximum bonus, or (iii) if the Company has not specified a maximum bonus in the year of the Covered Termination or in a previous year, the maximum bonus identified in Section 3.04b.
Maximum Bonus means the maximum bonus each Eligible Employee may earn if all of the milestones in Section 3.7 occur. For the avoidance of doubt, CRO shall consult with Administrative Agent with regard to the Maximum Bonus for each Eligible Employee, and the amount of such payments individually and in the aggregate must be consented to by Administrative Agent, such consent not to be unreasonably withheld. The aggregate amount of the Maximum Bonus for all Eligible Employees shall not exceed the product of $60,625 times the number of Calendar Months that Service Provider provides services under this Agreement commencing with the March 2019 Calendar Month, which the total amount for the four-month Term of this Agreement is $242,500.

Examples of Maximum Bonus in a sentence

  • The Maximum Bonus Amount for any partial Fiscal Year occurring during the Term shall be prorated.

  • The Maximum Bonus Amount will be reviewed annually by the Board and may be increased but not decreased pursuant to such review.

  • The maximum bonus for which the Employee shall be eligible ("Maximum Bonus") shall be determined in accordance with the Company's Executive Maximum Bonus Calculation Statement attached as Exhibit A hereto.

More Definitions of Maximum Bonus

Maximum Bonus shall have the meaning set forth in Section 5(b).
Maximum Bonus means the maximum amount of compensation Employee may earn under the Company’s annual bonus incentive plan for the fiscal year in which the Termination occurs, or if the Company has not specified a maximum amount for such year, for the last year in which the Company had specified such a maximum amount; provided, however, that in no event shall “Maximum Bonus” mean an amount less than two (2) times Target Bonus.
Maximum Bonus means the highest aggregate Annual Bonus or incentive payment paid by the Company (or any predecessor of the Company) to the Executive for any of the three calendar years prior to the year the Date of Termination occurs and (ii) the “Pro rata Portionof the Executive’s Maximum Bonus shall be calculated by multiplying the Maximum Bonus by a fraction, the numerator of which shall be the number of calendar days elapsed in the year in which the Date of Termination occurs, up to and including the Date of Termination, and the denominator of which shall be 365.
Maximum Bonus means the greater of (i) the highest aggregate Annual Bonus or incentive payment paid by the Company (or any predecessor of the Company paid for 2004 as disclosed in the prospectus for the initial public offering of the Company’s common stock) to the Executive for any of the three calendar years prior to the year that includes the Date of Termination or (ii) the highest aggregate Annual Bonus or incentive payment that the Executive was eligible to receive for the calendar year that includes the Date of Termination. For purposes of this Agreement, the “Pro Rata Portionof the Executive’s Maximum Bonus shall be calculated by multiplying the Maximum Bonus by a fraction, the numerator of which shall be the number of calendar days elapsed in the year in which the Date of Termination occurs, up to and including the Date of Termination, and the denominator of which shall be 365.
Maximum Bonus means the greater of (i) the highest aggregate Annual Bonus paid to Executive by the Company (or by Seller, or Seller’s predecessor for 2004 as disclosed in the prospectus for the initial public offering of Seller’s common stock) for any of the three (3) calendar years prior to the year that includes the Date of Termination or (ii) the Target Annual Bonus that Executive was eligible to receive for the calendar year that includes the Date of Termination. In no event shall the Maximum Bonus include the Signing Payment.
Maximum Bonus means the bonus which is payable under a five year Savings Contract, at the earliest, seven years after the starting date of the Savings Contract;
Maximum Bonus means the maximum bonus payable in any year and is calculated assuming all bonus targets or formulas for determining the bonus in such year had been met if Executive and Board had, prior to the Separation Date, agreed on such targets or formulas. If no such targets or formulas have been set as of the Separation Date, then the maximum bonus shall be deemed to be the actual bonus paid to Executive during the preceding fiscal year. Notwithstanding anything herein to the contrary, Maximum Bonus shall not include the Bonus Amount.
