Employee Share Schemes. Prudential and Xxxxxxx agree that, as a consequence of the Demerger, participants in the Prudential Incentive Plans who are employed by the Xxxxxxx Group as at Completion (or previous employees of the Xxxxxxx Group who retain rights under the Prudential Incentive Plans at this date) will, with effect from and conditional upon completion of the Demerger, be entitled to receive the rights granted under the relevant Prudential Incentive Plan in accordance with the rules of the relevant Prudential Incentive Plan. These rights can be summarised as follows:
Employee Share Schemes. The Director is eligible to participate in any employee share schemes established by the Group. Participation in these schemes is, save as otherwise stipulated in the rules of the schemes, at the sole discretion of the Remuneration Committee. In the event that the Director is at any time granted options or shares or awards pursuant to any of those schemes, those options or shares or awards shall be subject to the rules of those schemes as in force from time to time.
Employee Share Schemes. No adjustment shall be made to the Conversion Price where Shares or other securities (including rights, warrants or options) are issued, offered, exercised, allotted, appropriated, modified or granted to or for the benefit of employees or former employees (including directors holding or formerly holding executive office) pursuant to any employees’ share scheme or plan or consultants of the Issuer or any Subsidiary or any associated company of the Issuer pursuant to any other share scheme or plan (including a dividend reinvestment plan).
Employee Share Schemes. 8.14.1 The Disclosure Letter contains full details of all share schemes (including those approved by the Inland Revenue and unapproved schemes) which the Company operates or in which its UK employees are entitled to participate, together with copies of any approvals issued by the Inland Revenue in respect of such schemes and nothing has been done to prejudice the approved status of any such schemes.
8.14.2 The Disclosure Letter contains full details of any issue of shares or an interest in shares by the Company in the circumstances described in section 77 to 89 Finance Xxx 0000 and the Company has complied with section 85 Finance Xxx 0000.
8.14.3 The Disclosure Letter contains a copy of the rules of any profit related pay schemes which the Company operates or has operated, or in which its UK employees are or have been entitled to participate, in any year commencing prior to Completion, together with copies of any approvals issued by the Inland Revenue in respect of such schemes, and nothing has been done to prejudice the approved status of any such schemes which have at all times been operated in accordance with any rules governing the scheme and relevant Taxation legislation.
Employee Share Schemes. The parties agree that the provisions of Schedule 3 will apply in respect of the Employee Share Schemes.
Employee Share Schemes. Contributions in the form of shares from an employee share scheme are applied by reference to the market value of the shares at the date of payment. Market value will be calculated in accordance with section 272 of the Taxation of Chargeable Gains Act 1992. Contributions from an employee share scheme must be made within ninety days of the member: • opting to receive the shares, if from a savings-related share option scheme; or • directing the trustees of the employee share scheme to transfer ownership to the member or, if earlier, the release date of the relevant shares if from the share incentive plan.
Employee Share Schemes. No adjustment will be made to the Fixed Conversion Price when Shares or other securities (including rights or options) are issued, offered or granted to employees (including directors) of the Company or any of its Subsidiaries pursuant to any employee share scheme (and which employee share scheme is in compliance with the Listing Rules).
Employee Share Schemes. (a) No Group Company operates or has at any time operated any share option scheme, profit sharing scheme or other employee share scheme.
(b) None of the employees of the Group Company have benefited from the provisions of Section 12 of the Finance Act, 1986.

8.14.4 The Disclosure Letter sets out details of the outstanding Options granted under the Oxford Molecular Group PLC Unapproved Share Option Scheme in respect of the exercise of which the Company may have a liability to account for income tax under PAYE or national insurance contributions.
