To the extent that a Manager was, on October 11, 2007, employed by Univar N.V. or its Affiliate pursuant to an effective written employment agreement or entitled to benefits under any non-qualified defined benefit and defined contribution agreements entered into by Univar N.V. or any of its Subsidiaries prior to October 11, 2007, then if such employment agreement or other agreement is among those agreements (and all amendments thereto) listed on Exhibit D to the Original Agreement (each a “Supplemental Agreement”), the Company and its Affiliates will honor and procure that Univar N.V. or its Affiliate (as appropriate) honors that Supplemental Agreement.

Copies thereof shall have been delivered to the Investors.

Each Person listed on Schedule 6.02(m) attached hereto shall have executed and delivered (i) an employment agreement with the Surviving Corporation in form and substance satisfactory to Parent, and (ii) if applicable, the Stock Purchase Agreement and the Stockholders Agreement.
