Entire Agreement/Authority. This Guaranty constitutes the entire agreement between the parties hereto with respect to the transactions contemplated by this Guaranty. Nothing in this Guaranty is intended to confer on any person other than the Guarantor, the City and their permitted successors and assigns hereunder any rights or remedies under or by reason of this Guaranty.
Entire Agreement/Authority. 15.1. This Agreement, which includes the attached Exhibits A-F constitutes the entire agreement between the parties on the subject matter hereof. There are no understandings, agreements, or representations, oral or written, not specified herein regarding this Agreement. No waiver, consent, modification or change of terms of this Agreement shall bind either party unless in writing and signed by both parties and all necessary approvals have been obtained. Such waiver, consent, modification or change, if made shall be effective only in the specific instance and for the specific purpose given. The failure of either party to enforce any provision of this Agreement shall not constitute a waiver by either party of that or any other provision.
15.2. If any term of this Agreement is determined by a court to be illegal or conflict with any law, the remaining terms shall not be affected, and the rights and obligations of the parties shall be construed and enforced as if the Agreement did not contain the particular term or provision held to be invalid.
15.3. This Agreement may be executed in two or more counterparts (by facsimile or scanned email PDF), each of which is an original and all of which together are deemed one agreement binding on all Parties, notwithstanding that all Parties are not signatories to the same counterpart.
15.4. The individuals signing below represent and warrant that they have authority to bind the party for which they sign.
Entire Agreement/Authority. This Agreement is the entire agreement between the City and Licensee and may be amended only by written instrument subsequently executed by the City and Licensee. The undersigned signatory of Licensee represents that he or she has been duly authorized to execute this Agreement on behalf of Licensee and has full power and authority to bind Licensee to the terms and conditions hereof.

Entire Agreement/Authority. No statements, negotiations, warranties, course of dealing or usage or trade will be part of this agreement between POM Aerospace and Customer. POM Aerospace rejects any of Customer’s inconsistent or conditions herein, in purchase orders or however stated, and such shall not be part of this Agreement, unless specific and explicit references to changes to this agreement are made in writing by an authorized representative of POM Aerospace. Anyone signing for the Customer represents that she or he is employed by the Customer in the capacity indicated and is unequivocally authorized to bind the Customer to this Agreement.

Entire Agreement/Authority. This Master Agreement and each Addenda entered into hereunder constitutes the entire agreement of the Parties with respect to the subject matter hereof and thereof and supersedes all prior agreements and undertakings, both written and oral, between the Parties with respect to the subject matter hereof and thereof. Each Party hereby represents and warrants to the other that it: (i) possesses full legal right, power and authority to enter into this Master Agreement and to fulfill its obligations hereunder; and (ii) has received all required approvals and authorizations needed to enter into this Master Agreement. This Master Agreement and each Addendum entered into hereunder will inure to the benefit of, and be binding upon, the Parties hereto and their respective successors and permitted assignees.
Entire Agreement/Authority. This LTSA is the entire agreement between the Parties and it supersedes, except in an Event of Default, all prior agreements, oral or written. Each person signing this agreement represents and warrants that he or she has the authority to do so and that neither of the Parties has assigned its rights to a third party.
Entire Agreement/Authority. The parties acknowledge and agree that, except as otherwise specifically provided herein, this Agreement supersedes and replaces any prior written or oral agreements or understandings between the parties regarding the subject matter hereof, including, without limitation, the Employment Agreement and any term sheet or summary of terms that relate hereto. The Company represents to you that this Agreement has been duly authorized by all necessary corporate action and you represent to the Company that you have sufficient legal capacity to enter into this Agreement.
