(a) Part 2.13 of the Disclosure Schedule accurately identifies each item of equipment, furniture, fixtures, improvements and other tangible assets (other than inventory) owned by the Company having a value in excess of $5,000. Part 2.13 also accurately identifies each tangible asset leased to the Company that has a value in excess of $5,000. (b) Each asset identified or required to be identified in Part 2.13 of the Disclosure Schedule: (i) is structurally sound, free of defects and deficiencies and in good condition and repair (ordinary wear and tear excepted); (ii) complies in all respects with, and is being operated and otherwise used in full compliance with, all applicable Legal Requirements; and (iii) is adequate for the uses to which it is being put. (c) The assets identified in Part 2.13 of the Disclosure Schedule are adequate for the conduct of the Company's business in the manner in which such business is currently being conducted and in the manner in which such business is proposed to be conducted.
