Common use of Equipment, Etc Clause in Contracts

Equipment, Etc. (a) Part 2.13 of the Disclosure Schedule accurately identifies all equipment, furniture, fixtures, improvements and other tangible assets (other than inventory) owned by the Company, and accurately sets forth the date of acquisition, original cost and book value of each of said assets. Part 2.13 also accurately identifies all tangible assets leased to the Company. (b) To the best of the Vendor's knowledge each asset identified or required to be identified in Part 2.13 of the Disclosure Schedule: (i) is structurally sound, free of defects and deficiencies and in good condition and repair (ordinary wear and tear excepted); (ii) complies in all respects with, and is being operated and otherwise used in full compliance with, all applicable Legal Requirements; and (iii) is adequate for the uses to which it is being put. The assets identified in Part 2.13 of the Disclosure Schedule are adequate for the conduct of the Company's business in the manner in which such business is currently being conducted.

Part 2.13 2.8 of the Disclosure Schedule also accurately identifies all tangible assets leased to the Company. (b) To the best of the Vendor's knowledge each Sellers. Each asset identified or required to be identified in Part 2.13 2.8 of the Disclosure Schedule: : (i) is structurally sound, free of defects and deficiencies and in good condition and repair (ordinary wear and tear excepted); ; (ii) complies in all respects with, and is being operated and otherwise used in full compliance with, all applicable Legal Requirements; and and (iii) is adequate and appropriate for the uses to which it is being put. The assets identified in Part 2.13 2.8 of the Disclosure Schedule are adequate for the conduct of the Company's business of the Sellers in the manner in which such business is currently being conducted and in the manner in which such business is proposed to be conducted.
