Equipment Representations and Warranties. With respect to its equipment, the Grantor warrants and represents to the Secured Parties that the Secured Parties may rely on all statements or representations made by Grantor on or with respect to any equipment and that:
(a) All equipment (except for any aircraft of the Grantor) is located only at the locations set forth in Schedule 1 hereto;
(b) None of its equipment is or will be subject to any lien, claim, encumbrance or security interest whatsoever, except for the security interest of the Secured Parties, hereunder;
(c) No equipment of Grantor is at or shall be kept at any location that is leased by Grantor from any other Person with contractual, statutory or other rights to obtain a lien or security interest, or other right in any equipment which may take priority over the lien or security interest of the Secured Parties, unless such lessor waives its rights with respect to such equipment in form and substance acceptable to the Secured Parties and delivered in writing to the Secured Parties prior to such amount of equipment being at such one or more locations.

Equipment Representations and Warranties. Each Borrower hereby warrants and represents to Bank with respect to the Equipment that each Borrower has good, indefeasible and merchantable title, free and clear of all Liens, claims and encumbrances, to and ownership of the Equipment used in its business except for Liens of Bank granted hereunder and Permitted Liens, and that Equipment shall be kept and/or maintained solely at the locations specified on Schedule 7.5 hereof or of which Bank is notified hereafter pursuant to Paragraph 7.5.
Equipment Representations and Warranties. Grantor warrants and represents to the Secured Parties that the total value of its equipment is less than $1,000,000 on the date hereof.
Equipment Representations and Warranties. With respect to its Equipment, each Grantor warrants and represents to the Agent for the benefit of the Lenders that the Secured Parties may rely on all statements or representations made by such Grantor on or with respect to any Equipment and that:
(a) All Equipment is located only at such Grantor's locations set forth in Exhibit C hereto;
(b) None of its Equipment is or will be subject to any Lien, claim, encumbrance or security interest whatsoever, except for the security interest of the Agent, for the benefit of the Lenders, hereunder and Permitted Liens;
(c) No Equipment of such Grantor is at or shall be kept at any location that is leased by such Grantor from any other Person unless such location and lessee is set forth on Exhibit C hereto and such lessee waives its rights with respect to such Equipment in form and substance acceptable to the Agent.
Equipment Representations and Warranties. With respect to its Equipment, Keystone warrants and represents to the Secured Party that it may rely on all statements or representations made by Keystone on or with respect to any Equipment and that:
(A) All Equipment is located only at the location set forth in Schedule 4 hereto;
(B) None of its Equipment is or will be subject to any Lien, claim, encumbrance or security interest whatsoever, except for the security interest of the Secured Party hereunder Liens permitted by Section 9.6 of the Credit Agreement, and notwithstanding such exception all statutory liens of warehousemen, bailees, lessors or similar parties with respect to the Equipment shall be waived or subordinated in form and substance acceptable to the Secured Party to the security interest granted to the Secured Party hereunder;
(C) No Equipment is at or shall be kept at any location that is leased by Keystone from any other Person unless the lessor waives its rights with respect to such Equipment in form and substance acceptable to the Secured Party.

With respect to its Equipment, each Grantor warrants and represents to the Agent and the Secured Parties that they may rely on all statements or representations made by such Grantor on or with respect to any Equipment and that, except as permitted under Section 6(j) hereof, all Equipment is located and shall be kept only at such Grantor's locations set forth in Exhibit C hereto or at such other locations as to which such Grantor has notified the Agent in writing not less than 30 days prior to such relocation and has

Borrower warrants and represents to Lender that Borrower has reviewed its Schedule of Equipment, that the Equipment is carried at the lower of cost or market, and that the market value on the books and records of Borrower is net of cost less depreciation calculated in accordance with GAAP. The book values for the Equipment listed on the Schedule of Equipment represent reasonable estimations of the value of the Equipment listed thereon, and that all Equipment is, and at all times hereafter will be, kept or maintained solely at Disclosed Addresses.

With respect to its equipment, Grantor represents and warrants to the Collateral Agent (for the benefit of the Secured Parties) that the Collateral Agent may rely on all statements or representations made by Grantor on or with respect to any equipment and that:
(a) All equipment is located only at the locations set forth in Schedule 1 hereto;
(b) None of its equipment is or will be subject to any Lien, except for the security interest of the Collateral Agent (for the benefit of the Secured Parties) hereunder and Permitted Liens;
(c) No equipment of Grantor is at or shall be kept at any location that is leased by Grantor from any other Person with contractual, statutory or other rights to obtain a Lien, or other right in any equipment which may take priority over the Lien of the Collateral Agent (for the benefit of the Secured Parties), unless such lessor waives its rights with respect to such equipment in form and substance acceptable to the Collateral Agent and delivered in writing to the Collateral Agent prior to such amount of equipment being at such one or more locations.
Equipment Representations and Warranties. With respect to its Equipment, each Grantor warrants and represents to the Collateral Agent for the benefit of the Purchasers that the Collateral Agent for the benefit of the Purchasers may rely on the following representations made by such Grantor on or with respect to any Equipment:
(a) All Equipment is located only at such Grantor's locations set forth in Exhibit C hereto or at such other locations as to which such Grantor has notified the Collateral Agent in writing not less than 30 days prior to such relocation and has provided to the Collateral Agent for the benefit of the Purchasers executed financing statements for such location satisfying the requirements of Section 2 hereof,
(b) None of its Equipment is or will be subject to any Lien, claim, encumbrance or security interest whatsoever, except for the security interest of the Collateral Agent for the benefit of the Purchasers hereunder and Permitted Liens;
