Euro-Dollar Rate Loans. If, on or after the date hereof, any Regulatory Change shall impose, modify, or deem applicable any reserve, special deposit, compulsory loan, insurance or similar requirement (other than any such requirement with respect to any Euro-Dollar Rate Loan to the extent included in the Euro-Dollar Reserve Requirement), against, or any fees or charges in respect of, assets held by, deposits with or other liabilities for the account of, commitments of, advances or Loans or Letters of Credit by, any Lender Party (or its Applicable Lending Office) or shall impose on any Lender Party (or its Applicable Lending Office) or on the relevant interbank market any other condition, cost or expense affecting any Euro-Dollar Rate Loan, or any obligation to make Euro-Dollar Rate Loans, and the effect of the foregoing is (x) to increase the cost to such Lender Party (or its Applicable Lending Office) of making, issuing, renewing, continuing, converting or maintaining any Euro-Dollar Rate Loan or its Revolving Commitment in respect thereof or any Letter of Credit or participation therein or (y) to reduce the amount of any sum received or receivable by such Lender Party (or its Applicable Lending Office) hereunder or under any other Loan Document with respect thereto, then, the Borrower shall from time to time pay to such Lender Party, within 15 days after request by such Lender Party, such additional amounts as are necessary, in such Lender Party’s reasonable determination, to compensate such Lender Party for such increased cost or reduction; provided, however, that if the Euro-Dollar Lending Office of any affected Lender is other than the affected Lender’s main office, before giving such notice, such affected Lender agrees to use reasonable efforts (consistent with its internal policy and legal and regulatory restrictions) to designate a different Euro-Dollar Lending Office if such designation will avoid the need for giving such notice and will not be otherwise materially disadvantageous to such Lender.

Euro-Dollar Rate Loans. Each Lender’s obligation to make, continue or convert Loans into Euro-Dollar Rate Loans shall be suspended, all outstanding Euro-Dollar Rate Loans shall be converted into Base Rate Loans (other than Base Rate Loans as to which the interest rate is based on the Euro-Dollar Rate) on the last day of the respective Interest Periods applicable thereto (or, if earlier, in the case of Section 2.12(a)(ii), on the last day that such Lender can lawfully continue to maintain Euro-Dollar Rate Loans) and all pending requests for the making or continuation of, or conversion into, Euro-Dollar Rate Loans shall be considered requests for the making or conversion into Base Rate Loans (other than Base Rate Loans as to which the interest rate is based on the Euro-Dollar Rate) (or, in the case of requests for conversion, disregarded) on the same Funding Date or the end of the currently applicable Interest Period, as applicable, if: (i) on or prior to the determination of the interest rate for a Euro-Dollar Rate Loan for any Interest Period, the Agent determines that for any reason appropriate quotations (as referenced in the definition ofInterbank Offered Rate” appearing in Section 1.1) are not available to the Agent in the relevant interbank market for purposes of determining the Euro-Dollar Rate, or a Lender advises the Agent (which shall thereupon notify the Borrower and the other Lenders) that such rate would not accurately reflect the cost to such Lender of making, continuing, or converting a Loan into, a Euro-Dollar Rate Loan for such Interest Period; or (ii) after the date hereof, a Lender notifies the Agent (which shall thereupon notify the Borrower and the other Lenders) of its determination that any Regulatory Change makes it unlawful or impossible for such Lender or its Euro-Dollar Lending Office to make or maintain any Euro-Dollar Rate Loan or any Base Rate Loan as to which the interest rate is based on the Euro-Dollar Rate, or to comply with its obligations hereunder in respect thereof; provided, however, that if the Euro-Dollar Lending Office of any affected Lender is other than the affected Lender’s main office, before giving such notice, such affected Lender agrees to use reasonable efforts (consistent with its internal policy and legal and regulatory restrictions) to designate a different Euro-Dollar Lending Office if such designation will avoid the need for giving such notice and will not be otherwise materially disadvantageous to such Lender.
Euro-Dollar Rate Loans. Each Euro-Dollar Rate Loan shall bear interest on the outstanding principal amount thereof, for the Interest Period applicable thereto, at the Euro-Dollar Rate for such Interest Period. Such interest shall be payable for each Interest Period on the last day thereof; provided, however, if any Interest Period is for a period of more than three (3) months, accrued interest shall also be due and payable at the end of each consecutive three (3) month period within such Interest Period, commencing with the first day thereof, as well as on the last day thereof. Any overdue principal of and, to the extent permitted by law, overdue interest on any Euro- Dollar Rate Loan shall bear interest, payable on demand, for each day until paid at a rate per annum equal to the Default Rate; provided that the mere application of the Default Rate to these Revolving Loans shall not give rise to the breakage of an Interest Period, but only an increased margin applicable to these Revolving Loans.
Euro-Dollar Rate Loans. Each Term Loan and Revolving Loan, or a ---------------------- portion of any thereof, shall, for so long as it shall be a Euro-Dollar Rate Loan, bear, and the Borrower agrees to pay, interest on the outstanding principal amount thereof until due (whether at maturity, by reason of prepayment or acceleration or otherwise), or converted into a Loan of another type, at a rate per annum equal to the Euro-Dollar Rate for each Interest Period applicable thereto plus the Applicable Margin. ----
Euro-Dollar Rate Loans. Each Euro-Dollar Rate Loan shall bear interest on the outstanding principal amount thereof at the Euro-Dollar Rate for such Monthly Interest Period (or portion thereof during which it is outstanding). If a Euro-Dollar Rate Loan shall be outstanding during more than one calendar month, the interest rate thereon shall be adjusted to the new Euro-Dollar Rate as of the first day of the next succeeding Monthly Interest Period during which it is outstanding. Such interest shall be payable for each Interest Period on the tenth day after the last day thereof. Any overdue principal of and, to the extent permitted by law, overdue interest on any Euro-Dollar Rate Loan shall bear interest, payable on demand, for each day until paid at a rate per annum equal to the Default Rate; provided that the mere application of the Default Rate to these Revolving Loans shall not give rise to the breakage of an Interest Period, but only an increased margin applicable to these Revolving Loans.
Euro-Dollar Rate Loans. (a) Each request by the Borrower for a Euro-Dollar Rate Loan shall be made pursuant to a Request for Loan (or telephonic or other request for Loan referred to in the second sentence of Section 2.1(c), if applicable) received by the Administrative Agent, at the Administrative Agent's Office, not later than 8:00 a.m., California local time, at least three Euro-Dollar Business Days before the first day of the applicable Interest Period. (b) On the date which is two Euro-Dollar Business Days before the first day of the applicable Interest Period, the Administrative Agent shall confirm its determination of the applicable Euro-Dollar Rate (which determination shall be conclusive in the absence of manifest error) and promptly shall give notice of the same to the Borrower and the Lenders by telephone or telecopier. (c) Unless the Administrative Agent and the Requisite Lenders otherwise consent, no more than fifteen Euro-Dollar Rate Loans shall be outstanding at any one time. (d) No Euro-Dollar Rate Loan may be requested during the continuation of a Default or Event of Default. (e) Nothing contained herein shall require any Lender to fund any Euro-Dollar Rate Advance in the Designated Euro-Dollar Market.

  • Reserves on Eurocurrency Rate Loans The Domestic Borrower shall pay (or cause the Foreign Borrower to pay) to each Lender, (i) as long as such Lender shall be required to maintain reserves with respect to liabilities or assets consisting of or including Eurocurrency funds or deposits (currently known as “Eurocurrency liabilities”), additional interest on the unpaid principal amount of each Eurocurrency Rate Loan equal to the actual costs of such reserves allocated to such Loan by such Lender (as determined by such Lender in good faith, which determination shall be conclusive) and (ii) without duplication of any cost in clause (i) of this clause (e), as long as such Lender shall be required to comply with any reserve ratio requirement or analogous requirement of any other central banking or financial regulatory authority imposed in respect of the maintenance of the Commitments or the funding of the Eurocurrency Rate Loans, such additional costs (expressed as a percentage per annum and rounded upwards, if necessary, to the nearest five decimal places) equal to the actual costs allocated to such Commitment or Loan by such Lender (as determined by such Lender in good faith, which determination shall be conclusive), which in each case shall be due and payable on each date on which interest is payable on such Loan, provided the Domestic Borrower shall have received at least 10 days’ prior notice (with a copy to the Administrative Agent) of such additional interest or costs from such Lender. If a Lender fails to give notice 10 days prior to the relevant Interest Payment Date, such additional interest or costs shall be due and payable 10 days from receipt of such notice.

  • Eurodollar Rate Loans Any conversion to or from Eurodollar Rate Loans shall be in such amounts and be made pursuant to such elections so that, after giving effect thereto, the aggregate principal amount of all Eurodollar Rate Loans having the same Interest Period shall not be less than $1,000,000 or a whole multiple of $500,000 in excess thereof.

  • LIBOR Rate Loans During such periods as Revolving Loans shall be comprised of LIBOR Rate Loans, each such LIBOR Rate Loan shall bear interest at a per annum rate equal to the sum of the LIBOR Rate plus the Applicable Percentage.
