Evaluation of ART and Stoffenmanager Nano. Within the NANoREG project we compared the output of two of the tools: ART (described in section 2.3.3.1), which has not been designed specifically for NMs, and Stoffenmanager Nano with 24 field measurement studies (involving 167 activities) provided by the Swiss Accident Insurance Fund (SUVA). The activities were classified in the following domains: - Welding (MIG-MAG, TIG, oxy-acetylene) - Transfer of powders (vacuuming, transfer & mixing of powders, weighing, various MNMs) - Coating (coating of SiO2 on a polyethylene foil by propane burning) - Other hot processes (compounding of plastics and MNMs), incineration) - Spraying (car cleaning, laser printers, application of ENMs on shoes, spraying of metal sheets) - Impaction (blasting of CO2 for cleaning, cutting and nailing nanoporous insulating material) The input values for ART and Stoffenmanager Nano to each exposure situation were firstly assigned independently by two persons, trying to match as closely as possible the definitions of the parameters available in the references for the two models. The choice of parameters’ values was then discussed until a consensus was found. The major sources of disagreement were the attribution of activities, especially the ones outside the scope of the models (e.g. welding & other hot processes). The statistical analysis performed comprises the analysis of the correlations between the obtained scores and the measurements, conducted by computing the (non-parametric) Xxxxxxxx correlation coefficient (rS). Reference source not found. show box ots of the particle number concentration (PNC) collected with a CPC (upper size limit 1 μm) and geometric mean diameter (GMD) measured by category (whiskers represent the minimum and maximum values, the box the inter-quartile range and the red line the median). The number of exposure situations per activity is indicated in brackets. PNC reached values of up to 25 × 106 (#/cm3). The GMDs were between 20 and 100 nm for most exposure situations. Figures 4 and 5 show the comparison of model scores for ART and Stoffenmanager -Nano, respectively, and the measurement data. Table 9 shows the Xxxxxxxx correlation coefficients for each activity for both tools between their estimates and the particle number concentration measurements.   • Monitoring and Risk Assessment of Securities Depositories Prior to the placement of any assets of the Fund with a non-U.S. Securities Depository, the Custodian: (a) shall provide to the Fund or its authorized representative an assessment of the custody risks associated with maintaining assets within such Securities Depository; and (b) shall have established a system to monitor the custody risks associated with maintaining assets with such Securities Depository on a continuing basis and to promptly notify the Fund or its Investment Adviser of any material changes in such risk. In performing its duties under this subsection, the Custodian shall use reasonable care and may rely on such reasonable sources of information as may be available including but not limited to: (i) published ratings; (ii) information supplied by a Subcustodian that is a participant in such Securities Depository; (iii) industry surveys or publications; (iv) information supplied by the depository itself, by its auditors (internal or external) or by the relevant Foreign Financial Regulatory Authority. It is acknowledged that information procured through some or all of these sources may not be independently verifiable by the Custodian and that direct access to Securities Depositories is limited under most circumstances. Accordingly, the Custodian shall not be responsible for errors or omissions in its duties hereunder provided that it has performed its monitoring and assessment duties with reasonable care. The risk assessment shall be provided to the Fund or its Investment Advisor by such means as the Custodian shall reasonably establish. Advices of material change in such assessment may be provided by the Custodian in the manner established as customary between the Fund and the Custodian for transmission of material market information.

  • Applicability of Article Securities of any series which are redeemable before their Stated Maturity shall be redeemable in accordance with their terms and (except as otherwise specified as contemplated by Section 301 for such Securities) in accordance with this Article.

  • Exercise of Option and Provisions for Termination (a) Except as otherwise provided herein and subject to the right of cumulation provided herein, this option may be exercised, prior to the tenth anniversary date, as to not more than the following number of shares covered by this option during the respective periods set forth below: No shares from and after the date of grant and prior to the first anniversary date; shares from and after the first anniversary date and prior to the second anniversary date; shares from and after the second anniversary date and prior to the third anniversary date; shares from and after the third anniversary date and prior to the fourth anniversary date; shares from and after the fourth anniversary date and prior to the fifth anniversary date; and shares from and after the fifth anniversary date. The right of exercise provided herein shall be cumulative so that if the option is not exercised to the maximum extent permissible during any such period it shall be exercisable, in whole or in part, with respect to all shares not so purchased at any time during any subsequent period prior until the expiration or termination of this option. This option may not be exercised at any time after the tenth anniversary date. (b) Subject to the conditions hereof, this option shall be exercisable by the Employee giving written notice of exercise to the Company, specifying the number of shares to be purchased and the purchase price to be paid therefor and accompanied by payment in accordance with Section 3 hereof. Such exercise shall be effective upon receipt by the Treasurer of the Company of the written notice together with the required payment. The Employee shall be entitled to purchase less than the number of shares covered hereby, provided that no partial exercise of this option shall be for less than 10 whole shares. (c) If the Employee ceases to be employed by the Company or one of its subsidiaries for any reason, including retirement but other than death, this option shall immediately terminate; provided, however, that any portion of this option which was otherwise exercisable on the date of termination of the Employee’s employment may be exercised within the three-month period following the date on which the Employee ceased to be so employed, but in no event after the tenth anniversary date. Any such exercise may be made only to the extent of the number of shares subject to this option which are purchasable upon the date of such termination of employment. If the Employee dies during such three-month period, this option shall be exercisable by the Employee’s personal representatives, heirs or legatees to the same extent and during the same period that the Employee could have exercised this option on the date of his or her death. (d) If the Employee dies while an employee of the Company or any subsidiary of the Company, this option shall be exercisable, by the Employee’s personal representatives, heirs or legatees, to the same extent that the Employee could have exercised this option on the date of his or her death. This option or any unexercised portion hereof shall terminate unless so exercised prior to the earlier of the expiration of six months from the date of such death or the tenth anniversary date. (e) Notwithstanding any other provision hereof, this option may not be exercised to the extent such an exercise would violate Section 422(d)(1) of the Code, which provides that the aggregate fair market value (determined at the time the option is granted) of the Common Stock with respect to which incentive stock options are exercisable for the first time by the Employee during any calendar year (under all of the plans of the Company, its parent, if any, or its subsidiaries, if any) shall not exceed $100,000.
