Evidence of UCC Filings. On or prior to the Closing Date or Funding Date, as the case may be, the Seller shall provide the Owner Trustee evidence that the Seller has recorded and filed, at the expense of the Transferor, (A) Termination Statements in each jurisdiction in which required by applicable law, if any, to release any prior security interests in the Receivables granted by the Seller and (B) UCC financing statements in each jurisdiction in which required by applicable law, authorized by the Seller, as seller or debtor, and naming the Owner Trustee, as purchaser or secured party, identifying the Receivables and the other Trust Property as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the transfer of such Receivables to the Owner Trustee. The Seller shall deliver the Perfection UCC's, or other evidence satisfactory to the Owner Trustee of such filing, to the Indenture Trustee within thirty (30) days following the Closing Date or Funding Date, as the case may be, or promptly following such later date as such file-stamped copies or other evidence is received by or on behalf of the Owner Trustee.
Evidence of UCC Filings. On or prior to the Closing Date or Funding Date, as the case may be, the Transferor shall provide the Purchaser evidence that the Transferor has recorded and filed, at its own expense, (A) Termination Statements in each jurisdiction in which required by applicable law, to release any prior security interests in the Receivables granted by the Transferor and (B) UCC financing statements in each jurisdiction in which required by applicable law, authorized by the Transferor, as transferor or debtor, and naming the Purchaser, as purchaser or secured party, identifying the Receivables and the other Trust Property as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the contribution, transfer, assignment and conveyance of such Receivables to the Purchaser. The Transferor shall deliver the Perfection UCC's, or other evidence satisfactory to the Purchaser of such filing, to the Indenture Trustee within thirty (30) days following the Closing Date or Funding Date, as the case may be, or promptly following such later date as such file-stamped copies or other evidence is received by or on behalf of the Purchaser.
Evidence of UCC Filings. On or prior to the Closing Date and each Funding Date, as applicable, the Depositor shall provide the Issuer evidence that the Depositor has obtained, at the expense of the Depositor, (A) executed releases and UCC-3 releases or termination statements in each jurisdiction in which required by applicable law, if any, to release any prior security interests in the Receivables and the related Deposited Assets granted by the Depositor and (B) UCC-1 financing statements in each jurisdiction in which required by applicable law, executed by the Depositor, as seller or debtor, and naming the Issuer, as purchaser or secured party, identifying the Receivables and the related Deposited Assets as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the transfer of such Receivables to the Issuer.
Evidence of UCC Filings. On or prior to the Closing Date and each Funding Date, as applicable, the Contributor shall provide the Depositor evidence that the Contributor has obtained, at the expense of the Contributor, (A) executed releases, termination statements and UCC-3 releases or terminations in each jurisdiction in which required by applicable law, if any, to release any prior security interests in the Receivables and the related Contributed Assets granted by the Contributor and (B) UCC-1 financing statements in each jurisdiction in which required by applicable law, executed by the Contributor, as contributor or debtor, and naming the Depositor, as purchaser or secured party, identifying the Receivables and the related Contributed Assets as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the transfer of such Receivables to the Depositor.
Evidence of UCC Filings. The Seller shall record and file, at its own expense, (A) on or prior to the Closing Date and each Funding Date, UCC-3 termination statements in each jurisdiction required by applicable law, to release any prior security interests in the Receivables granted by the Seller, and (B) on or prior to the Closing Date and each Funding Date, UCC financing statements in each jurisdiction in which required by applicable law, executed by the Seller as seller or debtor, and naming the Purchaser as purchaser or secured party, naming the Trustee as assignee of such purchaser or secured party, identifying the Receivables and the other Trust Property as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the sale, transfer, assignment and conveyance of such Receivables to the Purchaser and the sale, transfer, assignment and conveyance thereof to the Trustee. The Seller shall deliver file-stamped copies, or other evidence satisfactory to the Purchaser and the Trustee of such filing, to the Purchaser and the Trustee on or prior to the Closing Date and each Funding Date.
Evidence of UCC Filings. On or prior to the Closing Date and, as applicable, each Transfer Date, MCC shall deliver to Funding, for its inspection and review, completed UCC requests for information, dated on or before the Closing Date, or related Transfer Date, as the case may be, listing all effective financing statements filed with the Washington Secretary of State listing MCC as debtor.
Evidence of UCC Filings. On or prior to the Closing Date, the Originator shall record and file, at its own expense, (A) UCC-3 termination statements in each jurisdiction in which required by applicable law, to release any prior security interests in the Receivables granted by the Originator and (B) a UCC financing statement in each jurisdiction in which required by applicable law, executed by the Originator, as seller or debtor, and naming the Depositor, as purchaser or secured party, identifying the Receivables and the other Trust Property as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the pledge, transfer, assignment and conveyance of such Receivables to the Depositor. The Originator shall deliver a file-stamped copy, or other evidence satisfactory to the Depositor of such filing, to the Depositor on or prior to the Closing Date.
Evidence of UCC Filings. On or prior to the Closing Date or Funding Date, as the case may be, the Seller shall provide the Purchaser evidence that the Seller has recorded and filed or will cause to be recorded and filed, at its own expense, (A) UCC-3 termination statements in each jurisdiction in which required by applicable law, to release any prior security interests in the Receivables assigned by the Seller and (B) UCC financing statements in each jurisdiction in which required by applicable law, executed by the Seller, as seller or debtor, and naming the Purchaser, as purchaser or secured party, identifying the Receivables and the other Seller Conveyed Property as collateral, meeting the requirements of the laws of each such jurisdiction and in such manner as is necessary to perfect the contribution, transfer, assignment and conveyance of such Receivables to the Purchaser. The Seller shall deliver the Perfection UCC's, or other evidence satisfactory to the Purchaser of such filing, to the Trustee within 30 days following the Closing Date or Funding Date, as the case may be, or promptly following such later date as such file-stamped copies, or other evidence is received by or on behalf of the Purchaser.
Evidence of UCC Filings. On the Closing Date with respect to the Closing Date Premium Receivables and on each Acquisition Date with respect to the related Acquisition Date Premium Receivables, the Originator shall (A) provide evidence satisfactory to FPF that any previous Liens on the Conveyed Property have been released and (B) deliver to FPF file-stamped copies, or other evidence, satisfactory to FPF of the UCC filings required pursuant to Section 2.04(b) hereof.
Evidence of UCC Filings. Not later than sixty (60) days after the Closing Date, the Servicer shall provide to the Administrative Agent and the Insurer search reports from a third-party search company (A) which reflect the filing in the applicable filing offices of the UCC financing statements filed pursuant to Article V and (B) attached to which are copies of such UCC financing statements bearing the file-stamps of such filing offices.
